(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; Quotes are being requested, and a written solicitation will not be issued.

The U.S. Securities and Exchange Commission (SEC) intends to award one Indefinite Delivery Indefinite Quantity (IDIQ) contract to acquire Enterprise Process Server Services.

(ii) Request for Quote (RFQ) number 50310225Q0078 is assigned to this requirement and is issued as an RFQ under the authority of the FAR subpart 13.5 and FAR subpart 12.6.

(iii) This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2025-05 dated August 7, 2025.

(iv) This solicitation is issued as a 100% small business set aside. The North American Industry Classification System (NAICS) code is 541119 and the small business size standard for millions of dollars is $20.5.

(v) See Attachment 1, Pricing Template for CLIN structure, and quantities.

(vi) The description of services required is outlined in the Statement of Work.

(vii) Place of Delivery is as indicated at the time of order. Delivery is FOB Destination.

The period of performance for the contract shall be five (5) one-year ordering periods with one

(viii) The following FAR clauses apply to this solicitation. Offerors may obtain full text versions of these clauses electronically at FAR | Acquisition.GOV. Offerors who reject the terms and conditions of this solicitation, may be excluded from consideration. All of the following FAR provisions and clauses are applicable:

1) Paragraphs (d), (e), and (h) are hereby deleted from this solicitation.

2) The Quoter shall provide a response to this solicitation in two volumes.

Volume 1 – Technical Quote.

This volume of the quote shall address the technical requirements of the solicitation document.

The SEC will use the information provided with this volume to identify distinctions in the quality of offered services and the capability of the firms proposed to perform the work. This volume shall contain a table of contents for all material contained within it and be presented as follows:

Volume 1 – Technical Quote:

Go/No-Go Factor - The Offeror shall be able to provide the services listed in Section C of this RFQ nationwide. The offeror must describe how requests for services will be accommodated and provided to the entire SEC regardless of the Offeror’s Headquarters location.

Management Approach and Capabilities

The Offeror shall describe how it will perform the work and services required under Section C of the solicitation. In addressing the Management Approach and Capabilities criterion, the Offeror's Management Approach and Capabilities shall describe:

a) The proposed personnel and their roles and include the Offeror’s knowledge of the rules and regulations regarding service in each state and the District of Columbia.

b) The organization's methodology and resources for providing consistent, high-quality process server and ad-hoc services support, including proposed subcontractors.

c) A discussion of any anticipated major difficulties and problem areas, along with potential recommended approaches for their resolution.

d) The organization's demonstrated ability to respond to and perform multiple process server and ad-hoc services requests concurrently in locations throughout the country.

e) The organization's subpoena delivery success rate, response time to orders, problems encountered and mitigation actions.

Past Performance

The Government will evaluate relevant past performance of each Offeror. The Offeror shall identify three (3) references for commensurate projects that are in progress or were completed within the last three (3) years. If a Contractor will be using a subcontractor, references for up to two (2) proposed subcontractors may be submitted. References may be from commercial and federal/state Government contracts. Relevant is defined as work similar in complexity and magnitude to the work identified in the SOW. The Government reserves the right to evaluate your firms past performance reviews from CPARS which will be obtained directly. The following information is required for each reference:

a) Project Title.

b) Description of the Project.

c) Contract Type.

d) Contract/Task Order Number.

e) Contract/Task Order Amount.

f) Government Agency/Organization.

g) COR's name, address, phone number and email address.

h) Contracting Officer's name, address, telephone number and email address.

i) Current status (e.g., completed and/or in progress, start and estimated completion dates).

j) Key personnel (please identify those individuals who worked on the relevant project and are also proposed for this effort).

k) A brief narrative of why your firm believes this reference is relevant to the proposed task.

Quoters shall not include any price information in the written technical quote.

The technical Quote shall be limited to 20 one-sided pages. If the Offeror’s technical Quote exceeds 20 pages, it may not be evaluated and could be considered non-responsive. Offerors shall include a Table of contents that clearly outlines each section in the Technical Quote. The table of contents in not included in the page count.

Volume 2 – Price Quote - The price quote shall not be submitted with the technical quote.

Offerors shall complete Attachment 1, Pricing Worksheet, to provide pricing for all ordering periods and the option period in accordance with the Statement of Work. The Other direct costs (ODC) are a not to exceed amount that shall not be changed. No other pricing submissions are required.

Parties responding to this solicitation who believe they can provide the service described herein may submit their Quote in accordance with their standard commercial practices (e.g., on company letterhead, formal Quote form, etc.) but must include the following information/registrations: 1) company’s full name and address (2) Unique Entity Identifier (UEI) 3) Name, Telephone number, and email address of the person authorized to provide quotes.

Please note: to be considered for award, Offerors must be actively registered in the System for Award Management (SAM) , accessible at www.sam.gov at the time of quote submission.

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

The Contractor shall comply with the following Federal Acquisition Regulation (FAR) clauses, which are incorporated in this contract by reference, to implement provisions of law or Executive orders applicable to acquisitions of commercial products and commercial services:

52.204-13 SYSTEM FOR AWARD MANAGEMENT MAINTENANCE (MAY 2024)

(DEVIATION FEB 2025)

(a) Definitions. As used in this clause— http://www.acquisition.gov/

Electronic Funds Transfer (EFT) indicator means a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the commercial, nonprofit, or Government entity to establish additional System for Award Management (SAM) records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.

Registered in the System for Award Management (SAM) means that–

(1) The Contractor has entered all mandatory information, including the unique entity identifier and the EFT indicator (if applicable), the Commercial and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14), into SAM;

(2) The Contractor has completed the Core, Assertions, Representations and Certifications, and Points of Contact sections of the registration in SAM;

(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The Contractor will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and

(4) The Government has marked the record "Active".

System for Award Management (SAM) means the primary Government repository for prospective Federal awardee and Federal awardee information and the centralized Government system for certain contracting, grants, and other assistance-related processes. It includes–

(1) Data collected from prospective Federal awardees required for the conduct of business with the Government;

(2) Prospective contractor-submitted annual representations and certifications in accordance with FAR subpart 4.12; and

(3) Identification of those parties excluded from receiving Federal contracts, certain subcontracts, and certain types of Federal financial and non-financial assistance and benefits.

Unique entity identifier means a number or other identifier used to identify a specific commercial, nonprofit, or Government entity. See www.sam.gov for the designated entity for establishing unique entity identifiers.

(b) If the solicitation for this contract contained the provision 52.204-7 with its Alternate I, and the Contractor was unable to register prior to award, the Contractor shall be registered in SAM within 30 days after award or before three days prior to submission of the first invoice, whichever occurs first.

(c) The Contractor shall maintain registration in SAM during contract performance and through final payment of any contract, basic agreement, basic ordering agreement, or blanket https://www.acquisition.gov/far/subpart-32.11#FAR_Subpart_32_11 https://www.acquisition.gov/far/subpart-4.14#FAR_Subpart_4_14 https://www.acquisition.gov/far/subpart-4.12#FAR_Subpart_4_12 http://www.sam.gov/ https://www.acquisition.gov/far/52.204-7#FAR_52_204_7 purchasing agreement. The Contractor is responsible for the currency, accuracy and completeness of the data within SAM, and for any liability resulting from the Government's reliance on inaccurate or incomplete data. To remain registered in SAM after the initial registration, the Contractor is required to review and update on an annual basis, from the date of initial registration or subsequent updates, its information in SAM to ensure it is current, accurate and complete. Updating information in SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(d)

(1)

(i) If a Contractor has legally changed its business name or "doing business as" name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to—

(A) Change the name in SAM;

(B) Comply with the requirements of subpart 42.12 of the FAR; and

(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor shall provide with the notification sufficient documentation to support the legally changed name.

(ii) If the Contractor fails to comply with the requirements of paragraph (d)(1)(i) of this clause, or fails to perform the agreement at paragraph (d)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the electronic funds transfer (EFT) clause of this contract.

(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in SAM record to reflect an assignee for the purpose of assignment of claims (see FAR subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM. Information provided to the Contractor’s SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the EFT clause of this contract.

(3) The Contractor shall ensure that the unique entity identifier is maintained with the entity designated at www.sam.gov for establishment of the unique entity identifier throughout the life of the contract. (2) While not required, the Contractor may include in its subcontracts for commercial products and commercial services a minimal number of additional clauses necessary to satisfy its contractual obligations.

System updates may lag policy updates. The System for Award Management (SAM) may continue to require entities to complete representations based on provisions that are not included in agency solicitations. Examples include 52.222-25, Affirmative Action Compliance, and paragraph (d) of 52.212-3, Offeror Representations and Certifications—Commercial Products and Commercial Services. Contracting officers will not consider these representations when making award decisions or enforce requirements. Entities are not required to, nor are they able to, update their entity registration to remove these representations in SAM.

FAR 52.216-18 ORDERING (Aug 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from September 18, 2025 through March 17, 2031.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

FAR 52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $2,000,000.00.

(2) Any order for a combination of items in excess of $2,000,000.00; or

(3) A series of orders from the same ordering office within 365 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 30 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

FAR 52.216-22 INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after March 17, 2032.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months.

The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.

2001.00 SHIPPING INSTRUCTIONS (JANUARY 2022)

Preservation, packaging, packing, and marking of all deliverables must conform to normal commercial packing standards to assure safe delivery at destination. All deliveries are F.O.B.

Destination. The contractor shall include the SEC contract/delivery order number on all packing slips that accompany items shipped to the SEC.

4003.02 PREFERRED METHOD OF DELIVERABLES SUBMISSION (MARCH 2025)

The Contract Deliverables Mailbox is the SEC’s preferred method for submission of contract deliverables to the COR. When using this method, deliverables should be sent via email to ContractDeliverables@sec.gov. Do not CC or BCC any other users on the email.

The subject line must begin with the SEC contract number for the respective contract, base, or task order. It should only have one contract number, for example, if the contract deliverables are for an order, it should only include the order contract number, ex. 50310224FXXXX; it should not include the base contract number, ex. 50310224DXXXX 50310224FXXXX.

The contract number must also meet the following rules:

• Positions 1-6 must be equal to "SECHQ1" or "503102"

5003.05 SUBMISSION OF INVOICES - DELPHI EINVOICING SYSTEM (JANUARY

2022)

a. The Securities and Exchange Commission (SEC) will only accept electronic invoices submitted through the Delphi eInvoicing system on a monthly basis.

b. Payment system registration. All persons accessing the Delphi eInvoicing web-portal will be required to have their own unique user Delphi eInvoicing ID and password and be credentialed through login.gov.

(1) Electronic authentication. See www.login.gov for instructions. Click on the following link for instructions on establishing a login.gov account: https://login.gov/help/creating-an-account/how-do-i-create-an-account-with-logingov/.

(2) To create a login.gov account, the user will need a valid email address and a working phone number. The user will create a password and then login.gov will reply with an email confirming the email address.

The COR’s responsibilities include reviewing invoices and charges by the Contractor, informing the CO of areas where exceptions are taken, and accepting or rejecting invoices in the SEC’s financial system. The COR shall be the primary point of contact responsible for communicating administrative guidance for on-boarding and off-boarding of Contractor Personnel, mandatory trainings, government closures, and other events as necessary. Unless otherwise specified in this contract, inspection and acceptance of supplies and/or services to be furnished under this contract will be performed by the COR.

b. Only the CO has the authority to change the terms and conditions of this contract. The COR may request a contract modification, but the CO will make the final determination. The COR may not agree to or issue a change to the contract terms and conditions. In the event the Contractor effects changes to the contract at the direction of any person other than the CO, the changes will be considered to have been made without any authority and no adjustments will be made to the contract

6001.00 SEC NON-DISCLOSURE REQUIREMENTS AND AGREEMENTS (AUGUST

a. Required non-disclosure agreements are attached and must be completed and returned to the Contracting Officer before starting work under this contract.

b. Provisions of the SEC Regulation Concerning Conduct of Members and Employees and

Former Members and Employees of the Commission expressly prohibit unauthorized disclosure and improper use of confidential or non-public information or documents. See 17 C.F.R. § 200.7353(b)(1) & (b)(2). The Contractor, and its employees, agents, subcontractors, and subcontractor personnel who will have access to confidential or non-public information or documents in the performance of the contract, agree to be bound by the provisions of Sections 200.735-3(b)(1) and 200.735-3(b)(2) of the SEC's Regulation Concerning Conduct and the terms set forth in the attached non-disclosure agreements (Attachments 8 & 9).
