(End of Provision)

The associated North American Industrial Classification System (NAICS) code for this procurement is 333242, Semiconductor Machinery Manufacturing, with a small business size standard of 1,500 employees.

This acquisition is being solicited as a 100% small business set-aside for brand name or equal items.

BACKGROUND:

The National Institute of Standards and Technology (NIST) has a state-of-the-art research laboratory in Boulder, Colorado that includes a Class 100 microelectronics fabrication facility, called the Boulder Micro-fabrication Facility (BMF). The BMF currently owns five (5) Semitool 870-S dual stack SRDs and one (1) Semitool 880-S dual stack SRD. Due to their age, the BMF’s existing SRDs require refurbishment. Additionally due to increased demand, the BMF requires one (1) additional Semitool 870-S dual stack SRD and one (1) additional Semitool 880-S dual stack SRD. These specific Semitool model SRDs are required so they are drop-in compatible with the BMF’s existing SRDs. Therefore, this requirement is for brand name or equal services and products to refurbish six (6) Semitool SRDs as well acquire two (2) new Semitool SRDs.

The Statement of Work (SOW) includes the characteristics and level of quality that will satisfy the Government’s needs for SRDs, as well as the salient physical, functional, or performance characteristics that “equal” products must meet.

To be considered for award, offers of "equal" products, including "equal" products of the brand name manufacturer, must:

1) Meet the salient physical, functional, or performance characteristic specified in this SOW,

2) Clearly identify the item by brand name, if any and make or model number,

3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and

4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the SOW. Mark any descriptive material to clearly show the modifications.

The Contracting Officer (CO) will evaluate "equal" products on the basis of information furnished by the offeror and reasonably available to the CO. The CO is not responsible for locating or obtaining any information not identified in the offer. If the offeror does not furnish a sufficient level of information to determine whether their proposed “equal” services and products meet the salient characteristics identified in the SOW, the CO will determine that they are not met. Unless the offeror clearly indicates in its offer that the product being offered is an "equal" product, the offeror shall provide the brand name product referenced in the solicitation.

See Attachment A, Statement of Work (SOW) for full requirement details.

LIST OF ATTACHMENTS:

The following documents and forms are hereby provided as attachments. The purpose of these attachments is for reference and to provide specification requirements to the Contractor for quotation purposes only.

Addendum to FAR 52.212-1, Quotation Preparation Instructions:

All quotations shall conform to solicitation provisions/clauses and be prepared in accordance with this section. The quotation shall be clearly and concisely written as well as be neat, indexed (cross-indexed as appropriate) and logically assembled. Note: The term “indexed” refers to a table of contents that lists sections and page numbers. All pages of the quotation shall be appropriately numbered.

In preparing the quotation, each volume shall stand on its own. For each given evaluation factor the Government will only evaluate the information provided in the corresponding section of the quotation. The Offeror’s quotation shall be clearly divided into the following distinct volumes as separate attachments:

Volume I – Technical Volume II –Experience Volume III – Price Quotation Volume IV – Terms and Conditions

Volume I - Technical:

The technical quotation shall consist of a technical description or product literature for the proposed products and services, which clearly identifies each requirement listed in the Statement of Work (SOW). The offeror must demonstrate that its proposed product meets or exceeds each minimum requirement described in the SOW by providing a citation to the relevant section of its technical description or product literature. The offeror must not simply state they will meet or exceed the requirement; evidence must be provided. If applicable, evidence that the offeror is authorized by the original provider to provide the item(s) in the quotation should be included.

Volume II – Experience The quoter shall describe up to three (3) relevant (similar in scope, size, and complexity) contracts/projects demonstrating experience that aligns to the requirements of this solicitation.

Volume III - Price Quotation:

The offeror shall submit an electronic copy of the completed price quotation. The price quotation shall be separate from any other portion of the quotation. The offeror shall propose a separate firm-fixed-price, FOB Destination, quotation for each CLIN. Price quotations shall remain valid for a period of 90 days from the date quotations are due. Contractor shall state express warranty coverage (if applicable).

Offerors/quoters that are proposing products manufactured outside of the United States must identify any other or unknown charges that may be applicable to the sale of these products (here indicated as CLIN 0005) as a separate line item on price quotes/proposals. This price element may be listed as part of the cost of the product or as a sub-total element but must be clearly identified. This price element must only apply to the total value of the goods identified for customs processing. Only include the country of origin and the tariff percentage currently in place or the expected amount at time of delivery for that country. Price quotes shall clearly identify the relevant tariffs in terms of percentage and total cost. If there are multiple countries of origins and associated tariffs, identify each separately.

Volume IV - Terms and Conditions

NOTE: System updates may lag policy updates. The System for Award Management (SAM) may continue to require entities to complete representations based on provisions that are not included in agency solicitations. Examples include:

52.223-22, Public Disclosure of Greenhouse Gas Emissions and Reduction Goals—Representation, 52.212-3, Offeror Representations and Certifications—Commercial Products and Commercial Services - paragraph (d).

Contracting officers shall not consider or use these representations when making award decisions or enforce requirements. Entities are not required to, nor are they able to, update their entity registration to remove these representations in SAM.

1. 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services (May 2024)(Deviation Feb 2025). The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website accessed through http://www.sam.gov/portal. It is the sole responsibility of the contractor to identify in their quotation any exceptions to the terms and conditions of the solicitation. If the contractor does not include such a statement, the submission of a quotation in response to this solicitation will be regarded as the Contractor's acceptance of the Government's terms and conditions for inclusion into the resultant purchase order (PO).

Note: This procurement is not being conducted under the GSA Federal Supply Schedule (FSS) program or another Government-Wide Area Contract (GWAC). If an Offeror submits a quotation based upon an FSS or GWAC contract, the Government will accept the proposed price. (End of provision Addendum to 52.212-1)

Provision 52.212-2, Evaluation-Commercial Products and Commercial Services applies to this procurement. The evaluation criteria included in paragraph (a) of the provision are as follows:

EVALUATION CRITERIA

The Government intends to award a single purchase order (PO) from this solicitation using simplified acquisitions procedures for Certain Commercial Products and Commercial Services in accordance with FAR subpart 13.5. The government will make an award, based on best value, to the vendor with the proposed solution that is most advantageous, price and other factors considered. When combined, non-priced factors are significantly more important than price. The Government reserves the right not to award a PO and to make an award without discussions based solely upon initial quotes.

Evaluation Factors:

1) Technical: Evaluation of technical capability shall be based on the information provided in the technical quotation. NIST will evaluate whether the quoter has demonstrated that its quoted service and equipment meets or exceeds all minimum requirements stated in the SOW. Quotations that do not meets all requirements will not be considered further for award. If an offerors technical description and/or product literature does not indicate whether its quoted product and services meets a certain minimum requirement, NIST will determine that it does not meet the requirements. Additional preference will be given to contractors that supply new SRD units and refurbish existing SRD units to be controlled by a system that has a touch screen interface that allows the user to run an automatic recipe and also allows the user to manually operate different parts of the system such as vales.

2) Experience: The Government will evaluate the Offeror’s prior demonstrated experience delivering and refurbishing instruments similar to the those in the SOW to determine the level of confidence the Government has in the quoters experience and ability to successfully deliver and perform SOW requirements. Additional preference will be given to contractors that have installed at least three (3) SRD systems that perform according to SOW requirements.

3) Price: The proposed price will be evaluated. The evaluation will determine whether the proposed prices are reasonable in relation to the solicitation requirements. Prices must be entirely compatible with the technical portion of the quotation.

FAR 52.229-11 Tax on Certain Foreign Procurements--Notice and Representation (JUN 2020)

(a) Definitions. As used in this provision-- Foreign person means any person other than a United States person.

Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area.

United States person as defined in 26 U.S.C. 7701(a)(30) means—

(1) A citizen or resident of the United States;

(2) A domestic partnership;

(3) A domestic corporation;

Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. (g) A taxpayer may, for a fee, seek advice from the Internal Revenue Service (IRS) as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts.
