PL352 TASK ASSIGNMENT 27
TASK DESCRIPTION
Resource Management Projects
1. TASK DESCRIPTION: FORESTECH Consulting, Inc. (dba F4 TECH) (hereinafter referred to as the “Contractor”) will perform the following services, actions, and/or tasks in completing the proposed work for the Department of Environmental Protection (hereinafter referred to as the “Department”).
Resource management projects (hereinafter referred to as “Projects”) are located within properties being managed by the Department. Example activities intended to maintain, improve, restore, and/or protect the quality of natural communities across Department lands include: prescribed burning, fireline installation or improvement, mechanical vegetation control and removals, invasive/exotic plant control, timber and biomass sales, site preparation, tree and other vegetative planting, trash/debris removal, and hydrological restoration/management. The Department recognizes the total cost of all Projects potentially represents a greater dollar amount than the not-to-exceed value of this Task Assignment.
Therefore, some Projects may not be implemented unless additional funding is allocated.
The Department will prioritize Projects and tasks prior to submitting these Projects to the Contractor requesting review, assessment, and possible implementation. The Department Task Manager will notify the Contractor regarding, which Projects are chosen for Contractor activities described herein. This process shall facilitate multiple Projects being undertaken simultaneously with each Project being designed and managed independently with its own timeline for completion. The Department shall approve each action in writing prior to the Contractor or Subcontractor commencing work. It is expected that many Projects will be in various stages of completion at any point in time. Project completion dates will be mutually determined by the Department and the Contractor.
A. Project Evaluation, Costing, Implementation
Project Evaluations: Project evaluations will provide the Department with data and information to facilitate the decision-making process and support the timely and cost-effective implementation of Projects. Evaluation of project data and information may also result in upgrading, downgrading, combining, or even discarding certain Projects from further consideration. The Department shall notify the Contractor regarding which Projects to provide cost estimates to complete. Once received, the Department Task Manager or Contract Manager will review Project cost projections and instruct the Contractor to either proceed or cease related actions. Upon notification from the Department Task Manager or Contract Manager, the Contractor shall perform the following actions for each potential Project.
1. Conduct Pre-Planning. Hold meetings with Department field staff to discuss goals for each Project and receive pertinent documentation. Summarize meeting events in written format via meeting notes/minutes as requested by the Department.
2. Inspect and Evaluate. Determine overall needs for each Project and site, verify or estimate quantities, clarify methods, identify obstacles, and provide a written summary of observations, options, and recommendations. The summary will include estimated costs for all necessary labor, materials, equipment, subcontractors, and any applicable markup to complete the Project.
3. Develop and Produce the Scope of Work (SOW) Document. Contractor shall prepare SOW documents that will describe Project goals; tasks to be performed with specific instructions on what, where, and when these tasks are to be accomplished; how work will be managed and documented; and contact information for pertinent Department and Contractor staff.
The Department will review associated findings, deliverables, and the probability of Project completion.
The Department will subsequently consult with the Contractor and determine which Projects or portions of projects shall be approved, delayed, reconfigured, re-evaluated, or discarded.

Cost Estimates and/or Bids to Implement Project: The Department Task Manager or Contract Manager will notify the Contractor in writing and identify Projects requiring an all-inclusive, cost estimate.
Supplemental documentation may be required depending upon the nature of the work, such as equipment standards, materials specifications, treatment prescriptions, record keeping logs, scale tickets, timber sale settlement statements, etc. These forms or templates shall be supplied to the
Contractor simultaneously with the notification to provide a cost estimate to implement a specific Project. The Contractor shall submit to the Department the total cost and timeframe to complete the Project. When Subcontractors are utilized, the Contractor shall prepare bid packages, a summary of pre-bid meetings, and bids received.
Following the receipt of a total cost to implement the actions listed in the SOW (and any supplemental documentation), the Department shall notify the Contractor in writing regarding its decision to either proceed or cease actions on a Project or group of Projects. Upon rejecting a Project proposal, the Department may take any action available to pursue the Project to include re-designing, delaying, and/or utilizing alternative sources.
Implementation: The Department Task Manager or Contract Manager shall notify the Contractor in writing regarding the status of each Project considered, e.g., approved, postponed, or cancelled. Prior to the commencement of work, a kickoff meeting involving the Contractor, Subcontractor(s), and Department staff will be held on site. Once implementation work on an approved Project begins, the Contractor shall provide a periodic status summary or update of Project events. The format, frequency, and delivery methods of these “Project Implementation Status Reports” were jointly-developed by the Department Task Manager and the Contractor and will be commensurate with the scope, scale, duration, and current activity level of a subtask supporting the Project. For example, timber sale inspections may occur more frequently than those required for herbicide treatments. The Contractor will coordinate with the Department Field Representative (Park Manager, Biologist, or other Department staff as assigned by a Field Office District Chief) concerning Project logistics.
B. Project Management: The Contractor shall manage the overall services, actions, supplemental deliverables, and/or tasks supporting this task assignment.
2. DELIVERABLES: The Contractor shall prepare and submit the following deliverables to the Department.
Electronic documents shall be uploaded to the Department FTP site or an alternative site agreed upon by the Department and the Contractor.
A. Project evaluation documentation summarizing observations, options, and estimated costs to complete a project
B. Meeting notes/minutes for scheduled, formalized meetings involving Department and F4 Tech staff
C. Project-specific SOWs
D. Subcontractor bid packages, pre-bid meeting summaries, and bids received

3. TRAVEL: The Contractor shall be authorized to travel in supporting the services, actions, and tasks described above. Pursuant to Paragraph 8.A.4 of the subject Contract, each traveler must complete a Department Voucher for Reimbursement of Travel Expenses form and submit with receipts. Reimbursement shall be made
DEP Contract PL352, Task Assignment 27, Page 5 of 5 in accordance with Section 112.061, Florida Statues (F.S.). The Contractor understands that no allowances shall be made for meals when travel is confined to the city or town of the official headquarters or immediate vicinity (within 15 miles of the city or town of the official headquarter) of the contracted personnel.
4. PERFORMANCE MEASURES: Each deliverable shall be reviewed by the Department Task Manager or Contract Manager to ensure that work was performed as specified above.
5. FINANCIAL CONSEQUENCES: No payment will be made for unsatisfactory deliverables. In the event that a deliverable is deemed unsatisfactory, the Contractor shall re-perform the services needed for submittal of a satisfactory deliverable, at no additional cost to the Department within fifteen (15) consecutive days. If a satisfactory deliverable is not submitted within the specified time frame, the Department may, in its sole discretion, terminate the Contract for failure to perform, or implement other remedies as detailed in Section 12 of Contract PL352. The Department reserves the right to terminate this Task Assignment or any portion thereof upon notice to Contractor.
6. COST: As determined by the Department, the Contractor shall estimate, perform, and invoice work outlined herein as an all-inclusive fixed rate per measurable unit (acre, linear foot, square foot, cubic yard, ton, gallon, etc.), and/or on a time and materials basis (including travel) with a not-to-exceed total amount per Project.
Contractor current wage rates are identified in Contract PL352 (Attachment B - Response Form). Per Contract PL352, the Contractor may utilize Subcontractors and may markup Subcontractor costs up to five percent (5%). Equipment rentals and materials needed to support a Project, e.g., machinery, portable buildings, road stabilization materials, etc., are not subject to the referenced markup. Any additional proposed costs must be reviewed and approved by the Department Task or Contract Manager. Contractor fees under this Task Assignment are determined and approved by the Department per individual Project. Total of all fees in this Task Assignment shall not exceed $1,904,807.50 (One million, nine hundred four thousand, eight hundred seven dollars and 50/100 cents). Should anticipated costs exceed the identified amount, the Department shall be notified as soon as possible in order to consider a change order.
7. PAYMENT: The Contractor shall submit itemized invoices to the Department upon completion and acceptance of each task as identified in the Deliverables. Depending upon Project needs, the Department and Contractor will determine invoicing periods. Most Projects will be invoiced monthly, while others may be invoiced more frequently. Invoiced amounts will be based on the number of hours worked multiplied by the rates identified in Attachment B - Response Form of the Contract and/or as measurable unit fixed cost(s) as approved by the Department.
Partial payments for work implemented shall be available to the Contractor. The amount of work accomplished and payment amount to invoice shall be measured or estimated by the Department Field Representative and the Contractor, documented and authorized with signatures, and submitted to the Department Task or Contract Manager for approval and processing.
Payment shall be made pursuant to Paragraphs 7, 8, and 9 of the Contract and any applicable addenda thereto. Per Section 8, Invoicing Requirements, No. 9 (Retainage) of the Contract, the Department reserves the right to establish and apply Retainage on a Task Assignment.
8. REIMBURSABLES: Specific requirements concerning reimbursable items are detailed in at least three (3) areas of the Contract:
A. Paragraph 8;
B. Attachment B (Response Form); and C. Attachment F (Contract Payment Requirements).
9. TERM: This task assignment shall begin upon execution and terminate December 15, 2020 unless the Department earlier terminates contract PL352 or this task assignment.
