About this file
DEP Contract No. PL263, Amendment No. 4 is a contract amendment executed between the Florida Department of Environmental Protection (Department) and Florida State University, Board of Trustees (Contractor). The amendment, dated June 23, 2016, modifies the original contract executed July 12, 2012, with prior amendments dated July 25, 2012 and June 16, 2015. The Department of Environmental Protection's Office of Environmental Services serves as the state agency, while Florida State University's Sponsored Research Administration represents the contractor, with technical coordination provided through the Florida Natural Areas Inventory.
The amendment exercises a renewal option extending the contract completion date from June 30, 2017 to June 30, 2022, representing an additional term not to exceed three years or the original contract term, whichever period is longer. The amendment modifies termination provisions to allow either party to terminate without cause upon 30 business days' written notice, with the contractor entitled to recover amounts earned for authorized deliverables completed through the termination date or costs incurred and non-cancelable obligations with Department written approval. The amendment updates contract management procedures, notice requirements, and adds provisions addressing E-Verify employment verification requirements, public records compliance under Florida Chapter 119, disqualification based on unauthorized alien employment, MyFloridaMarketPlace transaction fee exemption, tax exemption status, and dispute resolution procedures requiring informal conference and potential mediation before litigation in Leon County, Florida.
