52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND
COMMERCIAL SERVICES (SEP 2023)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition--
(1) Is set aside for small business and has a value above the simplified acquisition threshold;
(2) Uses the HUBZone price evaluation preference regardless of dollar value, unless the offeror waives the price evaluation preference; or
(3) Is an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at Federal Acquisition Regulation
(FAR) 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the
Government reserves the right to conduct discussions if later determined by the Contracting
Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

The
Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see FAR subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a

2601 through 3117 using a completed total proposed price (TPP) table. This table should be formatted similarly to the example provided in this Combined Synopsis Solicitation
Paragraph (v) and submitted as an Excel worksheet. The TPP table must clearly demonstrate:
a. How the estimated quantities multiplied by the unit price result in the total price for each course, for each Ordering Period.
b. How the totals for each Ordering Period sum to the total estimated contract value, which will serve as the Total Evaluated Price (TEP).
The Excel worksheet must be unlocked, with all formulas visible and accessible for review.
(ii) The Offeror shall provide Certifications, Representations and Other Statements identified in the solicitation clauses 52.209-7 and 52.212-5.
(iii) Period for acceptance of offers. The Offeror shall set its proposal validity period at not less than 180 calendar days from the date specified for receipt of offers. This supersedes the language appearing at 52.212-1(c).
(iv) SMALL BUSINESS SUBCONTRACTING PLAN (LARGE BUSINESS
OFFERORS ONLY)
a. If a Large Business Offeror intends to subcontract any portion of the work, the
Offeror shall provide an Individual Small Business Subcontracting Plan meeting the requirements of FAR clause 52.219-9 and DFARS clause 252.219-7003.
b. If a Large Business Offeror does not intend to subcontract any portion of the work, the Offeror shall state that there are “No Subcontracting Possibilities” and include a rationale containing sufficient details and support in accordance with
FAR 19.705(b); examples of the overall rationale for no subcontracting possibilities include the following: Offeror maintains sufficient in-house capability to perform the work; Acquiring XYZ portion of the work via subcontract would have a significant impact/disruption on our ability to provide satisfactory contract performance, etc.
(v) The offeror shall certify, in writing, that they shall possess the necessary resources, personnel, and expertise to meet all training requirements as specified within the
Government’s performance work statement upon award.
(3) Clarity and completeness of the Price and Administrative volume are of the utmost importance. A price must be proposed for each CLIN regardless of the quantity stated (a $0.00 price will be evaluated and awarded as a price of $0.00). The Price and Administrative volume must be written in a practical, clear and concise manner. It must use quantitative terms whenever possible and must avoid qualitative adjectives to the maximum extent possible. The Price and
Administrative volume must be internally consistent.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
(NOV 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the
Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
ADDENDUM TO FAR PROVISION 52.212-2 EVALUATION
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose proposal represents the lowest price technically acceptable proposal after evaluation, in accordance with the solicitation. Offerors are advised that a technical section with an “Unacceptable” Technical Rating will result in the entire proposal being found unacceptable and ineligible for award on initial proposals. Though the Government reserves the right to hold discussions, award may be based on the original offers. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a technical and price standpoint. If a competitive range is established, the Government may limit the number of proposals to the greatest number that will permit an efficient competition among the most highly rated proposals. The
Government may reject any or all offers if such action is in the public interest; and waive informalities and minor irregularities in offers received. The following factors shall be used to evaluate offers:
(1) Technical Volume (The capability of the item offered to meet the Government requirement):
For the Technical Volume, a Technical Rating will be assigned on an “acceptable” or
“unacceptable” basis. The Technical Rating reflects the Offeror’s ability to meet the solicitation requirements using a technically “acceptable/unacceptable” evaluation approach. Offerors are advised that a technical Section(s) with an “Unacceptable” Technical Rating will result in the entire proposal being found unacceptable and ineligible for award on initial proposals.
(i) Section 1: Training Facility, Applicable Equipment and Instructor Personnel
Government evaluators will use the requirement checklist below to determine whether an offeror is technically acceptable for Section 1.
Section 1 – Training Facility, Equipment and Instructor Personnel
Section 1 - Acceptable
Unacceptable
1. Offeror described training facility and provided proof of a qualified 14 CFR Part 147 Training Center or ATA
Qualified/Compliant training facility capable of meeting PWS requirements. IAW PWS Sections (a) (b), and (c) and
Instructions for Proposal paragraph, (c)(1)(i)).
Summary of Offeror’s Proposal:
Acceptable
Unacceptable
2. Offeror provided the Airframe and Power Plant (A&P) License for each proposed instructor and each proposed instructor has demonstrated, practical knowledge and experience in the
Boeing 737 next generation (NG) (The A&P license may be waived in cases where an instructor can demonstrate extensive practical experience as determined by the government) in accordance with PWS Section (b)(2)(xiii) and Instructions for
Proposal, paragraph (c)(1)(ii).
3. Offeror described having the required Training Devices, at the time of proposal, in accordance with PWS Section (b)(2)(viii) and Instructions for Proposal paragraph, (c)(1)(iii).
(ii) Section 2: Course Curriculum and Performance Levels/Capabilities
Under this Section, the Government will evaluate the offeror’s course curriculum for content, course length, training approach and use of simulator and/or flight training devices to meet RFP requirements as described in the PWS.
Government evaluators will use the requirement checklist below to determine whether an Offeror is technically acceptable for Section 2.
Section 2 – Course Curriculum and Performance Levels/Capabilities
Section 2 - Acceptable
Unacceptable
1. Offeror described its proposed course curriculum including lesson outlines, the use of actual or mock aircraft components for hands on training and trainer/simulator events that meet the requirements of PWS Section (b)(1) and Instructions for
Proposal paragraph, (c)(2)(i).
2. Offeror proposed training course length, including number of training days and course hour length, that meets student training requirements as described in the PWS Section (b)(1) and Instructions for Proposal, paragraph (c)(2)(ii)).
3. Offeror proposed a daily lesson/event block schedule with each day broken out by hours for each course that meets the requirements of PWS Section (b)(1) and Instructions for
Proposal paragraph, (c)(2)(iii).
4. Offeror described how each course in PWS Section (b)(1) meets ATA Specification 104 requirements, and any applicable
FAA or 14 CFR criteria in accordance with Instructions for
Proposal, paragraph, (c)(2)(iv)).
Within the Technical Section, each section will be evaluated and assigned a compliance rating as follows:
Compliance Rating Definition
Acceptable Proposal meets requirements, indicates an adequate approach and understanding of the requirements, has no deficiencies, and is awardable.
Unacceptable Proposal does not meet requirements, contains one or more deficiencies, and is un-awardable.
(2) Price Volume
Price proposals will be evaluated for a Total Evaluated Price (TEP), reasonableness, materially unbalanced pricing, and completeness.
(i) Total Evaluated Price (TEP). Using the total proposed price (TPP) table, the price of all FFP items will be totaled to determine the TEP. The TEP will also include the amount associated with
FAR 52.217-8 – Option to Extend Services.
(ii) Reasonableness. Normally, competition establishes price reasonableness. In limited situations, additional analysis will be required by the Government to determine reasonableness.
If, after receipt of a proposal, the PCO determines that adequate price competition does not exist for the firm, fixed-price efforts and a determination is made that none of the exceptions in FAR
15.403-1(b) apply, the offeror may be required to provide certified cost and pricing data in accordance with FAR 15.403-4. The Government will evaluate the reasonableness of the total evaluated price.
(iii) Unbalanced Pricing. Proposals will be analyzed to determine if the prices are materially unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of price analysis techniques. An unbalanced offer may pose an unacceptable risk to the Government and may be rejected.
(iv) Completeness. Proposals will be analyzed to determine if the administrative information submitted is complete in regard of the data requested in the Instruction for Proposal, paragraph
(5)(b); (i)-(v).
