QUOTE PREPARATION INSTRUCTIONS
To ensure a timely and equitable evaluation, offerors shall follow the instructions contained in this section.
Quotes must comply with all solicitation requirements, including terms and conditions, representations and certifications, with particular attention given to those identified as evaluation factors. Non-conformance with these instructions may result in elimination from consideration.
The Government intends to make an award based on the initial quote submissions without conducting discussions. Therefore, each offer should contain the offeror's best terms considering all evaluation factors and subfactors. However, the Government reserves the right to conduct discussions if during the evaluation, it is determined to be in its best interest. Discussions are fluid interaction(s) between the Contracting Officer (CO) and the Offeror(s) that may address any aspect of the quote and may or may not be documented in real time. Offeror responses to discussions shall be considered in making the award selection decision. Discussions may be conducted with one, some, or all offerors. If the Government enters discussions, the Government may or may not request final quotation revisions.
Quotes shall be clear, concise, and include sufficient detail to permit effective evaluation and to substantiate the validity of stated claims. Page limitations should be considered maximums. Pages in excess of the maximum will not be read or evaluated. A page is defined as one single sided sheet, measuring either the UK specification (210mm X 297mm) or the US standard specification (8.5 inches X 11 inches). For the purpose of formatting, font size shall be either 11 or 12 point and documents must use standard margins of 254mm for UK pages and 1 inch for US pages.

The plan shall reflect the offeror's overall approach to quality and internal controls, and procedures for evaluating each of the major service areas (who, method, how often), reporting to the Government, resolving deficiencies, identifying potential improvements, documenting quality control inspections, corrective actions taken, and maintaining quality control documentation.
Subfactor 3 - Mission Essential Plan:
The Government has identified services performed under this contract as essential contractor services in support of mission essential functions.
IAW R-DFARS 252.237-7024 Notice of Continuation of Essential Contractor Services.

(ii) The amount of hours associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site.
(iii) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home.
(iv) Any established alert and notification procedures for mobilizing identified essential contractor service personnel; and
(v) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis."
Subfactor 4 - Past Experience:
The offeror shall provide recent and relevant evidence of at least one contract, but not more than three contracts, where haulage, maintenance and repair services have been provided. To be considered 'recent' services must be performed within the last five (5) years of issuance date of the solicitation. To be considered 'relevant' services must be of same/similar scope, magnitude and complexity to the work outlined in the PWS. The period of performance must be a minimum of one (1) year and the total contract value at or exceeding 500,000 GBP (or US Dollar equivalent).
Evidence of past experience shall include the following information: Company/Agency/Customer Name/Customer Contact Information, Description of service provided, contract number/project number, contract value, and period of performance.
VOLUME III - PRICE
The offeror shall insert all proposed line-item unit prices in Attachment 4, Price Schedule. The offeror shall ensure that the sum of the total prices proposed for the entire period of performance is listed on the Pricing Schedule.
Pricing shall be all inclusive (e.g., all materials, transportation, labor, etc.) and shall clearly be illustrated on the Pricing Schedule. The type of currency submitted shall be the type of currency used to conduct business/receive payment (exclusive of VAT/TAX). Additionally, unit prices shall be rounded to no more than two places after the decimal point. The extended amounts shall equal the unit price multiplied by the quantity for each unit.
Quotes submitted in Great British Pounds (GBP) will be converted to US Dollar (USD) using a conversion rate of 1 USD = GBP 0.7794 for the purpose of evaluation.
Provide unit prices and extended prices for all CLINs in your quote. Calculate a total price for each of the following periods: Year One (1), Year Two (2), Year Three (3), Year Four (4), Year Five (5). Also, provide a final total price representing the sum of the total prices for the five year ordering period.
General Instructions: Quotes shall be sufficiently detailed to demonstrate their price reasonableness, completeness, and balance. The Government may not award a contract based on a quote with unbalanced pricing. Compliance with these instructions is mandatory and failure to comply may render your quote ineligible for award. The burden of proof for credibility of proposed prices rests with the offeror.
DEBRIEFINGS:
RFO 52.212-1(e) If a post-award debriefing is given to requesting Offerors, the Government will disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed Offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful Offeror and the debriefed Offeror and past performance information on the debriefed Offeror.
(3) The overall ranking of all Offerors when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award.
(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful Offeror.
(6) Reasonable responses to relevant questions posed by the debriefed Offeror as to whether the agency followed source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities.
INFORMATION PRICING NOTE - TUPE (Transfer of Undertakings Protection of Employment Regulations 2006)
Definition. The United Kingdom's Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) is the main piece of legislation governing the transfer of an undertaking, or part of one, to another. The regulations are designed to protect the rights of employees in a transfer situation.
The Government does not have access to specific TUPE information and will not become involved in any related TUPE processes or associated liabilities (including indemnification). This applies during both the pre-award and post-award phases between transferor and transferee. While the Government understands the relevance of TUPE information in proposing fixed prices, the responsibility to provide TUPE information rests solely with the transferor, as governed by Regulation 11 of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE). As the transferor needs only to provide TUPE information to the transferee prior to the transfer, the Government's only obligation is to make available the listing of the current, incumbent contractor(s) with associated points of contact, if requested. The Government is not responsible for determination of TUPE applicability; the responsibility lies solely with the transferor.
As this is a firm-fixed-priced contract it is incumbent upon the offeror to calculate any anticipated TUPE pricing at time of quotation submittal. TUPE costs cannot be submitted as a conditional quotation, if submitted as such the offeror's quotation will be considered unacceptable and the offeror may be excluded from competition.
