SECTION I: OVERVIEW

A. BACKGROUND, SCOPE AND OBJECTIVES

The U.S. Army Corps of Engineers (USACE), Transatlantic Middle East District (TAM), has a foreign military sale requirement to repair the Air Traffic Control Tower (ATCT) and support facilities for the Iraq Air Force Command at Imam Ali Airbase, Iraq.

TAM will be awarding a single, firm fixed price (FFP) construction contract, Design-Bid-Build (D-B-B), utilizing the Best Value Trade Off (BVTO) source selection proposal evaluation method. This project is a foreign military sale (FMS) case authorized under IQ-D-QBE.

Project Location: This project is located at the Imam Ali Air Base located near Nasiriyah, Iraq, in southern Iraq, approximately 120 miles northeast of the city of Basra.

Project Description: This effort shall provide for the repair, restoration and upgrade of the existing ATCT at Imam Ali Air Base, Iraq. The existing ATCT has been in various states of disrepair since 2011 with limited to no maintenance performed on the facility since that time. The repair, restoration and upgrade of the ATCT will include but is not limited to complete structural integrity, electrical power, backup electrical power including diesel generators, Heating, Ventilation, and Air Conditioning (HVAC) systems, fire suppression systems, plumbing systems, conveyance systems, lightning grounding protection, doors, windows, floors and other building systems as required.

The contractor shall provide all management, administration, quality control, labor, transportation, equipment, materials, vehicles, heavy equipment, supplies and other items as necessary to perform the services contained in the scope of work.

The overall Period of Performance (PoP) shall be three hundred and sixty-five (365) calendar days from Notice to Proceed (NTP) for the entire scope of work.

B. ACQUISITION STRATEGY

TAM proposes to issue a solicitation and make one award of a firm-fixed-price (FFP) Design-Bid-Build (DBB) construction contract. This project shall be solicited and competed as a full and open solicitation.

The proposals will be evaluated in accordance with FAR 15.101-1 based on the Best Value Trade-Off (BVTO) source selection process. Award will be made to the offeror who represents the best overall value to the Government and has been determined to be responsible in accordance with FAR Subpart 9.1. Implicit in this process is the Government’s willingness to accept other than the lowest priced offer if the added benefits of a higher priced offer outweigh the additional cost or price involved.

B. PROPOSAL REQUIREMENTS, CONTENT, AND FORMAT

The Government will not reimburse any costs incurred or associated with preparation and submission of any responses to this solicitation. Oral explanations or instructions to offerors are not binding. Any information given to an offeror which impacts the solicitation and/or offer will be given in the form of a written amendment to the solicitation. The solicitation and any amendments will be issued electronically and publicly posted on the https://sam.gov website. It is an offeror’s responsibility to continuously check for any amendments to this solicitation and acknowledge any and all amendments in its proposal submission.

Offerors should not modify the terms and conditions of the solicitation in either the technical or price proposal or add conditions or qualifications to their offers. Should an offeror include terms and conditions that conflict with the terms and conditions of the solicitation, that offeror may be determined to be ineligible for award. Further, the Government will be entitled to make award despite terms and conditions in the successful offeror’s proposal that conflict with the terms and conditions of the solicitation, and such terms and conditions in the offeror’s proposal will be deemed rejected and will not become part of the awarded contract. Any questions related to specific terms and conditions contained within the solicitation should be resolved prior to submission of an offer.

References to “confidential” projects cannot be submitted to demonstrate capability unless all of the information required for evaluation as specified herein can be provided to the Government as part of an offeror’s technical proposal. Offerors that include information in their proposals they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall clearly mark their proposals in accordance with the instructions at FAR clause 52.215-1, Instructions to Offerors-Competitive Acquisition, paragraph (e), Restriction on Disclosure and Use of Data.

Use of the words “will”, “shall”, or “must” indicates a mandatory requirement for which failure to comply, at the time and date for submission of proposals, shall result in an offeror’s proposal being disqualified from consideration for award, unless the Government determines to conduct discussions in accordance with FAR 15.306, thereby providing a means by which appropriate corrections by the offeror(s) involved can be made. Failure to comply with non-pricing or pricing requirements that are annotated with the words “should” or “may” can result in a lowering of an offeror’s non-pricing ratings and may have a significant effect upon an offeror being selected for the contract award. Time periods, if stated as a number of days, are calendar days unless otherwise specified.

1. PROPOSAL CONTENT

Offerors are required to submit proposals with at least the minimum content specified herein. A proposal without the minimum content may result in a determination that the proposal is unacceptable. E. BASIS OF AWARD

1. The proposals will be evaluated in accordance with FAR 15.101-1 based on the Best Value Trade-Off (BVTO) source selection process. Award will be made to the offeror who represents the best overall value to the Government and has been determined to be responsible in accordance with FAR Subpart 9.1. Implicit in this process is the Government’s willingness to accept other than the lowest priced offer, if the added benefits of a higher priced offer outweigh the additional cost or price involved. The Government intends to award one FFP contract at the conclusion of non-pricing and pricing evaluations.

2. Subject to the provisions contained herein, the Government will evaluate proposals to determine the offeror that is responsible in accordance with FAR Subpart 9.1, whose proposal is responsive to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation represents the best value to the Government, considering both price and non-price factors.

3. The technical evaluation team, using reasoned judgment, shall evaluate proposals by identifying significant strengths, strengths, significant weaknesses, weaknesses, uncertainties, and deficiencies in each offeror’s proposal and assigning a combined technical/risk rating to each offeror’s proposal for each technical factor.

Definitions

Significant Strength is an aspect of an offeror's proposal that has appreciable merit or appreciably exceeds specified performance or capability requirements in a way that will be appreciably advantageous to the Government during contract performance.

Strength is an aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Significant Weakness is a flaw in the proposal that appreciably increases the risk of unsuccessful contract performance. See FAR 15.001

Weakness is a flaw in the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001

Uncertainty is any aspect of a non-cost/price factor for which the intent of the offer is unclear (e.g. more than one way to interpret the offer or inconsistencies in the proposal indicating that there may have been an error, omission, or mistake).

Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

See FAR 15.001

A risk as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor or subfactor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

4. There may be contained within the evaluation factors certain mandatory or minimum requirements to be met for evaluation. There are also contained within the described factors requirements for the submission of certain documents. Failure to satisfy any mandatory or minimum requirement may result in a determination that a proposal is unacceptable.

5. The Government intends to select one offeror for an award without discussions, but reserves the right to hold discussions if the Government determines that to do so would be in its best interest. Therefore, an offeror’s proposal should contain the offeror’s best terms from a technical and pricing standpoint. The Government reserves the right to conduct discussions if it is determined by the Contracting Officer/Source Selection Authority (SSA) to be necessary.

6. In evaluating propsoals and making an award decision, the Government will credit only information pertaining to the offeror itself and to its subcontractors and coventurers in an offeror that is a joint venture, only as provided below in the selection factors. The Government will not credit the offeror with experience, past performance, or other characteristics or capabilities of firms that are merely related to the offeror (parent companies, subsidiaries, and other subsidiaries of the same corporate parent) without proof that the same, or most of the same, personnel and financial resources are available to the offeror and the firm whose information is submitted in response to the selection factors.

F. EVALUATION FACTORS

FACTOR 1: CORPORATE CAPABILITY

FACTOR 2: PRELIMINARY SCHEDULE

FACTOR 3: PAST PERFORMANCE

FACTOR 4: PRICE

Relative importance of the evaluation factors: For evaluation purposes, the Corporate Capability (Factor 1) Preliminary Schedule (Factor 2) and Past Performance (Factor 3) are equal to one another. Corporate Capability (Factor 1), Preliminary Schedule (Factor 2) and Past Performance (Factor 3) make up the non-pricing aspects of an offeror’s proposal, and when combined, are approximately equal in importance to the Price (Factor 4) aspect of an offeror’s proposal in the selection process.

FACTOR 1: CORPORATE CAPABILITY

Proposal Submission Requirements:

The Corporate Capability portion of an offeror’s proposal will be limited to twenty (20) pages in length, not including registrations, licenses, letters of intent, or the Performance Distribution Statement. Information provided that exceeds the page limit will not be evaluated.

An offeror should provide a detailed narrative that demonstrates the offeror’s understanding of the overall scope of work for the project and describes the offeror’s corporate capability to completing the work.

The Offeror shall submit the following:

a. Iraq Commercial Registration Certificate (business license): A copy of a current Iraq Commercial Registration Certificate (business license) in the offeror’s name in English or translated into English. In the alternative, in the event that the offeror’s licensure or authorization to perform construction in Iraq, is in some form other than a Commercial Registration Certificate, the offeror must provide documentary proof of each and every element of such licensure or authorization and a full explanation as to how its licensure or authorization, currently in effect, complies with the laws of Iraq. The requirement of the previous sentence applies to any form of licensure or authorization other than a Commercial Registration Certificate in the name of the prime offeror itself (the same legal entity), including the commercial registration of one or more coventurers in an offeror that is a joint venture if that is sufficient for performance of the resulting contract under the laws of Iraq.

b. Self-Performance: The proposal shall contain a Performance Distribution Statement (Attachment B) that identifies the type and percent of work to be performed by the offeror showing that the offeror will perform at least 30% of the work. Government contractors have experienced curfews, quarantines, base shutdowns and similar restrictions due to the pandemic. Secondary impacts to contract execution include, but are not limited to, supply chain disruptions, subcontractor delays, closed government offices, and the degradation of trade services for construction. The offeror should:

i. Describe its experience(s), during the pandemic, with restrictions on base access and secondary impacts (as described above) and the efforts made to mitigate the impact on contract performance;

ii. Explain its knowledge of Iraqi law, regulations and visa restrictions regarding COVID-19 and the impact of these measures on contract performance;

iii. Explain its knowledge of the contractual obligations for staffing critical positions. The offeror should propose a solution if, or when, a critical employee such as a project manager, quality control manager, or safety manager requires extended personal leave due to COVID-19; and

iv. Explain its plans and procedures for the following: 1) screening employees returning from leave or who are known to have had contact with infected individuals, 2) dealing with employees who show COVID-19 symptoms and 3) mitigating the effects of an outbreak of COVID-19 in a close-quarters labor camp.

e. Experience: Offerors shall provide a separate narrative (Attachment C), that outlines how its experience on similar scoped projects enhances its ability to perform the repairs, restoration, and upgrade of Air Traffic Control Tower at Imam Ali Air Base.

An offeror should provide experience within the last five (5) years on projects similar in scope to this project.

The scope of Air Traffic Control Tower (ATCT) includes repair, restoration and upgrade of ATCT, but is not limited to complete structural integrity, electrical power, backup electrical power including diesel generators, Heating, Ventilation, and Air Conditioning (HVAC) systems, fire suppression systems, plumbing systems, conveyance systems, lightning grounding protection, doors, windows, floors and other building systems

Evaluation Procedures, Adjectival Ratings and Descriptions:

An offeror’s corporate capability will be evaluated in its entirety to determine the offeror’s understanding of the requirements and its capability to execute the requirements of the solicitation. The Government will also evaluate the extent of the offeror’s consideration of the inherent challenges that are specific to this project scope, schedule, and location.

In evaluating an offeror’s corporate capability, the Government will evaluate each segment as follows:

Corporate Capability: The Government will evaluate proposals to determine the completeness and feasibility of an offeror’s corporate capability and its understanding of the overall scope of work and anticipated challenges.

The Government will evaluate an offeror’s corporate capability based on the following aspects:

a. Iraq Commercial Registration Certificate (Business License): The Government will ensure the offeror’s commercial registration certificate, or other documentation and explanation as permitted to satisfy this element above, are current, valid, and accurate. “Current” means that the certificate will be in effect through 31 December 2022. If the certificate will expire prior to 31 December 2022, the proposal shall include the offeror’s plan to extend the certificate. “Valid” means in effect. “Accurate” means if the name of the offeror differs in any way from the name on the business license, the offeror shall have explained the discrepancy and provided legal documentation showing that it will be authorized to operate in Iraq and to perform the requirements of the solicitation using documents provided to prove its licensure and authorization.

b. Self-Performance: The Government will evaluate the percentage of work to be performed by the offeror, as documented on the Performance Distribution Statement to ensure that it is 30% or more.

c. Base Access: The Government will evaluate the extent of an offeror’s understanding of the relevant security requirements of the Iraq Ministry of Defense for access to Iraq military installations and of the

Iraq Air Force for access to Imam Ali Airbase. The Government will evaluate the offeror’s site access and base pass acquisition plans for completeness, reasonableness, and feasibility.

d. COVID-19 Pandemic Impact: The offeror should be able to manage the effects and impacts of the pandemic. The offeror should have a robust plan to mitigate the effects and impacts of a COVID-19 outbreak during contract performance.

e. Experience: The Government will evaluate the offeror’s experience dealing with challenges on construction projects to determine how well these experiences have prepared the offeror to successfully perform the requirements of the solicitation. The weight assigned to the experience, consisting of lessons learned and established practices and solutions from the experience of any entity, whether the offeror, a major subcontractor, a coventurer, or the management personnel of any of those, will be dependent upon the extent to which the contractor has convincingly explained how that experience will be applied to avert and address construction challenges on the ATCT project.

Greater Weight Considerations:

Greater weight may be given to proposals that demonstrate the following:

a. Experience with obtaining access to Iraq military installations through the Iraq Ministry of Defense within the last 3 years.

b. Offeror has demonstrated successful performance of a (past or current) construction contract in Iraq during the pandemic and has explained how it employed sensible mitigation measures to minimize the pandemics impact on the work.

A single technical rating will be assigned to the corporate capability of an offeror’s proposal. The ratings include consideration of risks in conjunction with a proposal’s significant strengths, strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies. The Factor 1 evaluation will utilize the combined technical/risk ratings and the risk descriptions as follows:
