About this file
This document is an Emergency Purchase Extension form for the State of Illinois Department of Innovation and Technology (DoIT) for directory services provided by Terabyte Holdings, Inc dba Consolidated CCS.
The original emergency contract was awarded to Terabyte Holdings on August 30, 2022 for $140,000 to provide uninterrupted payphone and directory assistance services across state facilities including prisons and mental health centers. The current contract expires on November 27, 2022, and DoIT is requesting a 90-day emergency extension from November 28, 2022 to February 25, 2023 for an additional $140,000. The extension will allow DoIT time to complete the competitive bid process and award a new long-term contract. Terabyte Holdings was originally selected through a competitive bid process, and DoIT has successfully negotiated contracts with this vendor previously. The Chief Procurement Officer has authorized the extension, though cautions DoIT about the risks of operating without a valid contract in place.

Describe the scope of the original emergency (supply, service, etc.):
Terabyte Holdings Inc d/b/a Consolidated CCS provides payphone services across the state, prisons, and mental health facilities. This service needs to continue uninterrupted to prevent or minimize serious disruption in critical State services that affect health, safety, or collection of substantial State revenues.
Describe the scope of the extension (supply, service, etc.). Show justification for extending the original emergency contract, and explain why the extension need cannot be met through a competitive process:
To prevent or minimize serious disruption in critical State services that affect health, safety, or collection of substantial State revenues.
Terabyte Holdings was originally selected through a competitive bid process. That process resulted in P-457/CIC3654420 for the term of 12/14/2012-12/13/2021. Terabyte Holdings, LLC dba Consolidated Call Center Services operates the State of Illinois Directory Assistance and Informational Services for State users that may need to connect to a Directory Services Operator to inquire about State of Illinois services. DoIT has previously been able to successfully negotiate contracts with this vendor and the existing Emergency contract terms will be used for this Emergency Extension period.
The current emergency expires 11/27/2022. DoIT is currently developing an IFB to replace the emergency contract. There are no other valid competitive processes that can be utilized during the time of this extension request, therefore DoIT is requesting that the current vendor remains in place until a new contract under the IFB is established.
The extension of this emergency contract is to allow time for the new IFB to be published, awarded, and a new contract negotiated and executed. DoIT's estimated solicitation timeline is that this process will be completed by the end of the Emergency Extension requested end date.
Was authorization to proceed verbally given? No Yes NA
Term of emergency procurement shall not exceed 90 days. Contract may be extended beyond 90 days if CPO determines additional time is necessary; however, prior to execution of extension, CPO must hold a public hearing and provide written determination.

Based upon my review, I authorize the Agency to proceed with the following changes:
DoIT continues to put the State at risk by failing to have a contract in place while a vendor provides services. Reinstatement fees are used to pay the vendor after services are performed. I caution DoIT in the strongest of terms that this practice is not appropriate -

| TextField4: DoIT continues to put the State at risk by failing to have a contract in place while a vendor provides services. Reinstatement fees are used to pay the vendor after services are performed. I caution DoIT in the strongest of terms that this practice is not appropriate - Section 20-80 of the Procurement Code states that "no voucher shall be submitted to the Comptroller for a warrant to be drawn for the payment of money from the State treasury or from other funds held by the State Treasurer on account of any contract unless the contract is reduced to writing before the services are performed and filed with the Comptroller. Contractors shall not be paid for any supplies that were received or services that were rendered before the contract was reduced to writing by all necessary parties." |
