About this file
The document is a Nondisclosure Agreement (NDA) for a federal contract with the Library of Congress. The NDA requires the signatory to handle confidential information with strict protocols, including obtaining prior written approval before disclosure, immediately reporting potential information compromises, and handling sensitive data according to contract terms. The agreement covers various types of non-public information such as IT security details, trade secrets, financial information, personnel records, and personally identifiable information. The NDA's obligations continue indefinitely, even after contract termination, unless the Library of Congress provides a written release or the information becomes public through no fault of the signatory. Violations can result in criminal and/or civil penalties, and the Library of Congress retains the right to seek injunctive relief in case of a breach.

ATTACHMENT H
I acknowledge that, during my performance under the above referenced contract or order (“Contract”) with the Library of Congress, I may have access to certain non-public information owned or licensed, stored, or used by the Library of Congress in the conduct of its business, including, without limitation, information technology security information; trade secrets, commercial and financial information; personnel records; and personally identifiable information (collectively, “Confidential Information”).
I agree to obtain, use and disclose Confidential Information only for authorized purposes in connection with the performance of the Contract requirements. Except as permitted by the Contract, I will not disclose any Confidential Information without the prior written approval of the Contracting Officer’s Representative or the Contracting Officer.
I will immediately report to the Contracting Officer’s Representative or the Contracting Officer any condition that might cause Confidential Information to be compromised. I will handle and dispose of Confidential Information as instructed by Employer/Organization consistent with the terms of the Contract.
Notwithstanding anything in this agreement to the contrary, I may disclose Confidential Information where required to do so by law, provided that I promptly give written notice in advance of disclosure to Employer/Organization and to the Library of Congress of the demand for compelled disclosure so that the Employer/Organization and/or the Library of Congress, at their sole option and expense, may seek to preserve and maintain the confidentiality of the Confidential Information through application for a protective order or other appropriate remedy.
Violation of this agreement may result in criminal and/or civil penalties. Unauthorized access to government computer systems or access in excess of authority is punishable by a fine and/or imprisonment under 18 United States Code § 1030. In the event of a breach or threatened breach of the terms of this agreement, Employer/Organization and/or the Library of Congress shall be entitled to an injunction restraining you from the breach, without showing or proving any actual damage sustained. This agreement is made for the benefit of the Library of Congress, as well as for the benefit of Employer/Organization.
I acknowledge that my obligations under this agreement survive the termination or expiration of the Contract and continue indefinitely unless and until the Confidential Information becomes public through no fault of mine, or the Library of Congress sends me a written notice releasing me from this agreement.
