About this file

This is a Proprietary Information Agreement template between the County of Sacramento and a consultant related to RFP 2025-PURB-RFP-0053 for third-party greenhouse gas reporting verification services at Kiefer Landfill. The agreement establishes the terms under which a consultant may submit proprietary and confidential information necessary to respond to the County's Request for Proposal. The consultant must submit this executed agreement as part of their proposal response, with the understanding that the County will protect proprietary data from external disclosure except as reasonably necessary to evaluate the proposal and monitor contract performance. The agreement requires the consultant to specify the duration of confidentiality protection, which may span multiple years.

The agreement obligates the consultant to defend and indemnify the County, its Board of Supervisors, officers, agents, and employees against any claims, damages, liabilities, and attorney fees arising from the County's assertion of confidentiality regarding the proprietary data, including costs associated with responding to subpoenas or Public Records Act requests. The County reserves the sole discretion to determine whether to assert confidentiality claims on the consultant's behalf. If the consultant fails to execute the agreement, the County will be free to release proprietary data in response to Public Records Act requests. Additionally, the consultant assumes broad indemnification responsibilities for all demands, claims, actions, and costs arising from the performance of the engagement, regardless of fault attribution.
