About this file

This document is a Proprietary Information Agreement template between the County of Sacramento and a consultant for Request for Proposal 2025-PURB-RFP-0053. The agreement establishes the terms under which a consultant may submit proprietary and/or confidential information necessary to respond to the county's request for proposal. The agreement specifies that the county will not disclose such data to external parties or reproduce its contents without consultant authorization, except as required by law. The county may make disclosures or reproductions reasonably necessary to evaluate the proposal response and monitor or evaluate services. The agreement term is to be specified in years by the parties upon execution.

The consultant agrees to defend and indemnify the county, its board of supervisors, officers, directors, agents, employees, and volunteers against all demands, claims, actions, liabilities, losses, damages, and costs, including reasonable attorneys' fees, arising from the performance of the agreement. If the consultant fails to execute the agreement, the county is released from any confidentiality obligations and may grant Public Records Act requests relating to the proprietary data. Notably, the county reserves the sole discretion to determine whether to assert confidentiality claims on behalf of the consultant, regardless of the agreement terms. This agreement applies specifically to RFP 2025-PURB-RFP-0053.
