ARTICLE 1. SCOPE OF THE AGREEMENT

A. Background

This Agreement is an “Other Transaction for Prototype” pursuant to 10 U.S.C. §4022. For the avoidance of doubt, this Agreement is not a procurement contract, grant, or cooperative agreement. The Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS) do not apply to this Agreement except for any provision expressly referenced herein. This Agreement is not intended to be, nor will it be construed as, forming, by implication or otherwise, a partnership, a corporation, or other business organization. This Agreement is not subject to the Bayh-Dole Act, 35 U.S.C. §§200-212.

The Parties agree that the ultimate purpose of this Agreement is to develop multiplexed clinical assays for use in military combat operations to test blood donors. The multiplex panel(s) will use whole blood samples to test for HIV-1 and -2, Hepatitis B and C, blood type and Rh factor, and will be used to screen donors prior to collecting whole blood for emergency blood transfusions. The technology must reliably operate under highly variable environmental and physical conditions to be effective where US Service Members are deployed. The technology must achieve FDA approval for donor screening; approval of waiver of the Clinical Laboratory Improvement Amendment (CLIA) requirements is highly desirable due to the varied skill sets of personnel conducting testing during deployments.

B. Definitions

Agreement: The body of this Agreement and Attachments 1-6, which are expressly incorporated in and made a part of the Agreement.

Agreement Officer (AO): A warranted individual with the authority to enter into, administer, or terminate OTs.

Made: Made has the meaning set forth in Title 15 U.S.C. §3703(8).

Milestone Payments: Payments made to the Performer according to a schedule that is based on predetermined measures of technical progress or other defined milestones.

Non-Traditional Defense Contractor (NDC) –An entity that is not currently performing and has not performed, for at least one-year period preceding the solicitation of sources by the Department of Defense (DoD) for the procurement or transaction, any contract or subcontract for the DoD that is subject to full coverage under the cost accounting standards (CAS) prescribed pursuant to section 1502 of title 41 and the regulations implementing such section (see 10 U.S.C. §3014). The phrase “the solicitation of sources” refers to the initial agreement solicitation only. A nontraditional defense contractor is considered a nontraditional defense contractor for the duration of the prototype project/agreement’s period of performance, or for any in-scope work modified under the same agreement.

NOTE: Per the statutory definition, NDCs are all entities that have not performed under a narrowly defined set of circumstances within one year of solicitation of the current OT opportunity. In order for an entity to qualify for NDC status, it would need to meet all elements of the prescribed definition within that time period. This includes performance of a DoD contract or subcontract subject to full CAS coverage within one year prior to solicitation of the Prototype OT opportunity. The effect of this narrow definition is that many entities will fall into the NDC category, including nearly all small business concerns, and even those firms that work exclusively with DoD. This is in part due to the exemptions to CAS coverage under 41 U.S.C. §1502 and FAR Part 30, which exempt commercial contracts, Firm Fixed Price contracts based on adequate price competition, and any contract or subcontract with a small business concern, among other exemptions. Further, even where an entity is not outright exempt from CAS coverage, the entity may not have been subject to “full” CAS coverage. This is because full CAS coverage applies only to firms that receive a single CAS-covered contract award of $50 million or more; or received $50 million or more in net CAS-covered awards during its preceding cost-accounting period.

Significant extent – The Government will consider the totality of the circumstances for EACH proposed prototype project before making a determination as to the significance of expected NDC or nonprofit research institute participation. The government will weigh/consider elements such as, but not limited to, whether the NDC/nonprofit research institution will supply a new key technology, product, or process; supply a novel application or approach to an existing technology, product, or process; provide a material increase in the performance, efficiency, quality, or versatility of a key technology, product, or process; accomplish a significant amount of the prototype project; cause a material reduction in the cost or schedule of the prototype project; or, provide for a material increase in performance of the prototype project. The following are some, but not all, examples of participation to a significant extent:

1. Supplying a new key technology, product or process.

2. Supplying a novel application or approach to an existing technology, product or process.

3. Providing a material increase in the performance, efficiency, quality or versatility of a key technology, product or process.

4. Accomplishing a significant amount of the prototype project.

5. Causing a material reduction in the cost or schedule of the prototype project

6. Providing for a material increase in performance of the prototype project.

Party: Includes the Government (represented by USAMRDC/USMRAA), or the Performer, or both.

Parties: The United States of America, as represented by USAMRDC/USAMRAA, and Performer are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”

Performer: The legal entity executing this Agreement with the Government.

Practical Application: To manufacture, in the case of a composition of product; to practice, in the case of a process or method, or to operate, in the case of a machine or system; and, in each case, under such conditions as to establish that the Invention is capable of being utilized and that its benefits are, to the extent permitted by law or Government regulations, available to the public on reasonable terms.

C. Scope

1. The principal purpose of this Agreement is to engage in a research and development program for the development of multiplexed clinical assays for use in military combat operations to test blood donors. The multiplex panel(s) will use whole blood samples to test for HIV-1 and -2, Hepatitis B and C, blood type and Rh factor. It will be used to screen donors prior to collecting whole blood for emergency blood transfusions. The technology must achieve FDA approval for donor screening; approval of waiver of the Clinical Laboratory Improvement Amendment (CLIA) requirements is highly desirable due to the varied skill sets of personnel conducting testing during deployments.

2. In consideration for the Government providing funding under this Agreement, the Performer will complete the prototype project as described in the Performer’s Statement of Work dated INSERT DATE, incorporated with changes herein and attached hereto as Attachment 1. The Performer will submit or otherwise provide all documentation required by Attachment 3 Report Requirements.

3. This Agreement is a cost reimbursable plus fixed fee OT. The Performer shall be paid for costs incurred based upon documented progress towards milestone completion in accordance with the Milestone Schedule set forth in Attachment 2 and the procedures of Article 4. The Milestone Schedule maybe be revised or updated in accordance with Article 4.

4. Follow-on requirement for future expansion may be needed of the multiplex include targets of 10 or more. Examples include syphilis (T. pallidum), Human T-lymphotropic virus type 1 (HTVL I) and type II (HTLV II), Trypanosoma cruzi (Chagas disease) and low-titer O (defined as no greater than 1:250 anti-A and anti-B). However, this is not part of the scope for this requirement and is only intended to provide insight into potential future efforts.

D. Purpose

1. The purpose of this Agreement is to develop multiplexed assays that are FDA-cleared for a donor screening indication. Assays will use whole blood samples to detect HIV-1 and -2, Hepatitis B and C, blood type and Rh (Rhesus) factor in one or no more than 2 multiplex panels. The assays must provide results in 20 minutes or less and operate reliably under challenging environmental (temperature and humidity extremes) and physical (shock and vibration) conditions. Due to the space and weight constraints on medical equipment sets, a small technology is highly desirable. A complete list of attributes with minimum and optimal performance measures is provided in Statement of Objectives (SOO) and Objectives to Performance Attributes Crosswalk. The Statement of Work, Attachment 1, describes the scope of activities that will be undertaken by the Performer to achieve the objectives.

ARTICLE 2. Term and Termination.

A. Term of this Agreement.

1. The Base Period research effort commences upon the effective (last signature above) date and continues through the last delivery identified in the Milestone Schedule for the Base Period. The Milestone Schedule may be updated from time to time, unless terminated pursuant to this Article 2; however, this Agreement may be extended upon mutual agreement of the Parties. The Base Period effort is planned for an estimated 2-year duration (period of performance) and subject to availability of funds. If all funds are expended prior to the completion of the period of performance, the Parties have no obligation to continue performance and may elect to cease development at that point.

2. If exercised, Optional Objectives 2 - 4 research efforts will commence upon effective (signature) dates of option exercises through the last deliveries identified in the Milestone Schedule for the Optional Objectives 2 – 4 research efforts.

B. Termination for Convenience. Subject to a reasonable determination that this Agreement will not produce beneficial results commensurate with the expenditure of resources, the Government may terminate this Agreement by providing at least ninety (90) calendar days’ prior written notice to the Performer, provided that such written notice is preceded by consultation between the Parties. The Performer may terminate this Agreement upon providing written notice to the Government in the event that the primary subcontractor performing activities under the Statement of Work is no longer capable or willing to provide such services for Performer, and Performer is unable to find a suitable replacement. In the event of a termination of the Agreement, it is agreed that disposition of Data developed under this Agreement will be in accordance with the provisions set forth in Article 8, Data Rights. The Government and Performer will negotiate in good faith a reasonable and timely adjustment of all outstanding issues between the Parties as a result of termination, consistent with the terms of this Agreement. In the event of termination, nothing in this Agreement precludes the Performer from performing developmental work with other parties, using Performer’s own funds or other sources of funding to complete any terminated activities.

C. Termination for Cause. Except for a failure by the Government to pay the Performer, which shall be governed by the following sentence, if the Government materially fails to comply with the provisions of this Agreement, the Performer, after issuance of a cure notice and failure of the Government to provide a plan to cure the defect within ten (10) calendar days or the time allowed by the Performer after the Government’s receipt of the cure notice, whichever is longer, may suspend performance of this Agreement. If the Government fails to pay Performer in accordance with the terms set forth in this Agreement, such failure shall be deemed to be a material breach of this Agreement, and the Performer may suspend performance of this Agreement if the Government fails to make payment within ninety (90) days of satisfactory completion of a milestone. In addition, the Performer may terminate this Agreement if the Government fails to make payment within 180 days of satisfactory completion of a milestone.

If the Performer materially fails to comply with the provisions of this Agreement, the Agreements Officer, after issuance of a cure notice and failure of the Performer to cure the defect within ten (10) calendar days or the time allowed by the Agreements Officer after Performer’s receipt of the cure notice, whichever is longer, may take one or more of the following actions as appropriate:

(i) temporarily withhold payments pending correction of the deficiency,

(ii) disallow all or part of the cost of the activity or action not in compliance,

(iii) wholly or partly suspend or terminate this Agreement,

(iv) withhold further funding, or

(v) take any other legally available remedies.

If this Agreement is terminated for Cause, Performer will grant the Government a non-exclusive, paid up, perpetual license to the Performer and subawardee patents and documentation necessary for the purpose of developing the Prototype. The Performer shall provide the Government or its designee with a non-exclusive, paid up, license to any patent, copyright, technical data or regulatory information held by the Performer that relates to the technology to permit the Government to pursue commercialization of the technology with a third party, on terms to be agreed between the Parties and subject to rights granted or held by third parties. The terms of this section and the obligations herein will be included in any exclusive license given by the Performer to a third party for any intellectual property covered by this Agreement, on terms to be agreed between Performer and such third party. This clause will survive the acquisition or merger of the Performer by or with a third party.

D. Survival. Expiration or termination of this Agreement shall terminate all outstanding obligations and liabilities between the Parties arising from this Agreement except those described in Article 7, Article 8, and Article 9.

ARTICLE 3. Program Management.

A. Program Governance. The Performer is responsible for the overall management of the project development program and related program decisions.
