About this file
This is a personal services contract template issued by the David Douglas School District, a public school district in the State of Oregon. The contract is designed for real estate brokerage services involving the marketing for sale and/or assistance in the purchase and lease of school district property parcels. The specific properties to be marketed will be identified in written amendments to the base contract. The contractor will have exclusive marketing rights during the contract term and must develop comprehensive marketing strategies, offering memoranda, and promotional materials positioning properties to appropriate target markets. Services include four distinct stages: Stage I involves underwriting and preparation of marketing packages including environmental reports, surveys, property documentation, and secure digital platforms; Stage II encompasses marketing activities such as flyer distribution, email blasts, investor outreach, property tours, and offer analysis; Stage III involves negotiation of purchase and sale agreements; and Stage IV provides support during a 90-day due diligence period and closing facilitation. When the district is purchasing property, the contractor will locate suitable parcels and manage acquisition negotiations. The contractor must attend district board meetings as requested, typically held in executive session under Oregon law regarding real property negotiations. The contract is effective for an initial one-year term with options to renew for up to four additional one-year terms, each requiring written amendment.
Compensation when the district sells property is structured as a percentage commission on the final sale price at closing, with the specific percentage to be completed in the final contract. The district will not pay brokerage fees when purchasing property; instead, the contractor will be compensated entirely from the seller's agent commission. The contractor is responsible for all marketing costs including materials, advertising, website maintenance, and internet listings. The district will reimburse up to a specified dollar amount for local travel-related expenses and miscellaneous costs, though the district reserves the right to withhold payments for contractor nonperformance or failure to pay suppliers. The contractor must maintain professional liability and errors and omissions insurance with minimum coverage of $500,000 to $2,000,000, depending on district requirements, for two years following contract completion. Additional insurance requirements include workers' compensation coverage, commercial general liability of $500,000 to $2,000,000, and commercial automobile liability of $500,000 to $2,000,000. The contractor must be an independent contractor or registered business entity and comply with all applicable federal, state, and local laws, including non-discrimination provisions and tax compliance requirements. The contract is governed by Oregon law with disputes resolved through binding arbitration or small claims court in Multnomah County.
