About this file
This document is a supplemental provisions attachment for the State of Colorado applicable to federally funded contracts, grants, and purchase orders subject to the Federal Funding Accountability and Transparency Act of 2006 (FFATA), as amended. The provisions establish compliance requirements and definitions for all contractors receiving federal funds, whether as prime recipients, subrecipients, or vendors. The document outlines mandatory registration and maintenance requirements in the System for Award Management (SAM) and the Data Universal Numbering System (DUNS), with contractors required to keep their information current throughout the contract period and final payment. These supplemental provisions apply to new awards issued on or after October 1, 2010, and automatically supersede conflicting provisions in special provisions, contracts, or attachments.
Key financial and reporting obligations include the requirement for contractors to report total compensation data for their five most highly compensated executives in SAM if the federal award totals $25,000 or more and the contractor meets specific federal revenue thresholds (80 percent or more of annual gross revenues and $25,000,000 or more in annual gross revenues from federal sources). Subrecipients must report detailed information to both SAM and the prime recipient, including DUNS numbers, addresses, congressional districts, and executive compensation data where applicable. Contractors with gross income below $300,000 in the previous tax year are exempt from subaward and executive compensation reporting requirements, and vendors are entirely exempt from transparency reporting obligations. Failure to comply with these supplemental provisions constitutes a material default, allowing the State of Colorado to terminate the contract upon thirty days' written notice if the default remains uncured five calendar days after the notice period expires.

8.3 Effective October 1, 2010, “Award” currently means a grant, cooperative agreement, or other arrangement as defined in Section 1.1 of these Special Provisions. On future dates “Award” may include other items to be specified by OMB in policy memoranda available at the OMB Web site; Award also will include other types of Awards subject to the Transparency Act.
8.4 There are no Transparency Act reporting requirements for Vendors.
9. Event of Default. Failure to comply with these Supplemental Provisions shall constitute an event of default under the Contract and the State of Colorado may terminate the Contract upon 30 days prior written notice if the default remains uncured five calendar days following the termination of the 30 day notice period. This remedy will be in addition to any other remedy available to the State of Colorado under the Contract, at law or in equity.
