About this file
This document is an Authorization and Certification template (Template 24.11.24) issued by the City of Long Beach for use in Request for Proposals. The template establishes authorization requirements based on the proposer's business structure, including single-signature requirements for individuals and limited liability companies, dual-signature requirements for corporations (unless accompanied by certified corporate resolution), and general partner signatures for partnerships. Proposers must certify compliance with all terms and conditions specified in the RFP, abide by the City of Long Beach Vendor Code of Conduct, and submit proposals as firm and fixed offers valid for 90 days from the submission deadline. The document specifies that failure to submit all required documents as outlined in section 4.2 will result in nonresponsiveness and disqualification from consideration.
The certification includes comprehensive federal compliance requirements under Executive Order No. 12549 and Title 2 CFR Part 180 Subpart C, mandating that proposers certify they and their principals are not currently under suspension, debarment, voluntary exclusion, or ineligibility by any Federal department or agency, and have not been suspended, debarred, or declared ineligible within the three-year period preceding the proposal submission. Proposers must also certify that they have not been indicted, convicted, or had civil judgments rendered against them for fraud or official misconduct within the three-year period, nor had public transactions terminated for cause or default. The document includes provisions requiring written notice within 21 days of any reorganization, management turnover, or change of principals' status, and allows proposers to document exceptions to terms and conditions for potential contract negotiation, though the City of Long Beach retains the right to negotiate with alternative contractors or withdraw the RFP if negotiations cannot be concluded successfully.

Exceptions to Terms & Conditions
EXCEPTIONS TO TERMS AND CONDITIONS (IF APPLICABLE)
Exceptions to terms and conditions are uncommon, and Proposers are not encouraged to take exception to terms and conditions. However, in the event there are terms that should be reviewed as part of potential negotiation of a final contract, they should be listed here. The City of Long Beach has no obligation to accept any exceptions to terms and conditions. Any award is contingent upon the successful negotiation of final contract terms. If contract negotiations cannot be concluded successfully, the City reserves the right to negotiate a contract with another
Contractor or withdraw the RFP.
