IDIQ Task Order Procedures

Minimum and Maximum Quantities

As referred to in paragraph (b) of FAR Clause 52.216-22, “Indefinite Quantity” of this contract, the contract minimum quantity is established as award of the first Task Order. The guaranteed minimum is $1,000. There is no guaranteed minimum for the option periods for this IDIQ. Other Direct Costs (ODCs) are not included in the contract minimum. Fiscal Law requires an obligation to be recorded upon execution of the contract. The contract maximum quantity is hereby established at the total amount of TBD.

The following ordering procedures apply to all Task Orders:

a. The pricing will be based on the contract pricing incorporated into the awarded IDIQ.

b. Task Orders will be placed against this IDIQ on a Firm-Fixed Price (FFP) basis by a SEC Contracting Officer via written Task Orders issued by fax, electronically, or paper.

c. Task Orders shall only be issued from the effective date of the IDIQ award until the last day of the IDIQ period of performance.

d. All costs associated with preparation and/or discussions of the Contractor's quote for services provided will be at the Contractor's expense and are not directly billable to the Government.

e. No services are to be rendered and no payment will be made except as authorized by written Task Orders.

f. Prior to performance of any services under the IDIQ, a written Task Order will be issued when the Government transmits the signed Optional Form 347 for services provided in accordance with the Pricing Schedule.

g. The terms and conditions included in this IDIQ apply to all purchases made pursuant to it. In the event of an inconsistency between the provisions of the IDIQ and the Contractor's invoice, the provisions of this IDIQ will take precedence.
