About this file
This is a Non-Disclosure Agreement for Bidders/Offerors related to Laboratory Services (26-MULTI-FS-MS-007) for the Maryland Department of Juvenile Services (DJS). The agreement establishes confidentiality obligations for entities bidding on or responding to the solicitation for laboratory services that support the health and medical care of young people in DJS custody. The NDA applies to all bidders and offerors who receive access to confidential information during the procurement process, including proprietary data, technical specifications, pricing information, and other sensitive materials shared by DJS or competing bidders. Bidders are required to execute the agreement prior to receiving bid documents or participating in bidders' conferences and site visits. The agreement remains in effect throughout the procurement process and may extend beyond contract award for competitive information pertaining to unsuccessful bids.
The Non-Disclosure Agreement imposes restrictions on the use, disclosure, and reproduction of confidential information received during the bidding process. Signatories agree to limit access to confidential materials to personnel with a legitimate need to know and to prevent unauthorized disclosure to competitors or third parties. Violations of the agreement may result in disqualification from the procurement, legal action, and damages. The agreement typically includes standard carve-outs for information already in the public domain, information independently developed, or information required to be disclosed by law or court order. The NDA serves to protect the integrity of the competitive procurement process and safeguard proprietary business information of both DJS and bidding entities.
