Attachment 2 Solicitation Number FA5570-20-Q-0016
Blanket Purchase Agreement (BPA) Terms and Conditions
1. Description of agreement. The supplier shall furnish lodging, catering, and provide meeting space in accordance with the Statement of Work; if and when requested by the Contracting Officer, during the effective period of this agreement.
2. Extent of obligation. The Government is obligated only to the extent of authorized purchases actually placed against the BPA. The Contractor is obligated only to the extent of authorized orders accepted.
3. Purchase limitation. Individual purchases of a single order under this agreement shall not exceed $250,000 or its equivalent in British Pound Sterling. Throughout the life of this BPA, the total shall not exceed $250,000 or its equivalent. Contractors must accept MasterCard as the payment.
4. Individuals authorized to purchase under the BPA. The Contracting Officer shall provide the Contractor with a list indicating the name, organization, and dollar limitation of those persons authorized to place orders. The Government shall not be liable for any claims or damages as a result of services provided against orders placed by unauthorized individuals.
5. Orders. Orders will be placed via email. Contractor personnel receiving such orders shall verify that the official is authorized to place orders, and sufficient information is obtained to prepare a delivery ticket.
6. Delivery tickets. The Contractor shall furnish a delivery ticket to the ordering official for each order made against this agreement. Delivery tickets must contain the following information:
a. Name of company.
b. BPA number.
c. Date of order.
d. Purchase number.
e. Itemized list of supplies or services furnished.
f. Quantity, unit price, and extension of each line item, less applicable discounts*
*unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information
7. Invoices. A summary invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period, identifying the delivery tickets covered therein, stating their total dollar value, and supported by receipt copies of the delivery tickets.
8. Pricing. The prices billed to the Government shall be in accordance with the current price list, as approved by the Contracting Officer. The Contractor shall furnish a Value Added Tax (VAT) exempt price list stating effecting and expiration dates. No orders shall be placed nor accepted against an expired or unapproved price list. In the event of a price change, the Contractor shall furnish proposed changes to the Contracting Officer for approval. The most current approved price list will continue to be effective until any proposed changes are approved by the Contracting Officer.
9. Effective Period. This BPA is effective for 5 years from the date of award.
10. Termination of Agreement. This BPA may be rescinded by either party by providing 30 days written notice.
11. Inspection and Acceptance. The authorized official is responsible for orders, quality assurance, inspection, and acceptance of all services performed under this agreement.
