SECTION L- INSTRUCTIONS TO OFFERORS
1.0 TYPE OF CONTRACT
This requirement is a competitive full and open acquisition. The government contemplates a Cost-Plus Fixed Fee (CPFF), Cost Reimbursement (CR), and Firm Fixed Price (FFP) type contract resulting from this solicitation. A best value source selection, using the Highest Technically Rated Offeror technique, will be conducted in accordance with Federal Acquisition Regulation (FAR) 15.3 as supplemented.
2.0 NOTICE TO OFFERORS
This acquisition will require a written submission. The government intends to evaluate proposals and award a contract without discussions with offerors. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms. The government reserves the right to conduct discussions with offerors if it is later determined by the Contracting Officer (CO) to be in the best interest of the government.
The Offerors proposal must include all data and information requested by this instruction to offerors (ITO) and must be submitted in accordance with these instructions. The Offeror shall be compliant with the requirements as stated in this solicitation and its attachments. In order to be eligible for award, offerors are required to meet all solicitation requirements, such as terms and conditions; representations and certifications; evaluation factor requirements; and be deemed responsible in accordance with FAR Part 9. Nonconformance with the instructions provided in this ITO will be deemed “noncompliant” and eliminated from consideration for award and will not be evaluated further.
In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals.
Proposal preparation costs and evaluation participation costs are the responsibility of the Offeror.
URL addresses may be included in proposal text and graphics, but the use of active hyperlinks in proposals is prohibited other than for the table of contents. Any such links will not be viewed or considered.
3.0 INFORMATION PROTECTION
The Freedom of Information Act (FOIA) and its amendments have resulted in an increasing number of requests from outside the Government for copies of contract qualifications and proposals submitted to federal agencies. If an Offeror’s submissions contain information that he/she believes should be withheld from such requestors under FOIA on the grounds that they contain “trade secrets and commercial or financial information” [5 USC§552(b)(4)], the Offeror should mark its submissions in the following manner:
The following notice should be placed on the title page: “Some parts of this document, as identified on individual pages, are considered by the submitter to be privileged or confidential trade secrets or commercial or financial information not subject to mandatory disclosure under the Freedom of Information Act. Material considered privileged or confidential on such grounds is contained on page(s) _______.”
Each individual item considered privileged or confidential under FOIA should be marked with the following notice: “The data or information is considered confidential or privileged and is not subject to mandatory disclosure under the Freedom of Information Act.”
4.0 SOLICITATION RESPONSE REQUIREMENTS
4.1 GENERAL
The Offeror shall submit documentation describing their approach for satisfying the requirements of this solicitation. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. This documentation shall cover all aspects of this solicitation and include the Offeror’s approach for providing all personnel, equipment, supplies, transportation, tools, materials, supervision, and other items and non-personal services necessary to provide services in support of Force Structure Support. The proposal shall not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume the government has no prior knowledge of its facilities and experience and will base its evaluation on the information presented in the Offeror’s proposal. Proposal must clearly demonstrate how the Offeror intends to accomplish the requirements and must include convincing rationale and substantiation of all claims. Unnecessarily elaborate brochures or other presentations beyond those sufficient to present a complete effective response to the solicitation are not desired.
4.2 REQUIREMENTS FOR AWARD
4.2.1 System for Award Management (SAM)
Offerors will not be eligible to receive a contract award from a Department of Defense (DoD) activity unless they are registered in SAM. Offerors must be registered in the SAM Database prior to award of any contract. Firms must register on a one-time basis and annually confirm accuracy and completeness of registration information. On-line registration and instructions can be accessed at https://www.sam.gov/index.html.

Factor I Small Business Participation Factor II Technical Experience Factor III Past Performance Factor IV Cost/Price Ratings and evaluation of these factors are described in Section M Evaluation Factors, of this solicitation.
6.1 VOLUME I, FACTOR I: SMALL BUSINESS PARTICIPATION PLAN
Complete and submit the Small Business Participation Plan found as an attachment to the solicitation. Proposals from Large Businesses without a minimum 20% Small Business participation will not be considered for award.
6.2 VOLUME II, FACTOR II: Technical Experience
There are four submission parts required for the Technical Past Experience factor as described in the sub-sections below.
The burden of proof for substantiating the Offeror’s self-rated score rests with the Offeror. The proposal shall contain sufficient data to substantiate the points claimed by the Offeror. All proposal information is subject to verification by the Government. Falsification of any proposal documents or statements may disqualify the Offeror from this source selection.
6.2.1 Transition-in Plan
The proposed Transition-in Plan should demonstrate how transition-in plans were executed on previous efforts with a similar transition-in Period. The transition period for this effort is 60 days.
6.2.1.1 Years of Experience
This section should cover the number of FTEs, that have experience as a Configuration Manager (to their office/organization/company) or experience as the assistant to the configuration manager on prior contracts along with the number of years of experience each FTE has in using Brawler code, CFAM and/or GAMS code AND/OR Linear Programming/Optimizers. The experience tied to Brawler can relate to past experiences as a Configuration Manager or an assistant to a Configuration Manager that has modified Brawler code for efforts not tied to the government or SAF/SA specifically.
An FTE is defined as an individual working 1912 hours per calendar year. A combination of multiple employees working 1912 hours does not meet the definition of an FTE.
6.2.1.2 Types of Experience
The Offeror’s Technical Volume can consist of a maximum of 10 work samples (contracts/orders) which demonstrate their technical experience in the required elements. Future performance periods on an existing contract do not demonstrate past technical experience and shall not be utilized as work samples, nor be factored into the total point value of a submitted sample. When referring to work samples, the terms “contract” and “task/delivery order” are interchangeable, with “contract” often used as the all-encompassing term. IDIQ contracts, or other contract vehicles for future work not yet performed, are not acceptable proof of past experience, and shall not be provided as work samples. Orders placed against IDIQ contracts and other contract vehicles shall be submitted work samples. However, an Offeror may utilize performance of orders under a given IDIQ to be counted as a cumulative work experience citation, rather than individual citations themselves.
The work samples shall consist of only official contract documentation (including, but not limited to, Performance Work Statements, Statements of Work, Contract Data Requirement Lists, Government Furnished Property Lists, Subcontracts, and Invoices). For each work sample, the Offeror shall also include the signed cover page associated with the contract or order.
Each work sample shall provide at least two (2) Government Points of Contact (POC). The Government may contact the Government POCs provided. The Government reserves the right to contact additional Government POCs if necessary.
6.2.1.2.1 Work Sample Qualifications
Work samples shall meet these minimum qualifications:

(3) Shall fall into one of the following categories:
a. Category 1: Prime Offeror work samples. In order to be used, the Offeror shall have acted as the Prime or as Subcontractor. If a company establishes a joint venture for this contract, work of both prime companies may be utilized. Primes may also include subsidiaries or legal entities which fall under the parent corporation. In order to use a subsidiary or legal entity as a prime work sample, (1) the acquisition of the subsidiary or legal entity shall have been finalized as of the date of initial RFP issuance, and (2) objective evidence shall be included in the work sample to demonstrate that they are now a legal entity of the corporation. If these criteria are met, subsidiary or legal entity work samples will be considered prime work samples even if the work occurred prior to the company being acquired.
b. Category 2: Subcontractor work samples. In order to be used the subcontract must have acted as the Prime or Subcontractor on the contract or order submitted; (3) provide a signed Teaming Agreement as required by section 6.2.4, and a statement committing to subcontracting at least 20% of the total awarded amount under the contract.
(4) Shall include at least six months of performance which shall have been within the last five years, as of the date of initial RFP issuance.
(5) Work samples that do not satisfy these minimum requirements will not be further evaluated to validate their associated self-rated score.
6.2.2. Self-Rated Scoring Matrix
The Offeror shall complete the Self-Scoring Matrix. Self-rated scores shall be verifiable using the Staffing Plan provided in response to section 6.1.1. The Offeror shall complete the “Offeror Response” column on the Self-Scoring Matrix. The Offeror shall populate the matrix with the requisite FTE, Contract quantity, or other requested information and not the corresponding score. The Offeror’s Weighted Score will be auto- calculated based on these inputs. Unless stated otherwise, the Offeror shall not change, adjust, or manipulate any other cells within the matrix. The Offeror shall accurately rate itself using the scoring instructions.
6.2.3 Cross Reference Matrix.
The Offeror shall provide a Cross Reference Matrix. The Cross Reference Matrix shall be completed using the provided Cross Reference Matrix. The Offeror shall identify the type of document provided as a work sample in Column D. The Government has included a list of sample documents within column D; the Offeror is not limited to this list of documents. The Offeror shall include a work sample identifier (i.e., WS1-WS10), document title, document date, page(s), paragraph(s), table number(s) (if applicable), and block(s) (if applicable) within Column E. The Offerors shall identify the quantity of FTEs or Contracts claimed for each Work Sample. Multiple references may be included in a single row if:
(1) Multiple references related to the same work sample are necessary to substantiate the Offeror’s claim, or;
(2) The Offeror uses the data of a subsidiary or legal entity as a prime work sample. If the Offeror uses the data of a subsidiary or legal entity as a prime work sample, the Offeror shall be sure to include a reference to the objective evidence which demonstrates that they are a legal entity of the parent corporation.
Offerors are strongly encouraged to verify the accuracy of each reference.
The Offeror shall assume that the Government has no prior knowledge of its capabilities and experience. The Offeror shall include in column G, any clarifying facts necessary to improve the Government’s understanding and further substantiate the Offeror’s claim.
6.2.4 Team Structure
The Offeror shall identify the team structure it will use to meet Government requirements in the Appendix D – Team Structure Format. The Offeror shall:
(1) Identify each team member’s company name, address, CAGE code, and DUNS number;
(2) Identify the team member’s relationship with the prime offeror;
(3) Identify the team members current security clearance level;
(4) Identify the performance area(s) in which the prime intends to utilize the team member for performance. If multiple performance areas are anticipated, list them all in a single cell; Performance areas shall be identified by listing the applicable PWS paragraph(s) and the PWS paragraph title(s).
The Offeror shall provide a signed teaming agreement between the Prime Offeror and each team member. The teaming agreement shall identify the percentage of work to be performed in each location for the initial task order.
6.3 VOLUME III, FACTOR III: PAST PERFORMANCE
From the work samples provided under Volume I, Past Technical Experience, the Offeror shall submit a maximum of five (5) Past Performance Submissions for the prime contractor and a maximum of three (3) submissions for the subcontractor for inclusion in this volume. Past Performance Submissions may reflect work accomplished by the prime and/or by team members. Volume II, Past Performance Volume, shall include a Cover Page identifying the offeror and a Table of Contents. Offerors shall provide an Executive Summary which includes company history, identify the references and the point of contact information (name, email, and phone number) who will be submitting Past Performance Questionnaires (PPQ), and identify teaming agreements (which shall be submitted) and significant subcontractor(s), if any. For the purposes of Past Performance, "significant subcontractor" means any subcontractor performing more than 20% of the contract value. Affiliate companies, subcontractors, sister companies, teaming arrangements, joint venture agreement, etc., will be considered provided that sufficient documentation is included in the proposal. If their experience is submitted for consideration as part of the proposal, the offeror should include a commitment signed by the offeror and other party certifying that if a contract is awarded resulting from the proposal, the parties commit to joint performance as proposed. If the signed commitment is not fully executed by both parties and provided with the Past Performance Proposal, only the Offeror’s PPQ will be evaluated.
Offerors shall use the PPQ found as an attachment of this solicitation. Provide a PPQ to a previous or current contract holder, who in turn will complete the form and email it to the CS for processing. At least three (3), and no more than five (5), questionnaires, each representing a separate effort, shall be submitted for the offeror’s most recently completed Federal Government or Commercial contracts. PPQs should be submitted on recent and relevant contracts. Recent is defined as performance within past five (5) years with at least 6-months of continued performance. Relevancy in regard to scope, magnitude of effort, and complexities of the past performance shall address any of the following subject areas:
1. Engagement-/Mission-Level Modeling
2. Software Development/Configuration Management
3. ANSI/IEEE 828-1998 System and Software Standards 4 Modeling Support with TS/SAP Cleared Personnel
5. User-Group Support
6. Website Support (Restricted Access)
7. Courseware Development & Training Support
In order to be deemed relevant, this solicitation requires at least one (1) PPQ for a Prime contractor and shall include effort from either subject area 1, 2, or 4 above. Subcontractor PPQs may include effort from any of the 7 subject areas.
The Offeror shall provide the most recently completed CPAR as part of the Past Performance Submission if a CPAR was created for the work sample (contract/order). If the CPAR was generated at the IDIQ level, the Offeror shall only submit the most recent CPAR if the work sample (contract/order) is explicitly identified within the CPAR.
Past Performance Submissions cannot be disclosed to non-Government parties without the information owner’s consent. If one of the Past Performance Submissions is provided by a team member, the Government will need the team member’s consent before it may disclose past performance information to the Prime if it needs to do so during exchanges. The Subcontractor/Team Member Consent Letter shall be signed by an individual who has the authority to sign for and legally bind the company.
Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. To facilitate the Government’s past performance evaluation, Offerors shall submit a narrative and/or visual "roadmap" describing all such changes if necessary to clarify the contents of the Past Performance volume. Since the Government may consider Past Performance Information provided by other sources as well as that provided by Offerors, this clarifying information shall be both specifically applicable to the Past Performance Submissions and general enough to apply to efforts on which the Government receives information from other sources.
It is the offeror’s responsibility to ensure previous contract holders return their PPQ which are due NLT 1400 EST 7 calendar days before proposal due date as noted on cover page of the Force Structure Support solicitation. Upon request, the CS will confirm receipt.
6.4 VOLUME IV, FACTOR IV: PRICE
The Offeror agrees to hold the prices in its proposal firm for 180 calendar days from the date specified for receipt of proposals unless another time period is specified in an addendum to the solicitation.
Pricing shall be completed by the Offeror in accordance with the following:
i. Proposed prices shall be provided reflecting the established CLINs.
ii. Include a completed Uniform Pricing Template
iii. Pricing for the Transition-in Plan shall reflect total compensation for the services detailed in the PWS and are fully inclusive of all costs including all labor categories and associated hours, overhead, general, and administrative (G&A) expenses, and profit.
iv. Present pricing for each of the five (5) ordering period years.
The hourly rates proposed shall represent fixed amounts for each labor category, performance period, and location. The price offered shall be the Offeror’s best price for performance of the work as set forth in this solicitation.
All proposed prices shall be submitted in USD, with unit prices in whole dollar amounts. Offers not submitted in the USD currency will not be evaluated for award. Offers not submitted in whole dollar amounts will be rounded down to the nearest dollar.
If none of the exceptions in FAR 15.403-1(b) apply, then the Offeror will be required to submit a certificate for the cost and pricing data submitted in Volume IV of the proposal submission. The HTRO processes outlined above should lead to only one Offeror’s price being evaluated in the end, due to that being a likely possibility the Offeror should submit cost and pricing data. In the event that there are two Offerors with the same validated self-score at the end of the Past Performance evaluation price competition will be used to evaluate price.
Missing or incomplete cost and pricing information may result in proposal rejection.
Offerors are cautioned against submitting a materially unbalanced offer. A proposal may be materially unbalanced if it is based on prices which are significantly understated in relation to some contract line items and/or significantly overstated in relation to other contract line items as indicated by price analysis techniques. If a proposal appears unbalanced, the Offeror should provide substantiating information to explain the rationale behind the unbalanced offer.
