The Contractor will then have to demonstrate that the information is a (1) a trade secret or (2) confidential, commercial information. In case of the latter, the Contractor would have to demonstrate, in detail, that disclosure would (1) impair the Government’s ability to obtain necessary information in the future or (2) cause substantial harm to the Contractor.

Any changes in these arrangements are to be submitted to the Contracting Officer in advance for approval. In the event of any conflict or ambiguity between the Contractor's Technical Proposal and the

Government's Requirements Document, the requirements document takes precedence.

ADDENDA: EVALUATION CRITERIA

The provision at RFO FAR 52.212-2, Evaluation-Commercial Products and Commercial Services

(Deviation 2026-O0038), applies to this acquisition. The specific evaluation criteria ADDENDUM TO

RFO FAR 52.212-2(a) are hereby included:

M.1.0 BASIS FOR AWARD

M.1.1 Proposal evaluation procedures will be conducted in accordance with RFO Federal Acquisition

Regulation (FAR) Section 12 and supplements thereto. Using the tradeoff method in the best value continuum the Government will select the most highly rated proposal based upon an integrated assessment of Technical Capability and Price. The contract will be awarded to the offeror whose proposal conforms to the RFP requirements and is judged based on the evaluation Factors and Subfactors to represent the best value to the Government.

M.1.2 As a basis for award, tradeoffs between price and non-price factors are permitted. THEREFORE, THE GOVERNMENT RESERVES THE RIGHT TO AWARD TO OTHER THAN THE LOWEST

PROPOSED PRICE.

M.1.3 The Government intends to evaluate proposals and award a contract without exchanges or negotiations with offerors. Therefore, the offeror's initial proposal shall contain its best terms from a technical and price standpoint. However, the Government reserves the right to make clarifications, request revised proposals, or hold exchanges, if later determined by the Contacting Officer to be necessary. The

Government may reject any or all offers and/or waive informalities and minor irregularities in the submitted offers if such actions are in the public interest. If negotiations are necessary, a competitive range will be established IAW RFO FAR 15.204-1 and to the extent deemed necessary at the sole discretion of the Contracting Officer, written evaluation notices (ENs) will be issued to Offerors in the competitive range, using control numbers, to further investigate any weaknesses, deficiencies, or other applicable areas identified through the evaluation process. These ENs are considered negotiations in accordance with RFO FAR 15.204-2.

M.1.4 Offerors are cautioned that “parroting” of the technical requirements of the SOW with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform.

Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal.

M.2.0 EVALUATION CRITERIA

M.2.1 Evaluation criteria consist of three (3) Factors. The proposals will be evaluated under three (3) evaluation factors: Technical Capability, Price, and Past Performance. While the Administrative Volume is not an evaluation factor, it will be evaluated for compliance and completeness of the requirements specified in Section L.4.1.3.

M.2.2 Relative Importance of Factors. The relative importance of each Factor is as follows: Factor I

(Technical Capability) is more important than Factor II (Price), which is more important than

Factor III (Past Performance).

M.2.2.1 Factor 1 - Technical Capability. The Offeror’s Technical Capability will be evaluated to assess demonstrated understanding and explanation of offeror’s approach for completion of the work required by the SOW (e.g., general and specific requirements, personnel qualifications, deliverables, etc.) with sufficient detail to allow Government evaluation. The proposal shall not simply rephrase or restate the

Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements.

Factor 1 will receive one of the combined technical/risk adjectival ratings defined in TABLE A below.

TABLE A:

Color Rating Adjectival Rating Definition

Blue Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is not awardable.

M.2.2.1.1 Definitions

RISK DESCRIPTION INCLUDED FOR REFERENCE PURPOSES ONLY:

Adjectival Rating Description

Low Proposal may contain weakness/weaknesses which have low potential to cause disruption of schedule, increased cost, or degradation of performance. Normal contractor emphasis and normal Government monitoring will likely be able to overcome any difficulties.

Moderate Proposal contains a significant weakness or combination of weaknesses which may have a moderate potential to cause disruption of schedule, increased cost, or degradation of performance. Special contractor emphasis and close Government monitoring will likely be able to overcome any difficulties.

High Proposal contains a significant weakness or combination of weaknesses which is likely to have high potential to cause significant disruption of schedule, increased cost, or degradation of performance. Special contractor emphasis and close

Government monitoring will unlikely be able to overcome any difficulties.

Unacceptable Proposal contains a deficiency or a combination of significant weaknesses that causes an unacceptable level of risk of unsuccessful performance.

Definitions:

Significant Strength – an aspect of an Offeror’s proposal with appreciable merit or will exceed specified performance or capability requirements to the considerable advantage of the Government during contract performance.

Strength – an aspect of an Offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness – a flaw in the proposal that increases the risk of unsuccessful contract performance.

Significant Weakness – a flaw that appreciably increases the risk of unsuccessful contract performance.

Deficiency – a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

M.2.2.2 Factor 2 - Price

PRICE FACTOR: Price proposals will not be given an adjectival rating but will be evaluated to determine reasonableness.

(a) Reasonableness – The existence of adequate price competition is expected to support a determination of reasonableness. Other price analysis techniques in accordance with

RFO FAR 15.404-1(b) may be used to further validate price reasonableness.

(b) Unbalanced Pricing may be evaluated in accordance with RFO FAR 15.404-6, as applicable, to assess potential performance risk which could result in unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of price analysis techniques. Offers that are determined to be unbalanced may be rejected if the lack of balance poses an unacceptable risk to the

Government.

M.2.2.3 Factor 3 - Past Performance

The Government will evaluate past performance on the basis of recency, relevancy, and quality. The past performance evaluation will consider the offeror’s recent and relevant record of performance in providing services similar to those required by the SOW. Based on the offeror’s input and other Government Past

Performance research, the Government will make a Past Performance Confidence Assessment. In conducting the Past Performance evaluation, the Government may also consider recent and relevant Past

Performance information documented in CPARS, SAM, and other sources of information available to the

Government.

If an offeror does not have a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance.

Recency: For a project to be considered recent, it must have been worked within the last 5 years (as of proposal due date). Additionally, to qualify as a project, work must be at least 90% complete by the proposal due date (see L.4.2.3 for additional details).

Relevancy:

Past Performance Relevancy Rating Method

Adjectival Rating Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat

Relevant

Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Factor 3 will be assigned a performance confidence assessment rating as outlined below in TABLE B:

TABLE B:

Performance Confidence Assessments

Rating Description

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the Offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the Offeror will be able to successfully perform the required effort.

Unknown Confidence

(Neutral)

No recent/relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

M.2.2.4 Administrative Volume.

The administrative volume will not be given an adjectival rating and is not one of the evaluation factors.

The administrative volume will be reviewed for completeness. If any element of the administrative volume is missing it may be grounds for eliminating the offeror from competition.

M.3.0 USE OF ARTIFICIAL INTELLIGENCE (AI) TOOLS IN PROPOSAL EVALUATION

M.3.1 Use of AI tools in Support of Evaluations: The Government may employ AI as a tool to assist in the analysis and review of offeror proposals. AI tools may be used to support tasks such as summarizing proposal content, identifying compliance with request for task order proposal/solicitation requirements, and highlighting areas of potential strength, weakness, or risk.

M.3.2 Maintaining Inherently Governmental Functions: Notwithstanding the use of AI tools to support the evaluation process, all final evaluation judgements, including the assignment or assessment of adjectival ratings, best value determinations, and source selection decisions, will be made exclusively by duly appointed Government personnel. The Government retains sole responsibility for all inherently governmental functions and will not delegate decision making authority to any AI tool.

M.3.3 Offeror Confidentiality and Data Protection: The AI tools utilized by the Government will be employed in a manner consistent with applicable regulations that govern the protection of proprietary and source selection sensitive information. The AI tool will be an output-only system. Any generated report data is not saved. No proposal data will be transmitted to or processed by external, non-Government systems without appropriate safeguards and authorizations in place.

CERTIFICATION LEVEL REQUIREMENTS (NOV 2025)

(a) Definitions. As used in this clause—

Controlled unclassified information means information the Government creates or possesses, or information an entity creates or possesses for or on behalf of the Government, that a law, regulation, or

Governmentwide policy requires or permits an agency to handle using safeguarding or dissemination controls (32 CFR 2002.4(h)).

Current means—

(1) With regard to Conditional Cybersecurity Maturity Model Certification (CMMC) Status—

(i) Not older than 180 days for Conditional Level 2 (Self) assessments and Conditional

Level 2 (certified third-party assessment organization (C3PAO)) assessments, with—

(A) No changes in compliance with the requirements at 32 CFR part 170 since the Conditional CMMC Status date (see 32 CFR 170.16 and 170.17); and

(B) A corresponding affirmation of continuous compliance by an affirming official (see 32 CFR 170.4); and

(ii) Not older than 180 days for Conditional Level 3 (Defense Industrial Base

Cybersecurity Assessment Center (DIBCAC)) assessments, with—

(A) No changes in compliance with the requirements at 32 CFR part 170 since the Conditional CMMC Status date (see 32 CFR 170.18); and

(B) A corresponding affirmation of continuous compliance by an affirming official;

(2) With regard to Final CMMC Status—

(i) Not older than 1 year for Final Level 1 (Self), with—

(4) Ensure all subcontractors and suppliers complete prior to subcontract award, and maintain on an annual basis, an affirmation, by the affirming official (see 32 CFR 170.4), of continuous compliance with the requirements associated with the CMMC level required for the subcontract or other contractual instrument for each of the subcontractor information systems that process, store, or transmit FCI or CUI and that are used in performance of the subcontract; and

(5) If the Contractor has a CMMC Status of Conditional, successfully close out a valid plan of action and milestones (32 CFR 170.21) to achieve a CMMC Status of Final.

(e) Reporting. The Contractor shall—

(1) Submit to the Contracting Officer—

(i) The CMMC UID(s) issued by SPRS for contractor information systems that will process, store, or transmit FCI or CUI during performance of the contract; and

(ii) Any changes in the CMMC UIDs generated in SPRS throughout the life of the contract, task order, or delivery order, if applicable;

(2) Enter into SPRS the results of a current self-assessment for each CMMC UID, not covered by a C3PAO assessment or DIBCAC assessment, applicable to each of the contractor information systems that process, store, or transmit FCI or CUI and that are used in performance of the contract; and

(3) Complete in SPRS on an annual basis and maintain as current an affirmation of continuous compliance by the affirming official (see 32 CFR 170.4) for each self-assessment, C3PAO assessment, or DIBCAC assessment required under the contract in SPRS.

(f) Subcontracts. The Contractor shall—

(1) Insert the substance of this clause, including this paragraph (f) and excluding paragraph (e)(1), in subcontracts and other contractual instruments, including those for the acquisition of commercial products or commercial services, excluding commercially available off-the-shelf items, if the subcontract or other contractual instrument will contain a requirement to process, store, or transmit FCI or CUI; and

(2) Prior to awarding a subcontract or other contractual instrument, ensure that the subcontractor has a current CMMC certificate or current CMMC status at the CMMC level that is appropriate for the information that is being flowed down to the subcontractor based on the requirements at 32 CFR 170.23.
