About this file
This document is a Continuation of SF-1449 Terms and Conditions for a Blanket Purchase Agreement (BPA) for Pluralsight Software Licenses established under FAR Part 13 (Simplified Acquisition) with an ISBEE Set-Aside for Commercial Products and Commercial Services. The BPA is administered by the Indian Health Service (IHS) Phoenix Area Office, with Contracting Officer Ashley Velasquez serving as the sole individual authorized to bind the Government and modify contract terms. The Contracting Officer's Representative, Timothy Hartley, is responsible for technical oversight, inspection, and acceptance of services but cannot change scope, price, period of performance, or contractual terms.
The BPA has a five-year period of performance from the Date of Award or Effective Date, whichever is later, with orders not permitted to extend beyond the BPA term unless authorized under FAR 52.217-8. Pricing is firm-fixed-price per license as stated in the Schedule, with electronic delivery of licenses permitted unless otherwise specified. Each order must reference the BPA number and include applicable CLINs, quantity, unit price, funding citation, and period of performance. Invoicing is mandatory through the U.S. Department of Treasury Invoice Processing Platform (IPP), with invoices required to comply with FAR 52.212-4(g) and include contractor information, BPA and order numbers, CLINs, license descriptions, quantity, unit price, period of performance, EFT information, and points of contact. Payment will be made in accordance with the Prompt Payment Act. The contractor must maintain active SAM.gov registration throughout the BPA term and comply with cultural sensitivity requirements, maintain a quality control program, and complete mandatory Information Security and Compliance Act (ISSA) training and HIPAA/HITECH compliance requirements if accessing IHS systems or protected information. The Government may terminate the BPA or any order for convenience or cause in accordance with FAR 52.212-4, with disputes resolved per FAR 52.212-4 and applicable contract dispute statutes.
