ADDENDUM TO 52.212-1-- INSTRUCTIONS TO OFFERORS--COMMERCIAL
PRODUCTS AND COMMERCIAL SERVICES
THIS SECTION IS FOR SOLICITATION PURPOSES ONLY. THIS FULL TEXT SECTION WILL
BE REMOVED FROM ANY RESULTANT AWARD AND WILL BE DEEMED INCORPORATED BY
REFERENCE. THIS ADDENDA SUPPLEMENTS FAR 52.212-1.
I. SOLICITATION PROVISIONS IN FULL TEXT
Notice: The following provisions are hereby replaced in full text:
Addendum to 52.212-1(c), Period for Acceptance of Offers. The Offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.
II. PROPOSAL PREPARATION INSTRUCTIONS
Each Offeror is required to submit their proposal as specified in solicitation FAR provision 52.212- 1, Instructions to Offerors-Commercial Items, along with the following addendum. Failure to provide any required information may result in an offer being determined non-responsive.
A. Proposal Submittals/Inquiries Instructions.
Deadlines:
No later than 4:00 PM CST, 16 MAY 2025 – Questions in response to this notice shall be sent via e-mail to the Government points of contact listed below.
No later than 12:00 PM CST, 30 MAY 2025 – General, Technical, Past Performance and Price Volumes shall be submitted via email to each Government points of contact listed below.
It is the Offeror’s responsibility to confirm receipt of all submissions. Please note that any proposal that is received at the designated Government office after the exact time specified for receipt of proposals is "late" and will not be considered unless it is received before award is made and the contracting officer determines that accepting the late proposal would not unduly delay the acquisition.

B. General Instructions/Information.
1. To ensure timely and equitable evaluation of the proposal, the Offeror shall follow the instructions contained herein. The proposal must be complete, self-supporting, and respond directly to the requirements of this solicitation. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to the identified evaluation factors and sub-factors below. Failure to meet a requirement may result in an offer being ineligible for award.
2. The submission of the documentation specified below will constitute the Offeror's acceptance of the terms and conditions of the Performance Work Statement (PWS) (Atch. 1). A written notice of award, or acceptance of an offer emailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding agreement without further action by either party.
3. If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately, but no later than the time for the initial submission of proposals, notify the Contracting Officer (CO) in writing with supporting rationale as well as the remedies the Offeror is asking the CO to consider as related to the omission or error.
4. The Offeror shall clearly identify in their proposal if the Offeror takes exception to any of the requirements of the PWS or terms and conditions of this task order.
C. Proposal Preparation Instructions.
1. Instruction to Offeror.
The proposal instructions in this section are designed to assist Offerors in preparing a complete response that reflects a full understanding of the approach proposed to accomplish all the requirements as stated in the PWS and the evaluation criteria in Attachment 3, 52.212-2 Addenda. The Offeror’s proposal shall include all data and information requested and shall be submitted in accordance with these instructions. Non-conformance with the instructions provided may render an Offeror ineligible for award.
2. Volume Information.
Offeror’s proposal shall consist of five (5) separate volumes:
Volume I – General Volume II - Technical Volume III - Past Performance Volume IV – Price
2.1 General Volume I.
Must include a cover letter/executive summary with the following information:
1. Volume number and name of volume
2. Solicitation title
3. Offeror’s name, address, and contact information
4. Identification of any exceptions
5. Date of proposal and validity date
6. Indication of whether the volume is an original or redacted copy
7. Cage Code/DUNS
8. Unique Entity Identifier (UEI)
9. Tax Identification Number (TIN)
10. Acknowledgment of combined synopsis/solicitation and any/all amendments
3. Proposal Format.
3.1. Offerors shall electronically submit a digital proposal in Microsoft Word 2016 or compatible, PDF, PowerPoint, and/or Excel, as outlined in Section 3.5, Table 1 - Number & Type of Copies Required. Offeror shall also verify that its electronic proposal is readable on the software operating system format specified above and it is free from computer viruses using standard commercial antivirus software. The file name shall be “Company Name – FA300225R0010 - Initial” (i.e. Bravo, Inc. – FA300225R0010 - Initial) for the first submission. The file name of later submissions (if necessary), shall be “Company Name – FA300225R0010 - Revision X” (i.e., Bravo, Inc. – FA300225R0010 - Revision X) with ‘X’ indicating the number of the revision.
3.2. Documents submitted in response to this solicitation shall be fully responsive to and consistent with the following:
3.2.1. Requirements of the solicitation, Contract Line Item Numbers (CLINs), PWS, and Government standards and regulations pertaining to the PWS.
3.2.2. Evaluation factors for award in accordance with Attachment 3, 52.212-2 Addenda.
3.3. Proposals must be prepared as follows:
3.3.1. All text shall be single spaced.
3.3.2. Printing shall be easily readable; 12-point proportional spacing using Times New Roman font and 10-point Times New Roman for tables, charts, and graphs.
3.3.3. Each volume shall contain a more detailed table of contents to delineate the sub-paragraphs within that volume.
3.3.4. Each volume shall contain page numbers. Offerors shall use a commercial standard page numbering system.
3.3.5. Each volume shall contain a glossary of all abbreviations and acronyms used with a definition for each.
3.4. Cross Referencing.
3.4.1. Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other parts of the proposal.
3.4.2. Information required for proposal evaluation, which is not found in its designated volume, will be assumed to have been omitted from the proposal.
3.4.3. Each response to each sub-factor shall be self-contained. No cross-referencing between sub-factor responses is permitted.
3.5. Proposal Limitation. The proposal shall not exceed the limits stated in the table below. If the page limits are exceeded, the pages more than the limit shall not be read or considered in the evaluation

Can we state: as outlined in Section 3.5, Table 1-of the proposal. The Government will not accept any changes to the contractor’s proposal after the closing date of the solicitation (See FAR 52.212-1(f) for further information regarding late proposals).
It is the Government's intent to award without interchanges. If interchanges occur, the specified page limits for Interchange Notices (INs) responses will be identified in the letters forwarding the INs to the Offerors.

3.5.1. Page limit includes: all attachments, appendices, charts, graphs, diagrams, tables, photographs, and drawings. Page limit does not include cover sheets for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, interchange notices and tables if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. Pages will be counted if they contain any other information, i.e., diagrams, extraneous data, etc.
Is 2 pages applicable to include the Past Performance Information Worksheets (PPIs)?
3.5.2. The Offeror shall number each page to eliminate any confusion. In the event the Offeror creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages.
3.5.3. Identification of non-management personnel and/or resumes will not be accepted.
4. Proposal Content.
4.1 Volume I – General.
All solicitation amendments must be acknowledged in accordance with FAR 52.212-1, Instructions to Offerors – Commercial Products and Commercial Services (Sep 2023) and submitted with the proposal. The Offeror shall provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the Government.
Failure to follow proposal preparation instructions may cause your proposal to be deemed unacceptable by the Government.
In accordance with FAR 52.212-3, Offeror Representations and Certifications -- Commercial Products and Commercial Services (May 2024), Offerors are reminded that Representations and Certifications are to be maintained at the following website: https://www.sam.gov
4.2 Volume II – Technical.
4.2.1 The Technical Volume shall be clear, concise, and include sufficient detail for an effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Legibility, clarity, and coherence are very important. Responses will be evaluated against the technical factor criteria defined in Attachment 3, 52.212-2 Addenda. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., shall be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their experience and will base its evaluation on the information presented in the Offeror's proposal. Elaborate brochures or documentation, detailed artwork, or other embellishments are unnecessary and are not desired.
4.2.2 The volume shall be organized according to the following general outline:

4.2.3 Factor 1 -Technical
The Offeror shall demonstrate a clear understanding of the scope, mission and the required tasks defined in the Pilot Training Transformation (PTT) Device Support Sustainment (DSS) III PWS.
Responses must display a reasonable, well-thought-out approach that demonstrates the Offeror's understanding of tasks to be performed and the methodology for accomplishing tasks if awarded and the negative impact to the Air Force pilot training mission if the requirements of the PWS are not https://www.sam.gov/ met. The Government's technical evaluation team will review this factor and apply their subject matter expertise to determine if an Offeror has provided a technical volume that articulates a clear and specific understanding of the PTT DSS III as it relates to this requirement.
4.2.3.1 Knowledge and Understanding
The Offeror shall demonstrate a clear understanding of the requirement to provide all services and equipment necessary to install, maintain, and support new and existing PTT devices in accordance with the PWS, to include a proposed approach for providing and maintaining subject matter experts and meeting the experience qualifications at multiple locations IAW paragraph 4.1 and 14 of the PWS. In addition, the offeror’s approach shall include solutions for geographical constraints (e.g.
limited workforce), and other anticipated challenges in providing the required support.
4.3 Volume III – Factor 2 – Past Performance
Past Performance is necessary to demonstrate the quality of an Offeror’s experience with efforts comparable to the subject requirement. Therefore, each Offeror shall submit a past performance volume with its proposal. The past performance volume shall be prepared IAW all instructions contained herein. Each Offeror’s proposal will be evaluated IAW the evaluation criteria set forth in Attachment 3, 52.212-2 Addenda.
4.3.1. The volume shall be organized according to the following general outline:
• Table of Contents
• List of Tables and Drawings
• Glossary/Acronym Abbreviations List
• Factor 2 – Past Performance
• Past Performance Summary Sheet (PPSS)
• Subcontractor/Partner Letters of Consent
4.3.2. Past Performance Summary Sheet (PPSS). The Offeror shall complete and submit, as part of their proposal, a maximum of three (3) Past Performance Summary Sheet Worksheets (Atch 5).
Each Past Performance Summary Sheet shall contain only one contract/effort performed. Of the three
(3) Past Performance Summary Sheets at least two (2) should reflect performance on a recent and relevant prior experience effort. No more than one (1) Past Performance Summary Sheet should reflect the performance on a recent and relevant prior experience effort submitted by the contractor participating as the subcontractor, or in support of the prime contractor. Past Performance will be evaluated as a measure of the Government’s confidence in the Offeror’s ability to successfully complete the tasks required in this solicitation. If an Offeror has no relevant past performance history, the Offeror must affirmatively state that it possesses no past performance history of relevance. A report from the Contract Performance Assessment Reporting System (CPARS) may be submitted in lieu of a PPSS for each effort.
4.3.3. The Government will not consider the past performance of affiliated companies. The Government will consider operating divisions within the parent company or joint ventures of the parent company or subcontractors that will perform a major or critical aspect of the requirement when it is reasonable to attribute the experience of the past efforts to the proposed effort and when the proposal clearly demonstrates the resources (e.g. financial resources, overall oversight and management, or other resources) of the parent or subcontractor will meaningfully affect performance of the instant acquisition. If providing past performance information on predecessor companies, the Offeror shall provide a roadmap demonstrating succession of ownership. As part of this explanation, describe how

If it stays PPSS then just make sure your call the PPI in Attachment 3 52.212-2 the same in section 3.2.5 these changes impacted the relevance of any submitted efforts.
4.3.4. If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with the same partner. If this is a first-time joint effort, each party to the arrangement must provide a list of past contracts of relevance.
4.3.5 Subcontractor Letters of Consent. Past performance information pertaining to a subcontractor or partner cannot be disclosed to the prime Offeror without the party’s consent.
Proposals must include a Subcontractor/Partner Consent Letter (Atch 7) completed by each subcontractor, teaming partner, and/or joint venture partner that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
4.3.6 Quality and Satisfaction Rating of Contracts. The Government reserves the right to use relevant performance assessment ratings from sources available to the Government, to include, but not limited to CPARS and past performance information provided by the Offeror, as solicited.
4.4 Volume IV – Factor 3– Price.
4.4.1 Each Offeror shall submit a Price volume with its proposal. The price volume shall be prepared IAW all instructions contained herein. Each Offeror’s Price proposal will be evaluated IAW the evaluation criteria set forth in Atch 3, 52.212-2 Addenda. Compliance with these requirements is mandatory and failure to comply may render the proposal non-responsive. Proposals shall include all Microsoft Excel files with all cell formulas viewable and organized according to the following general outline:
4.4.1.1 Price Proposal Spreadsheet (Atch 6)
4.4.2 Summary Page. The summary page shall provide an overview of the overall pricing that clearly demonstrates the total price of the proposal for the aggregate of all Firm-Fixed-Price (FFP) Contract Line Item Numbers (CLINs) for all pricing periods.
4.4.3 Price Reasonableness. The Offeror shall ensure the price proposal is reasonable, balanced, and complete. Price will not be rated or scored; however, it will be evaluated to ensure it is fair, reasonable, and balanced using various price analysis techniques IAW FAR 13.106-2(b). The proposed prices shall be based on the Offeror’s own technical approach submitted in the Technical Proposal (Volume II) and the Government’s PWS requirements. An Offeror who submits a price proposal that is determined to be unfair, unreasonable, or unbalanced (either initially or because of Interchanges) is not eligible for award and will be eliminated from the competition. If at any time during this competition, the contracting officer determines that adequate price competition no longer exists or that price reasonableness cannot be determined, Offerors may be required to submit other than certified cost or pricing data, as appropriate, for the contracting officer to determine price reasonableness. The Offeror will complete the Price Proposal Spreadsheet (Atch 6).
The price proposal will be used to calculate the Offerors Total Evaluated Price (TEP) for all pricing periods of the one (1) base period. The total extended price for all FFP CLINs must equal, to the whole dollar, the unit price multiplied by the quantity of units. The Offeror shall propose and insert a whole dollar unit price, with no decimal places, for each FFP CLIN. The TEP will be determined by multiplying the quantities identified by the proposed unit price for each FFP CLIN and totaling all CLINs. The TEP will be the sole basis for evaluating price for contract award decision purposes.

Although FAR 52.217-8, Option to Extend Services (Nov 1999), is included in the solicitation and subsequent award, this option period will not be included in the TEP and shall not be included in the pricing spreadsheet (Atch 6 Pricing Matrix). The Government determines that exercising FAR 52.217-8 pricing for the extended period (if necessary) will reflect the contract pricing at the conclusion of base period and remain unchanged throughout the extended period of performance.
