Addenda to FAR 52.212-1, Instructions to Offerors – Commercial Products & Services

1.0 General Information. This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposals. The Offeror’s proposal must include all data and information requested by the ITO and must be submitted in accordance with (IAW) these instructions. Any Offeror who submits an incomplete package may be considered ineligible for award. Offerors are strongly encouraged to carefully review all Government provided information and documents included in this Solicitation. Offers shall be compliant with the requirements as stated in the Performance Work Statement (PWS) (Attachment 1) and the entire Solicitation, including attachments.

1.1 The Government will evaluate the information presented in the Offeror's submission. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. It is the Offeror’s responsibility to provide a submission that enables the Government to effectively evaluate the Offeror’s submission. The Offeror has the burden to provide a submission that demonstrates the Offeror has an accurate understanding of the requirements; the Offeror has viable solutions for the requirements; and the Offeror is able to meet the requirements. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal as received.

1.4 All referenced Solicitation documents are available on System for Award Management website at https://SAM.gov/ to include any future amendments to the Solicitation. The proposed technical solution shall demonstrate the Offeror’s ability to successfully execute their approach to this acquisition as cited in the PWS. The Offeror’s proposal shall outline an effective, efficient, achievable approach for accomplishing the work to be performed within the timeline specified by the performance periods. Evaluation of the Offeror’s proposal shall address each Technical Subfactor as it applies to requirements set forth in this Solicitation and PWS. The Technical Subfactors are as follows:

i. Subfactor 1 – The Offeror shall propose an approach that demonstrates an understanding of the process and procedures required to develop training curriculum and to design and produce Leaders Training videos (PWS paragraphs 2.2 thru 2.2.2.4) and Total Force Training videos (PWS paragraphs 2.4 thru 2.4.1.3)

iv. Subfactor 4 – Program Management Approach: The Offeror shall propose an approach that demonstrates management capability and methodology for accomplishing deliverables and work requirements identified in the PWS with the appropriate skills, personnel, equipment, tools, materials, and supervision, in appropriate quantities, and at the appropriate time. (PWS paragraphs 2.1 thru 2.1.3, 4.0, 6.2.2, 6.3 thru 6.4.2.)

v. Subfactor 5: Performance Management/Quality Control (QC) Approach: The Offeror shall propose an approach that demonstrates the capability to meet PWS requirements without introducing unacceptable risk to the program or mission. The proposed approach shall provide an internal QC strategy that defines clear processes to ensure that the requirements of the contract and performance thresholds are met and includes methods to effectively identify, prevent and ensure non-recurrence of defective services with special emphasis placed on the services listed in the PWS. (PWS paragraph 3.0 and 6.5 thru 6.5.2)

3.0 Volume II – Past Performance. Each Offeror shall submit a Past Performance Volume as part of the proposal. The Past Performance Volume shall contain contract/efforts considered recent and relevant to this acquisition. Recency is defined as performance that occurred within the last three (3) years of the date this Solicitation is issued, and that includes at least six (6) months of performance. Relevance is defined as contracts similar in scope, magnitude, and complexity to the requirements of the PWS. In addition to the Past Performance Volume, the Government intends to review past performance using Contract Performance Assessment Rating System (CPARS), Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), SAM.gov, and other data independently obtained from other government and commercial sources. The Government may contact references other than those identified by the Offeror, and use the information received to evaluate the Offeror’s past performance. The Past Performance Volume shall be no more than fifteen (15) pages.

3.1. Volume Organization. The Past Performance Volume shall be organized according to the following outline:

a) Table of Contents (Not included in the 20-page limit)

b) Summary Page (Not included in the 20-page limit)

c) Specific Content (Not included in the 20-page limit)

d) Past Performance Information (PPI) worksheets

e) Organizational Structure Change History

f) Past Performance Questionnaires (PPQ) – Pre-filled Section I only

3.2. Past Performance Information (PPI) Worksheets: The Offeror shall complete and submit PPI worksheets in accordance with the format contained in Attachment 5, for not more than three (3) contracts/efforts total (including major subcontractors, teaming partners, and joint venture partners) that you consider recent and relevant to this acquisition, demonstrating your ability to perform the proposed effort. Each contract or effort submitted must be limited to five (5) pages each. The combination of all PPI worksheets shall not exceed a total of 15 pages (three (3) contracts/efforts multiplied by five (5) pages each).

3.3. Past Performance Questionnaires (PPQ): The Government will evaluate the quality and extent of the Offeror’s performance deemed recent and relevant to the requirements of this

Solicitation. The Government will use information submitted by the Offeror and other sources, such as other Federal Government offices and commercial sources, to assess performance.

Offeror shall send the PPQ (Attachment 6) to references on no more than three (3) contracts identified in their PPI worksheets (Attachment 5). The responsibility to send out the PPQs and ensure receipt by the Government rests solely with the Offeror. Completed PPQs shall be sent by the reference directly to the Government POC identified in the PPQ form. It is highly recommended that Section I of the PPQ be pre-filled by the Offeror prior to sending to the respondent. Once submitted, the information contained therein shall be considered.

4.0 Volume III – Price: The Offeror shall submit a completed Attachment 7 - Price Proposal Spreadsheet. Offerors shall propose and insert whole dollar CLIN unit prices, with no decimal places, for each firm-fixed priced (FFP) CLIN of the Base Period and each Option Period (see Tabs at bottom) in Attachment 7 – Price Proposal Worksheet. Do not alter the spreadsheet; only fill in the Unit Price for each FFP CLIN. The totals will automatically calculate after the FFP Unit Prices are filled in by the Offeror. The sum of all FFP CLINs, for the Base Period and each Option Period, will form the Offeror’s Total Evaluated Price (TEP). The Offeror shall NOT propose a price on cost reimbursable CLINs. The proposed prices for each FFP CLIN must be based on the Offeror’s own technical approach submitted in the Technical Proposal (Volume I).

4.1 Since this will be a FFP contract, the Government will not evaluate supporting cost data unless only one (1) proposal is received. Unreasonably low or high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has submitted an unreasonable proposal.

The price proposed should correspond to the requirements of the PWS; therefore, an unreasonably low price or a price of zero may be considered unreasonable. Any CLIN price that is an unreasonably low price or a price of zero must be supported with documentation.

Additionally, unbalanced pricing may pose an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal.

4.2 If, at any time during this source selection, the Contracting Officer determines that adequate price competition no longer exists or that price reasonableness cannot be determined, Offerors may be required to submit certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the Contracting Officer to determine price reasonableness.

4.3 The Offeror shall provide a statement identifying the Service Contract Labor Standards (SCLS) Wage Determination (WD) that is applicable to their price proposal or identify an applicable exemption.
