Section C - Description/Specifications/Statement of Work

Terms and Conditions

The submission of the documentation specified below will constitute a Quoter's acceptance of the terms and conditions of the Request for Quotation (RFQ) and concurrence with the contract type. To be eligible for award, Quoters are required to meet all solicitation requirements, such as terms and conditions, evaluation factor requirements, and be deemed responsible in accordance with FAR Part 9. Failure to meet a requirement may result in a Quoter being ineligible for award. If the quoter finds it necessary to take exception to any of the requirements specified in this solicitation, the Quoter shall clearly identify the exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Quoters are cautioned that taking an exception may render the quote ineligible for award. It is recommended that the Quoter contact the Contracting Officer immediately upon identifying an area that may result in an exception.

The following terms and conditions will apply to any BPA which is awarded as a result of this RFQ:

The terms and conditions included in the BPA applies to all purchases made pursuant to it. In the event of an inconsistency between the provision of the BPA and the Contractors invoices, the provisions of the BPA will take precedence.

I. Description of Agreement:

a. A BPA is a simplified method of filling anticipated repetitive needs for supplies by establishing contract terms and procedures with qualified sources. A BPA allows for a Call Order to be made as supplies are required.

b. NSWC-PHD has a requirement for tested and approved parts.

c. When requested by the Contracting Officer, the contractor shall provide the requested supplies under a separate funded BPA Call Order.

d. The contractor will provide supplies called for by this agreement when requested by the Contracting Officer or an authorized caller during a five

(5) year. The period of performance (PoP) will be determined upon award of the BPA. Delivery requirements will be set forth in individual orders issued under this BPA.

e. Either party may terminate this BPA without cause provided written notice is provided. Once a purchase order (order call) is accepted it is binding.

II. Extent of Obligation:

The Government is obligated only to the extent of authorized purchase orders awarded under the BPA. This BPA does not obligate any funds.

a. The Requirements Generator (RG) must confirm there is funding available on a BPA Call Order prior to supplies being ordered or delivered. If the contractor does not have this confirmation and performs services associated with this BPA, they do so at their own risk.

III. Purchase Limitations:

a. At the Call Order level, the limitation will be at or below Simplified Acquisition Threshold (SAT).

b. The Call Order limitation issued under this BPA will be in accordance with FAR 12.201-1(3)(iv)(C). No Call Order may exceed the threshold for the use of streamlined commercial procedures identified in FAR 12.201-1(a).

IV. Call Ordering Procedures

a. Call Orders (purchase orders) will be emailed to all BPA holders, which have been authorized by a warranted Contracting Officer within their respective warrant authority and within the designated Call Order Limitation set forth in this BPA. Quoters will have three (3) business days (or alternate time if specified in RFQ) to submit an offer.

b. Upon receipt of any Call Order issued here under by the Contracting Officer, the contractor, pursuant to such Call Order, shall furnish to the Government product of the type and at the prices set forth in the BPA Call Order. Call Orders may be issued at the discretion of the Government during the period set forth elsewhere in this agreement. The total amount of each Call Order shall establish a firm-fixed price for the Call Order.

Any changes to the fixed price will be issued in writing by the Contracting Officer.

c. The contractor shall, within the time specified, provide the Contracting Officer a price quote as set forth in the price schedule. Upon receipt of the contractor's quote, the Contracting Officer shall review the quotes to ensure acceptability to the Government. Upon completion of this process, the Contracting Officer will prepare a unilaterally issued Call Order which shall include:

i. Quantities and locations;

ii. The place and manner of inspection and acceptance;

iii. The firm fixed price;

iv. Accounting and appropriation data, and

v. Any other pertinent information deemed necessary to the delivery of the Call Order.

d. Only upon receipt of such executed Call Order, signed by the Contracting Officer shall the Contractor commence deliveries. The Contractor shall notify the Contracting Officer if any significant difficulties regarding performance according to the terms of the Call Order are anticipated or any time significant difficulties in performance arise.

e. The Contracting Officer will evaluate the responses received to ensure that they conform to the request submitted and will award to the lowest priced, technically acceptable offer. Evaluation terms will be included in the solicitation.

V. Pricing

a. Prices under this agreement, as set forth in the price list, will be at least as favorable as those charged to the Contractor's most favored customer for similar quantities and terms, inclusive of any prompt payment discounts. Contractor may be required to provide price verification/documentation to establish fair and reasonable pricing. Contractor may submit quotes that deviate from the approved price list only when justified by unique mission requirements or market conditions. Such deviations must be clearly highlighted in the quote and are subject to the review and written approval of the Contracting Officer prior to award. In the absence of such written approval, the rates on the approved price list shall govern.

b. Payment will be made through the contractor's submission of payment request through Wide Area Work Flow (WAWF), see DFARS clause 252.232-7006 Wide Area Work Flow Payment Instructions.

c. Any discount offered by the vendor shall be clearly stated in the quotation. Discounts shall be included in the vendor's pricing and identified in sufficient detail for evaluation purposes. If no discount is offered, the Government will evaluate the quotation based on the full quoted price.

VI. Delivery

a. Delivery terms will be F.O.B. Destination.

b. There will be no additional CLINs added for shipping. If there is a shipping charge, please include in the price.

c. The delivery address and Mark For: Point of Contact (POC) will be obtained at the time the Call Order is issued.

d. The contractor shall provide a detailed delivery receipt for all Call Orders upon delivery completion. The following minimum information must be provided for all quotes provided in response to RFQ:

i. Name of supplier or contractor

ii. BPA number

iii. Date the Call Order was placed

iv. Name of government personnel that placed the Call Order

v. BPA Call Order number

vi. List of items delivered

vii. Quantity, unit price, and extension of each item, less applicable discounts, to detail total cost

VII. Contractor Base Access Instructions

To obtain physical access to the installation under this BPA, all contractor personnel who do not possess a valid Common Access Card (CAC) or Military ID must register for a Local Population ID Card / Base Access Pass. Please complete and follow the instructions in SECNAV 5512 to ensure timely processing of your base access.

VIII. Obsolescent Parts

The Contractor is responsible for the following:

a. Monitoring: Actively monitor products and components provided in this agreement for potential obsolescence.

b. Notification and Recommendation: Notify the Government as early as possible of any item identified to become unavailable. This notification must include a recommended replacement that meets the original form, fit, and function requirements.

c. Approval: Obtain Government approval before implementing any substitution.

IX. Additional Supplies

a. The Government recognizes that during the performance period of this BPA, technology advancements, product obsolescence, or evolving mission requirements may necessitate the addition of new parts, components, accessories.

b. The Government reserves the right to add additional parts or products to the BPA baseline to ensure the agreement remains viable and meets ongoing mission needs. This will be executed by the completion of a bilateral modification to the original BPA.

X. Ramp-On/Ramp-Off Language

a. The Government reserves the right, at its sole discretion, to establish additional BPA holders (ramp-on) for the same or similar Ramp-On:

supplies covered by this solicitation during the effective period of the BPA(s), if determined to be in the Government's best interest. Circumstances may include, but are not limited to, situations where existing BPA holders are unable to meet the Government's requirements, additional competition is warranted, increased capacity is needed, or mission requirements change.

Prior to establishing any additional BPA(s), the Government may provide all interested and responsible sources an opportunity to be considered as appropriate and consistent with applicable procurement laws and regulations. Any newly established BPA shall be subject to the terms and conditions of the solicitation

b. The Government reserves the right to remove (ramp-off) any BPA holder if the BPA holder fails to maintain active registration in Ramp-Off:

SAM.gov, exhibits consistent non-performance (such as late deliveries, failure to quote on multiple Call Orders, or submitting technically unacceptable quotes). A 30-day written notice will be provided prior to removal, and the contractor must honor all accepted before the Call Orders effective date.
