The form establishes comprehensive requirements that bidders must address to demonstrate their qualifications to serve as the primary vendor or subcontractor for this significant gaming systems project. Bidders must provide detailed corporate background information, including business entity details, organizational structure, and locations of relevant facilities and subcontractors. A critical eligibility requirement mandates that all bidders must have at least one current North American State and Provincial Lottery Association (NASPL) client to whom they have supplied a complete lottery gaming system including central systems, retailer terminals, retailer network infrastructure, and operations services supporting both instant and draw games.

The form requires bidders to demonstrate extensive experience, financial stability, and operational capability across multiple dimensions. Bidders must submit detailed descriptions of gaming industry experience from the past five years, including contract values, terminal quantities, contract terms, service types, and verifiable references for all comparable engagements. Bidders must disclose contract terminations, business suspensions, and liquidated damages exceeding $50,000 assessed within the past ten years. Additionally, bidders must provide evidence of manufacturing readiness and capacity for terminal production, software development capabilities with quality certifications such as ISO 9000 or SEI CMMI, comprehensive security management aligned with ISO 27002 or COBIT standards, and project management expertise with PMP-certified staff. The form also requires bidders to document their timeline of concurrent lottery projects to ensure Maine implementation will not experience delays, describe research and development resources for gaming features and services, detail economic impact and employment within Maine, and submit corporate financial information including liquidity, profitability, efficiency, and leverage ratios demonstrating financial sustainability.

TitleBidder RequirementBidder Response
The Bidder is required to demonstrate corporate experience, technical capability, and financial means to support the Contract.
Corporate Background ReviewThe Bidder shall provide:
a.Name and address of the business entity making the Proposal.
b.Type of business entity (e.g., corporation, partnership, etc.).
c.Place of incorporation, or other form of organization, if applicable.
d.Name and location of major offices, plants, and other facilities that relate to performance under the terms of this RFP.
e.Name, address, and function of substantial subcontractors, associated companies, or consultants that will be involved in any phase of this project.

Gaming Systems Experience Any Bidder submitting a Proposal must have one (1) or more current NASPL clients to whom it has supplied a Lottery Gaming System, including central systems, Retailer terminals, Retailer network, and operations services. The System must support both instant and draw games.

Bidder Expectation: To expand on the list and contacts provided for Eligibility (Part IV, Section I, 3), the Bidder must describe, in detail, their current and historical experience with lottery gaming systems; that is, descriptions and references for all gaming industry engagements of comparable complexity and sensitivity that have been conducted by the Bidder over the past five (5) years.

Each experience statement shall include the following details:

a.Name of lottery or gaming enterprise(s).
b.Estimated contract value.
c.Number of terminals delivered to the customer.
d.The term of the contract, including effective dates.
e.Reason for contract end if the contract is no longer in effect.
f.Types of services directly provided by the Bidder under the contract and whether the Bidder was a prime Vendor or subcontractor.

The descriptions must include names, titles, addresses, and telephone numbers that may be contacted to verify qualifying experience. If the experience is provided by a teaming partner or a substantial subcontractor that will provide a major part of the products and services, then experience information for that entity must be included.

Contract PerformanceThe Awarded Bidder must be a business in good standing with its customers and the business community. The Bidder shall state whether any of the following have occurred:
TerminationsDuring the last five (5) years, the Bidder has had a contract terminated for default or cause. If so, the Bidder shall submit full details including the other party's name, address, and telephone number.
SuspensionsDuring the last five (5) years, the Bidder, a subsidiary or intermediate company, a parent company or holding company was the subject of any order, judgment, or decree of any federal or state authority barring, suspending, or otherwise limiting the right of the Bidder to engage in any business, practice, or activity, or if trading in the stock of the company has ever been suspended, with date(s) and explanation(s).
Liquidated DamagesThe Bidder shall list incidents of liquidated damages for the past ten (10) years where such resulted in an assessment by any jurisdiction of fifty thousand dollars ($50,000) or greater in a twelve-month period. The format shall indicate the jurisdiction, date, amount, and brief description (e.g., late delivery of software, central system downtime, untimely terminal service, or unauthorized facilities access). An event is reportable even if the Bidder has provided in-kind services or other considerations rather than damage payments.

Pending Bidder Workload The Awarded Bidder must be able to implement Maine without schedule delays and quality problems that may be caused by other project commitments.

Bidder Expectation: The Bidder must provide a timeline of other lottery project commitments that may be concurrent with the implementation for Maine. The Bidder must provide evidence that it would be possible to conduct any such multiple implementations without schedule and quality delays for the Maine Lottery due to resource overload.

Manufacturing Capabilities for TerminalsThe capacity to provide the gaming terminals is critical to the project. (In the event of removal or reduction of an imposed tariff or fee, the vendor shall notify the MSLC within (60) days and reduce the MSLC’s cost accordingly. If due to a tariff or fee impacting the availability or cost of proposed goods, vendors are encouraged to consider alternate suppliers or sourcing strategies that will provide comparable or better performance. Any requests for price adjustments due to newly imposed or increased tariffs or any unforeseen fees following contract execution or a subsequent purchase order issued under the contract must be submitted in writing to MSLC. Such requests will be evaluated on a case-by-case basis and will require documentation that includes the item impacted and a detailed cost breakdown. Approval of any price adjustments is at the sole discretion of the MSLC and contingent upon written authorization by the MSLC and budget availability. Any substantial changes (e.g. price, quantity, delivery, etc.) to the originally issued purchase order may result in the cancellation of the purchase order at the sole discretion of the MSLC).
Readiness for Manufacture and DeliveryAll proposed items that are required to be operational on day one of the contract start date must be ready for manufacture and delivery at proposal submission time. The Lottery acknowledges and accepts that items that are not due on day one of the contract start date and that are subject to cooperative development and further negotiations with the Lottery may not be ready for manufacture and delivery at Proposal time.
