About this file
This is Amendment 4 to a staffing services contract executed by the County of Orange, California, in conjunction with a comprehensive regional cooperative agreement for staffing services. The amendment modifies the original contract with Lloyd Staffing, a qualified respondent selected through the competitive RFP-017-2952904-RE process. The contract encompasses administrative, medical, and information technology staffing services across Orange County and San Francisco City jurisdictions, with extension to participating public agencies nationwide. The original RFP solicitation required electronic proposal submissions through the County's eProcurement Portal with a deadline of January 26, 2026, at 2:00 p.m., and a questions deadline of December 22, 2025, at 2:00 p.m. The contract establishes a five-year regional cooperative agreement with potential nationwide utilization and includes comprehensive screening requirements covering criminal background checks, DMV verification, credit checks, employment history verification, and education verification.
The contract structure includes a 2% rebate on non-County cooperative sales, with Pavilion Cooperative Management Services serving as the third-party administrator for tracking participation and verifying rebate payments. The procurement projected over $1.08 billion in potential cooperative sales and anticipated $21.6 million in administrative rebate revenue. Contractors must maintain comprehensive insurance coverage including general liability ($1,000,000) and professional liability ($1,000,000), with workers' compensation requirements. The County retains audit rights for three years following contract expiration to verify reported sales and rebate payments. The contract allows public agencies, educational institutions, and nonprofit organizations across all 50 U.S. states to access the competitively solicited staffing services. No specific set-aside designations for disadvantaged enterprises were outlined, though the contract emphasizes compliance with federal, state, and local labor laws, including California Labor Code provisions and equal employment opportunity requirements.

IN WITNESS WHEREOF, the Parties hereto have executed this Amendment on the dates shown opposite their respective signatures below.
LLOYD STAFFING INC., A State of New York Corporation
If the Contractor is a corporation, signatures of two specific corporate officers are required as further set forth. The first corporate officer signature must be one of the following: 1) the Chairman of the Board, 2) the President or 3) any Vice
President. The second corporate officer signature must be one of the following:
1) Secretary, 2) Assistant Secretary, 3) Chief Financial Officer or 4) Assistant Treasurer. The signature of one person alone is sufficient to bind a corporation, as long as he or she holds corporate offices in each of the two categories described above.
For County purposes, proof of such dual office holding will be satisfied by having the individual sign the instrument twice, each time indicating his or her office that qualifies under the above, described provision. In the alternative, a single corporate signature is acceptable when accompanied by a corporate resolution demonstrating the legal authority of the signator to bind the corporation.
