About this file

This is Addendum No. 1 to Request for Proposals (RFP) 001-26/27 issued by the State of Florida Agency for Health Care Administration (AHCA) for the Preadmission Screening and Resident Review (PASRR) program. The addendum provides responses to written questions submitted by prospective vendors and modifies specific provisions of the original RFP. Key modifications include revisions to the solicitation timeline, with the deadline for receipt of responses moved to October 26, 2026, at 2:00 p.m., and public opening scheduled for October 26, 2026, at 2:30 p.m. at 2727 Mahan Drive, Building 2, Tallahassee, Florida. The anticipated notice of intent to award is December 1, 2026. The addendum clarifies electronic submission requirements for USB flash drives, specifying that documents must be saved separately in individual file folders including the transmittal letter, certifications, vendor certification form, proposal guarantee, technical response, cost proposal, detailed budget and rate card, and drug-free workplace certification. The contract term extends from January 1, 2027, through March 31, 2031, with renewal options for additional years. The implementation plan must be submitted within 90 days of contract execution, and the vendor must be fully operational within 90 calendar days thereafter.

The addendum includes a revised Exhibit A-5-a (V2) Detailed Budget and Rate Card template with zero-dollar placeholder values across all budget categories for the implementation period, operational years one through four, and renewal years one through four, to be completed by respondents. Historic volume data for the Florida PASRR program is provided in new Exhibit A-8, showing Level I screening volumes, Level II evaluation and resident review activities, specialized services recommendations, provisional admissions, administrative closures, and call center metrics from calendar years 2023 through the first half of 2026. The addendum deletes the preferred pricing provision from the standard contract and removes certain Level II evaluation requirements. Two deliverables related to education and training policies and materials are revised, each with a due date of 60 calendar days after contract execution at no cost, with liquidated damages of $250 per calendar day for late submission. The questions and answers section addresses 105 vendor inquiries regarding submission requirements, contract terms, staffing qualifications, service delivery mechanisms, data ownership, intellectual property rights, performance standards, liquidated damages, IT security requirements, and historical operational volumes.

Please confirm that it is permissible to submit those documents as is.

Mandatory response documents shall be submitted as the Agency provided unless otherwise specified.

Maximus US Services, Inc. RFP Exhibit A-4 SRC 9: Security Rating Score

SRC 9: Security Rating Score

A-4 12 of 12 (RFP PDF pg 54)

RFP Attachment A, Exhibit A-4, SRC 9: In accordance with Attachment B, Scope or Services, Section X., Information Technology, Sub-Section T., the Agency will conduct an initial IT security risk score scan on the respondent, using the “Cyber Rating” as provided by RiskRecon by Mastercard, as well as periodic or continuous security monitoring, at the Agency's expense, to enable the Agency to effectively measure and mitigate the successful respondent’s security risks. If awarded, the respondent will work with the Agency’s Cyber Security Rating Provider (RiskRecon by Mastercard) to define the relevant respondent assets providing Agency services.

The Agency performs and monitors the risk score scan.

At the end of the contract term, the Agency would expect any data that is unique to the Vendor's system and/or a derivative work of data originally provided by the Agency to be placed in a consumable format (relational database or other agreed upon format) for return.

Data that was received from the Department for the purposes of conducting business should be securely destroyed at the end of the contract, following approval from the Agency.

References RFP Exhibit A-7 § F(3) Audits / Monitoring (page 5 of 27): “Records [procedures, computer systems, recipient records, accounting records, and internal quality control reviews] shall be available at the Vendor’s office at all reasonable times. After this Contract period and for ten (10) years following, the records shall be available at the Vendor’s chosen location subject to the approval of the Agency.”

RFP Exhibit A-7 § G(2) Inspection of Record and Work Performed (pages page 5-6 of 27): “The Vendor shall retain all financial records, medical records, supporting documents, statistical records, and any other documents (including electronic storage media) pertinent to performance under this Contract for a period of ten (10) years after termination of this Contract, or if an audit has been initiated and audit findings have not been resolved at the end of ten

(10) years, the records shall be retained until resolution of the audit findings.”

RFP Attachment II § 14 Effect of Termination (pages 4-5 of 5): “At the termination of this Contract, the Vendor shall return all protected health information that the Vendor still maintains in any form, including any copies or hybrid or merged databases made by the Vendor; or with prior written approval of the Agency, the protected health information may be destroyed by the Vendor after its use. If the protected health information is destroyed pursuant to the Agency’s prior written approval, the Vendor must provide a written confirmation of such destruction to the Agency. If return or destruction of the protected health information is determined not feasible by the Agency, the Vendor agrees to protect the protected health information and treat it as strictly confidential.”

Question Please clarify the Vendor’s post-termination obligations with respect to PHI contained in recipient records, medical records, and other contract records. RFP Exhibit A-7 §§ F(3) and G(2) require certain records to be retained for ten (10) years following contract termination, while RFP Attachment II § 14 (the BAA) requires PHI to be returned to the Agency or destroyed at termination unless the Agency determines return or destruction is not feasible. In the event PHI is contained within records subject to the ten-year retention requirement, should the Vendor retain those records for the required retention period or return/destroy the PHI at contract termination in accordance with the BAA?

Exhibit A-7 10 of 27 (RFP PDF pg 75)

Will the Agency please consider limiting Contractor’s obligation to indemnify to third-party claims and will apply to only proven direct claims. For example: The Vendor agrees to hold harmless and indemnify the Agency to the full extent permitted by law against any and all third party liability, claims, actions, suits and proven direct judgments, damages and costs of whatsoever name and description, including attorney's fees, arising from or relating to any Proceeding.

No.

Maximus US Services, Inc. Attachment A - Standard Contract

I M. Indemnification a. & b.: Duty to Indemnify/Duty to Defend

Exhibit A-7 10 of 27 (RFP PDF pg 75)

Would the Agency revise the indemnification provision so that it applies only to third-party claims arising from the Vendor's negligence, willful misconduct, breach of confidentiality obligations, or intellectual property infringement, rather than all claims relating to the Contract?

No.

Maximus US Services, Inc. Standard Contract W 8.a Indemnification (against IP claims)

16 of 27 (RFP PDF pg 81)

Section 8.a states "the Vendor, without exception, shall indemnify and hold harmless the Agency and its employees from liability or any nature or kind, including cost and expenses for or on account of any copyrighted, patented, or unattended invention, process or article manufactured or supplied by the Vendor." Will the Agency please consider limiting Vendor's indemnification to third-party claims. For example: the Vendor, without exception, shall indemnify and hold harmless the Agency and its employees from third-party liability or any nature or kind, including cost and expenses for or on account of any copyrighted, patented, or unattended invention, process or article manufactured or supplied by the Vendor.

No.

Maximus US Services, Inc. Standard Contract W 8.d Disclosing intellectual properties

17 of 27 (RFP PDF pg 82)

Section W(8)(d) requires that prior to initiating services under the Contract, Vendor shall disclose, in writing, all intellectual properties relevant to the performance of the Contract, When we disclose these, we retain all IP rights. Failure to disclose indicates that no IP rights exist. Please advise how Contractor should disclose such pre-existing rights within its proposal response.

The Vendor should identify intellectual property within the applicable SRC(s) of its response to Exhibit A-4. Additionally, if awarded, the Vendor shall comply with the Standard Contract requirements for disclosing intellectual property.

Maximus US Services, Inc. Standard Contract W 8.d Disclosing intellectual properties

17 of 27 (RFP PDF pg 82)

Per Section W(8)(d) preexisting IP rights will remain with the vendor provided they are disclosed accordingly. However, please confirm that modifications or configurations made to pre-existing IP under this Contract will remain with Contractor provided that Contractor discloses such rights in accordance with Section W(8)d).

Confirmed.

Maximus US Services, Inc. Standard Contract W 8.h Works for Hire 18 of 27 (RFP PDF pg 83)

Will the Agency confirm that "works for hire" do not include Vendor's pre-existing and proprietary property by adding language such as:

Vendor retains all right, title, and interest in and to its pre-existing intellectual property, proprietary software, tools, algorithms, templates, methodologies, processes, know-how, trade secrets, AI systems, AI-generated outputs, inventions, concepts, and any enhancements, modifications, or improvements thereto ("Vendor

IP").

The Agency shall own only those deliverables specifically created and delivered exclusively for the Agency under the Agreement ("Deliverables"). To the extent any Deliverable incorporates Vendor IP, Vendor retains ownership of such Vendor IP and grants the State a non-exclusive, royalty-free license to use such Vendor IP solely as incorporated into the Deliverables for the Agency's internal governmental purposes.

For clarity, Vendor retains ownership of all methodologies, processes, techniques, software, tools, know-how, templates, inventions, discoveries, concepts, improvements, and other intellectual property developed, acquired, or used in connection with performing the Services, regardless of whether such intellectual property is utilized in creating a Deliverable. Nothing in the Agreement shall restrict Vendor from using its general knowledge, skills, experience, ideas, concept, methodologies, processes, or techniques retained in the unaided memory of its personnel, provided that Vendor does not disclose the Agency's confidential information.

Confirmed. However, there will be no edits to this provision of the Standard Contract.

NUMBER QUESTION ANSWER

Maximus US Services, Inc. Standard Contract III.C Renegotiation or Modification

3. Preferred Pricing 25 of 27 (RFP PDF pg 90)

Referencing Section III.c.3, Preferred Pricing, Vendor requests that the State strike this provision, as the services contemplated under this Agreement are uniquely tailored to the State’s requirements.

The preferred pricing obligation may unduly restrict the Contractor’s ability to structure pricing that appropriately reflects the specialized scope, risks, and operational requirements of the engagement.

See Addendum No. 1, Item 4.

Maximus US Services, Inc. RFP Attachment II 11(a) To Agency 3 of 5 (RFP PDF pg 95)

Reference RFP Attachment II § 11(a) To Agency (page 3 of 5): “The Vendor will report to the Agency in the manner and format obtained from the Contract Manager or Agency contact, within ten (10) business days of discovery, any use or disclosure, or loss of confidentiality, integrity, or availability, of protected health information, or e-PHI, not provided for in this Contract of which the Vendor is aware. The Vendor will report to the Agency in the manner and format obtained from the Contract Manager or Agency contact, within twenty-four

(24) hours of discovery, any security incident of which the Vendor is aware.”

Question Please clarify the applicable reporting timeframe for an unauthorized use or disclosure of PHI. Because the BAA defines a "security incident" broadly to include unauthorized access, use, or disclosure of information, an unauthorized use or disclosure of PHI could appear to fall within both the ten (10) business day reporting requirement for impermissible uses/disclosures and the twenty-four

(24) hour reporting requirement for security incidents. In such circumstances, which reporting timeframe governs?

A security incident is formally defined by NIST as an event that actually or potentially threatens the confidentiality, integrity, or availability (CIA) of information systems or the data they process, store, or transmit. It also includes violations or imminent threats of violations of security policies, procedures, or acceptable use rules (24 hours). This differs from impermissible use/disclosure, which is the result of a mistake made when processing data (For instance, a case worker sends PHI to the wrong recipient)(Up to ten business days).
