This is a Professional Services Agreement template between the City of Fort Myers, Florida and a service provider for design-build services related to the ROWTP Wellfield Expansion project. The City seeks a qualified progressive design-build team to provide design, permitting, and construction services for expanding potable water supply wellfield capacity. The project scope includes siting, design, and construction of potable water wells, raw water transmission mains, and fiber optic communication networks, along with rehabilitation of existing assets. The work requires compliance with City of Fort Myers Building and Utilities Departments, Southwest Florida Water Management District (SFWMD), and Florida Department of Environmental Protection (FDEP) regulatory requirements. The design-build team must develop a comprehensive project execution plan with detailed schedule and coordination with the Construction Manager at Risk for the Reverse Osmosis Water Treatment Plant improvements. Services include engineering, design, survey, technical specifications, permitting, inspection, and funding support necessary for construction completion. The contract term extends for a specified duration from the Notice to Proceed, with substantial and final completion dates to be established. The agreement allows for amendments and supplemental agreements as needed, with liquidated damages assessed at $1,000 per business day for task delays exceeding agreed-upon due dates, capped at $10,000 per task.
The contract amount and detailed compensation structure are to be specified in the fee schedule and method of payment attachment upon finalization. The City reserves the right to request additional services beyond the basic statement of work through written supplemental agreements or change orders. Insurance requirements are comprehensive, including commercial general liability ($1,000,000 minimum), workers' compensation, professional liability ($1,000,000 minimum), and cyber liability coverage ($10,000,000 if technology services are provided). The agreement is governed by Florida law with venue in Lee County, Florida courts. The City retains ownership of all project documents and deliverables upon completion. The contract is non-exclusive, allowing the City to perform similar work through other providers. Payment shall be made within forty-five calendar days of receipt of properly submitted invoices. The City may terminate the contract for convenience with thirty days' written notice or for cause with ten days' notice. All work must comply with E-Verify requirements, Florida Public Records Law, and state anti-discrimination provisions.
