Construction Agreement Summary
This is a Construction Agreement template between the City of Fort Myers, Florida and a contractor for design-build services related to the ROWTP Wellfield Expansion project, funded through SAHMW (State Aid for Houses of Worship or similar state funding mechanism). The project encompasses the design, permitting, and construction of potable water supply wellfield expansion, including siting and construction of potable water wells, raw water transmission mains, and fiber optic communication networks. The scope includes rehabilitation of existing water infrastructure assets, development of a resource management protocol integrating new and existing wells, and compliance with regulatory requirements from the City of Fort Myers, SFWMD (South Florida Water Management District), and FDEP (Florida Department of Environmental Protection). The design-build team must coordinate with a Construction Manager at Risk (CMAR) overseeing concurrent Reverse Osmosis Water Treatment Plant (ROWTP) improvements and shall provide a detailed project execution plan addressing schedule, budget optimization, and seasonal demands while minimizing impacts to surrounding residential neighborhoods. The contract specifies substantial completion and final completion timeframes measured in calendar days from the Notice to Proceed, with liquidated damages assessed at varying daily rates based on total contract amount, ranging from $904 per day for contracts under $299,999 to $10,224 plus 0.00005 of any amount over $40 million.
Pricing is established through a Schedule of Values submitted with the bid and remains firm for the initial contract term, with potential price adjustments limited to the Consumer Price Index or 3 percent maximum during renewal periods. The contractor shall maintain multiple insurance coverages including workers' compensation, commercial general liability at $1,000,000 minimum per occurrence, comprehensive automobile liability, professional liability, builders' risk insurance, and environmental/pollution liability insurance. Payment is issued within forty-five calendar days of receipt of a proper invoice, with progress payments made monthly during construction based on percentage of work completed and withheld at 10 percent until final completion. The contract is non-exclusive, allowing the City to procure similar services from other sources. The City reserves the right to purchase major equipment and materials directly from suppliers as a cost-saving measure through a Direct Material Purchase procedure, with the contractor responsible for managing coordination and compliance. Termination for convenience requires thirty days' written notice, while termination for cause requires ten days' notice. The contract documents establish order of precedence beginning with amendments, followed by permits, the agreement, solicitation addenda, plans/drawings, the original solicitation, contractor submittals, and certificates of insurance.
