About this file
This is a Construction Agreement template document issued by the City of Fort Myers, Florida, establishing the contractual framework for construction projects awarded through the City's procurement process. The agreement governs the relationship between the City and selected contractors for providing construction services, remediation, mitigation, restoration, and reconstruction services on an as-needed basis. The contract operates on a continuing basis for a five-year term with potential for multiple award recipients, determined by a selection committee after proposal submission. The City will issue individual task orders and purchase orders to authorize specific work, with no guaranteed minimum quantities of services or materials to be purchased. Work assignments are made through written purchase orders issued by Procurement Services, which must be received before any contractor work begins. The agreement requires contractors to maintain detailed work schedules updated monthly, commence work promptly upon issuance of a Notice to Proceed, and achieve substantial completion within specified timeframes with final completion following thereafter.
Payment terms stipulate monthly invoicing based on work completion and acceptance by the City, with payment due within forty-five calendar days of invoice receipt. The contract price remains firm during the initial term, with any renewal term price adjustments limited to the Consumer Price Index or a maximum three percent increase, whichever is lower. Contractors must obtain and maintain comprehensive insurance coverage including commercial general liability ($1,000,000 minimum), workers compensation, commercial automobile liability ($1,000,000 minimum), and cyber liability ($10,000,000 minimum) if technology services are provided, with the City named as additional insured on applicable policies. The contractor assumes sole responsibility for all permits, licenses, taxes, and compliance with federal, state, and local laws, including E-Verify requirements, non-discrimination certifications, and Florida Public Records Law obligations. Liquidated damages apply for failure to achieve substantial completion on schedule, calculated based on contract amount tiers ranging from $904 to $10,224 per day plus 0.00005 of amounts exceeding $40 million. The City retains termination rights for convenience with thirty days' notice or for cause with ten days' notice, and reserves the right to procure similar services from other sources or use City personnel for work estimated to cost less than $50,000.
