Additional Instructors: An additional instructor may be ordered to adjust for fluctuations in class size or if there is a need to increase the instructor to student ratio on a situational basis.

Travel: Awardees shall provide a travel cost estimate at the time of the Task Announcement when asked for a Request for Quote. Travel will be directly reimbursed as stated in Section 3.13.

Miscellaneous: Unforeseen cost for logistical needs as approved in advance by the Contracting Officer (CO) or Administrative Contract Officer (ACO).

2.4 FAR 52.216-18 ORDERING (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through March 31, 2022.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

2.5 PERSONNEL AUTHORIZED TO PLACE ORDERS AGAINST THIS CONTRACT

(a) Individuals authorized to place orders under the contract.

(1) Contracting Officers from the US Forest Service, Incident Support Branch with adequate Certificates of Appointments to cover the value of the order are authorized to place orders under the contract.

(2) Federal Agency Partners with adequate Certificates of Appointments to cover the value of the order are authorized to place orders under the contract. Please contact the Contract Administration Office Contacts listed on page 2 of this document for a complete listing of contractors and pricing.

(b) Orders placed under this contract shall be through a written Task Order. Oral orders are not authorized.

2.6 FAR 52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $15,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor--

(1) Any order which would result in the Contractor's having to instruct more than 2 academies of 64 students per academy simultaneously;

(2) Any order for a combination of items in excess 11 academies in one contract period; or

(3) A series of orders from the same ordering office within 7 days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (e.g.., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

2.7 FAR 52.216-22 INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period;

provided, that the Contractor shall not be required to make any deliveries under this contract after September 30, 2021.

2.8 TERMS AND REQUIREMENTS UNDER A MULTIPLE AWARD TASK ORDER CONTRACT

(a) A multiple award indefinite delivery indefinite quantity (IDIQ) contract provides for competing individual task orders among the multiple award contractors. Under multiple award contracts each awardee must be given a fair opportunity to compete for each order in excess of $2,500 unless the Contracting Officer determines that an exception to the fair opportunity process exists in accordance with FAR 16.505(b)(2). Because the contracts under this solicitation are not pre-priced, it is anticipated that task orders will be issued on a competitive basis.

(b) Holders of multiple award IDIQ contracts are expected to provide good faith proposals in response to task announcements issued during the life of the contract. If a contractor is unable to respond due to conflicting commitments or lack of capacity, the ordering official may excuse the contractor from a competition upon specific written request. However, repeated failure to provide a good faith proposal will result in the contract not being renewed and will release the government from the minimum guarantee obligation.

(c) Proposal preparation costs are at the expense of the offeror and will not be reimbursed.

2.9 FAR 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

2.10 FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years and 6 months.

2.11 FAR 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)

Funds are not presently available for performance under this contract beyond September 30, 2017. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond September 30, 2017 until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

2.12 COMPLIANCE WITH LOCAL REGULATIONS, INSTRUCTIONS, DIRECTIVES

Contractor personnel shall comply with all local regulations, instructions, directives, orders and special procedures specified at the assigned government facility.

2.13 AGAR 452.211-74 PERIOD OF PERFORMANCE (FEB 1988)

This contract is a fixed price, indefinite-delivery, indefinite-quantity contract for a basic period of performance from Date of Award through September 30, 2017, plus four (4) one-year option periods. Submission of an offer for the basic contract period constitutes an offer to perform in the Option Period(s), if exercised.

2.15 AGAR 452.216-73 MINIMUM AND MAXIMUM CONTRACT AMOUNTS (FEB 1988)

During the period specified in FAR clause 52.216-18, ORDERING, the Government shall place orders totaling a minimum of $5,000 but not in excess of $6,500,000.00.

2.16 AGAR 452.228-71 INSURANCE COVERAGE (NOV 1996)

Pursuant to FAR clause 52.228-5, Insurance-Work on a Government Installation, the Contractor will be required to present evidence to show, as a minimum, the amounts of insurance coverage indicated below:

(a) Workers Compensation and Employer's Liability. The Contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit worker's compensation to be written by private carriers.

(b) General Liability. The Contractor shall have bodily injury liability insurance coverage written on a comprehensive form of policy of at least $500,000 per occurrence

(c) Automobile Liability. The Contractor shall have automobile liability insurance written on a comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and 500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage or loss.

(d) Aircraft Public and Passenger Liability. When aircraft are used in connection with performing the contract, the Contractor shall have aircraft public and passenger liability insurance.

Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger injury. Coverage for passenger injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.

2.17 AGAR 452.246-70 INSPECTION AND ACCEPTANCE (FEB 1988)

(a) The Contracting Officer or the Contracting Officer's duly authorized representative will inspect and accept the services to be provided under this contract.

(b) Inspection and acceptance will be performed at the USFS facility located at McClellan Airfield, Sacramento, CA or alternate government location.

2.18 CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (CPARS)

(a) The US Forest Service has adopted the Contractor Performance Assessment Reporting System (CPARS) for reporting all past performance information. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.

(b) The past performance evaluation process is a totally paperless process using CPARS.

CPARS is a web-based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for Government use in evaluating past performance as part of a source selection action.

(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm’s past performance evaluation(s) for the contract no later than 30 days after establishment of the Contract. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.

(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically-generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS are available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for On-Line Training for Contractor Representatives, and a practice application may be found at this site.

(e) Within 60 days after the end of a performance period, the Contracting Officer will complete an interim or final past performance evaluation and the report will be accessible at http://www.cpars.csd.disa.mil/. Contractor Representatives may then provide comments in response to the evaluation, or return the evaluation without comment. Comments are limited to the space provided in Block 22. Your comments should focus on objective facts in the Assessing Official’s narrative and should provide your views on the causes and ramifications of the assessed performance. In addition to the ratings and supporting narratives, blocks 1 – 17 should be reviewed for accuracy, as these include key fields that will be used by the Government to identify your firm in future source selection actions. If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating “No comment” in Block 22, and then signing and dating Block 23 of the form. Without a statement in Block 22, you will be unable to sign and submit the evaluation back to the Government. If you do not sign and submit the CPAR within 60 days, it will automatically be returned to the Government and will be annotated: “The report was delivered/received by the contractor on (date). The contractor neither signed nor offered comment in response to this assessment.” Your response is due within 60 calendar days after receipt of the CPAR.

(f) The following guidelines apply concerning your use of the past performance evaluation:

(1) Protect the evaluation as “source selection information.” After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting Officer for instructions.

(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.

(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, preaward surveys, responsibility determinations, production readiness reviews, or other similar purposes.

(g) If you wish to discuss a past performance evaluation, you should request a meeting in writing to the Contracting Officer no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 60-day review period.

(h) A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.

SECTION 3

STATEMENT OF WORK & ATTACHMENTS

3.1 DESCRIPTION OF CONTRACT

The U.S. Forest Service and other Federal Partner Agencies require contractors to provide course instruction for L-380 Fireline Leadership Training in support of wildland firefighter leadership development. The U.S. Forest Service has a specific need for this training to be presented for the Wildland Firefighter Apprenticeship Program (WFAP).

L-380 training experience is intended to provide junior leaders with a set of tools and techniques to build and maintain cohesive crews or teams. This training experience should be designed to make an emotional and lasting impact. Essential guiding principles for achieving this impact include: enhancing the students' understanding of the human dimension when leading others in dynamic work environments; utilizing experiential training techniques that will engage students in ways that challenge them to perform under realistic and high-stress situations; and motivating students to examine their role as a leader and their strengths and weaknesses as a leader.

3.2 COURSE CONTENT

(a) The course shall meet the minimum curriculum requirements provided by the National Wildfire Coordinating Group (NWCG) guide/design criteria to include the following program components that can be found at following web address:

3.3 COURSE DELIVERY

The course shall be developed around a “primarily classroom-based” delivery that allows for minimal outdoor simulations and other types of field leadership assessments. 3.4 CLASS AND SESSION SIZE

(a) Academy is a series of courses of differing subject areas that is provided to a minimum of 40 and maximum of 64. It is common for two (2) academy’s to run concurrently with courses offset of each other.

(b) A session refers to a specific course delivery within an academy. L-380 is a five (5) day period of training with in the academy. There will only be one session in any given week. Each session may have up to 64 students which will require them to be subdivided into one to two classes.

(c) Class size ranges from 20-32 students per NWCG design criteria. The maximum instructional group size is 32 students. Classes having more than 32 students must be split into two or more instructional classes.

(d) Four (4) to eight (8) sessions will be held per contract period at the WFAP. Occasionally 2 sessions may be held simultaneously creating the potential of 128 students at one time. (i.e. 4 instructional groups of 32 students, 4 lead instructors & 12 instructors).

3.5 STUDENT/INSTRUCTOR RATIO

(a) In order to conduct effective exercises and simulations, cadres shall be structured to provide low student to instructor ratios (8 students per instructor or better).

(b) One certified Lead instructor must be provided for every 32 students, the maximum group size per class. Lead instructors (300-600 level courses) shall oversee presentation of the entire course and assure course objectives are met in accordance with those criteria listed in the most recent Field Manager’s Course Guide and/or Course Introduction.

(c) Minimum requirement of Instructors based on class size.

• ≤24 Students (1 lead, 2 instructors)

• 25-32 Students (1 lead, 3 instructors)

• 33-40 Students (2 leads, 3 instructors)

• 41-48 Students (2 leads, 4 instructors)

• 49-56 Students (2 leads, 5 instructors)

• 57-64 Students (2 leads, 6 instructors)

3.6 CERTIFICATION REQUIREMENTS

(a) Course Materials/Curriculum/Delivery:

(1) Offerors course materials/delivery method must currently be certified by NWCG.

(2) Due to the unique nature of the WFAP and the requirements such as the “primarily-classroom based” delivery and the instructor to student ratio requirements of this solicitation, it is reasonable to expect that offerors may need to make adjustments/ modifications to their currently approved delivery and materials. Modifications and adjustments will be allowed and accommodated for and requires approval from the NWCG prior to delivery.

(3) The NWCG guide/design criteria for L-380 for the minimum requirements for this leadership training can be located at:

(4) The contractor shall maintain NWCG certification throughout the duration of the contract. If, within the period of performance, there is question or concern pertaining to the delivery or course material, the Contracting Officer or Administrative Contracting Officer will work with NWCG to establish the appropriate corrective action.

(b) Lead Instructors & other Instructors:

(1) The combined cadre must have career backgrounds and expert level knowledge in principle-centered leadership, emergency incident operations, human factors and decision-making.

(2) All instructors must be facilitative instructor qualified, and well prepared in order to execute simulations and lead classroom activities in order to achieve the learning objectives outlined in this course design criteria. Refer to the NWCG instructor levels and requirements in the Field Managers Course found in Section 3.19 and also on pages 13 through 15 at:

(3) A minimum of 2 Lead Instructors must be certified by NWCG and the Leadership Subcommittee as an L-380 lead instructor by October 1, 2016.

(4) Contractors shall provide the contracting office an up to date list of certified instructors.
