About this file

This is an Addendum No. 2 to a financial auditing services solicitation issued by the Town of Orange Park, Florida, dated October 6, 2026. The addendum provides clarifications and answers to prospective proposers regarding the Town's request for financial auditing services for fiscal years 2025-26, 2026-27, and 2027-28. The Town requires qualified certified public accountant firms to conduct audits in accordance with Florida Statutes Section 218.39, Government Auditing Standards, GASB standards, GAAS, and applicable federal requirements. Sealed proposals are due October 12, 2026, at 2:00 PM to the Town Clerk's Office. The engagement includes preparation of all financial statements and footnotes, attendance at up to two public meetings annually, and technical advice. Preliminary audit fieldwork typically occurs in October (one to two days), with final fieldwork during the last two weeks of April, requiring one week of on-site work. The Town has workspace available to accommodate up to five people and prefers at least one week of fieldwork conducted in-office rather than remote arrangements.

Key clarifications address firm qualifications, accounting operations, and anticipated changes. The audit firm itself must have performed continuous governmental auditing services for a minimum of seven years; individual partner or manager experience does not satisfy this requirement. The Town's Finance Director is John P. Villanueva, CPA; the Accounting Coordinator is Mark Crosier with 33 years of accounting experience; and the Payroll/AP Coordinator is Cathryn Huber with over 20 years of payroll experience. All accounting is performed on one system—Tyler Incode (Version 10)—across three main locations, though fixed asset details are maintained in both the Tyler Incode fixed asset module and Excel spreadsheets. The audit firm prepares all financial statements and footnotes. Single audits were performed in five of the last seven audits; the Town has gone through a Single Audit in five of the last seven fiscal years with typically significant grant entries at year-end. The incumbent auditor, Purvis, Gray & Company, has served since the September 30, 2014 audit and is submitting a proposal. No significant auditing problems exist, and no changes are anticipated in financial accounting software. However, the Town is potentially taking on a $14 million loan for the largest construction project in the Town's history, though no debt has been issued or significant leases entered into in the current year. The addendum includes detailed adjusting journal entries for fiscal year ending September 30, 2025, covering capital asset adjustments, OPEB liabilities and expenses, pension-related entries, compensated absences, and various revenue and expense reclassifications.

ADDENDUM NO. 2

DATE: October 6, 2026

TO: ALL PROSPECTIVE PROPOSERS

SUBJECT: Financial Auditing Services

This Addendum forms a part of the solicitation documents and modifies the original bidding documents as noted below. Acknowledge receipt of this Addendum in the space provided below and return it with your proposal submission:

1. QUESTIONS AND ANSWERS / CLARIFICATIONS

Q1: What is the reason for considering a change in auditors?

A1: Florida municipalities are required to select an audit firm every three years through an RFP process. Purvis, Gray & Company is submitting a proposal.

Q2: Do you foresee the current auditing firm submitting a proposal?

A2: It is my understanding that Purvis, Gray & Company is submitting a proposal.

Q3: Is the prior auditor being considered for re-appointment, and how long were they your auditor?

A3: It is my understanding that the prior auditor, Purvis, Gray & Company, is submitting a proposal in response to the RFP. They have been the Town’s auditors since the September 30, 2014 audit.

Q4: Please provide a summary of the accounting department personnel and their relevant experience.

A4:

• Finance Director: John P. Villanueva, CPA – Has been with the Town since February

2012 and became Finance Director in October 2014.

• Accounting Coordinator: Mark Crosier – Has been an accountant for 33 years with a

BBA from the University of North Florida. He worked in the non-profit sector for 15 years and began working for the Town in November 2025.

• Payroll/AP Coordinator: Cathryn Huber – Has been a payroll specialist for over 20 years and started with the Town in 2013.

Q5: Are there any auditing problems/difficulties we need to be made aware of?

A5: There are no auditing problems to be made aware of. Single audits were performed in five of the last seven audits.

Q6: Do you have an audit committee or equivalent oversight by the Board?

A6: The Town utilizes an Audit Selection Committee to evaluate proposals and make a recommendation to the Town Council, which holds final approval.

Q7: Is all of the accounting performed in one office, on one system? If not, how many accounting systems and locations are involved?

A7: All accounting is performed in the Finance Department on one system: Tyler Incode

(Version 10). There are three main locations involved in our operations.

Q8: Is the fixed asset detail maintained in a fixed asset software system or on Excel spreadsheets?

A8: Fixed asset details are maintained in both the Tyler Incode fixed asset software module and on Excel spreadsheets.

Q9: Do you typically prepare the financial statements and footnotes, or does the audit firm prepare them?

A9: The audit firm prepares the financial statements and footnotes.

Q10: Can you provide the prior year trial balance and audit adjustments, or give an indication of the number of adjustments and a description of the entries, if any?

A10: Please refer to Attachment A, attached hereto and incorporated into this Addendum, which contains the adjusting journal entries for FYE 9/30/2025.

Q11: What is the expected timeline for audit fieldwork? Expected start and completion date?

A11: Historically, preliminary audit fieldwork (usually 1–2 days) takes place in October, with final fieldwork taking place during the last two weeks of April. The auditors typically stay on-site for one week.

Q12: What is your preference of how fieldwork is performed (remote, in person, hybrid, etc.)?

Financial Auditing Services Addendum 2

3 | P a g e

A12: Our preference is to maintain our current schedule of at least one week of fieldwork conducted in our office. We have workspace available that can accommodate up to five people.

Q13: Delivery of the proposals: Are they accepted if mailed?

A13: Proposals may be mailed as long as they arrive by the prescribed deadline.

Q14: Tab 1 – Mandatory Element states that the firm must have "performed continuous governmental auditing services in accordance with standards set by the Florida Board of

Accountancy for a minimum of seven years." If our firm itself is newly formed (less than two years old), but the Partner and Manager performing the audit have significant (more than seven years) experience auditing governmental entities, including in Florida, are we considered to have met this qualification?

A14: No. The firm itself must have performed these continuous governmental auditing services for at least seven years.

Q15: Were there any significant changes in FY26 for grant revenues/expenditures? And does the Town expect any changes in the next two years?

A15: The Town has gone through a Single Audit in five of the last seven fiscal years. There are typically a significant number of grant entries at year-end.

Q16: Did the Town have any or expect any significant change in the financial accounting software?

A16: No.

Q17: Did the Town issue any debt, or enter into any significant leases or subscription agreements in the current year or expect to over the next two years?

A17: No; however, the Town is potentially taking on a $14M loan for the largest construction project in the Town’s history.

2. ALL OTHER TERMS AND CONDITIONS REMAIN UNCHANGED.
