About this file

This document is a set of Special and Supplemental Conditions modifying the AIA A201-2017 General Conditions of the Contract for Construction for Citrus County, Florida's construction of a new Animal Shelter Facility in Lecanto, Florida (ITB 25-164). The modifications establish contract document requirements, owner and contractor obligations, payment procedures, insurance and bonding specifications, and dispute resolution processes. Key contractual provisions include a mandatory site visit requirement prior to bid submission, electronic PDF submission of owner-required copies, contractor indemnification limited to negligence or intentional wrongdoing, and written amendments for any additional work not covered in the original agreement. The document specifies that contract modifications must be in writing and signed by both parties, and that contract documents identified in the signed contract prevail in cases of inconsistency. Payment procedures are governed by the Florida Local Government Prompt Payment Act (Chapter 218, Part VII), with the contractor permitted to suspend work if payment is not received within seven days of the established payment date, with contract time and costs adjusted accordingly. Final payment is contingent upon submission of multiple documents including an affidavit of paid indebtedness, proof of current insurance, as-built documents, operation and maintenance manuals, and certifications required for site permit closeout.

Insurance and bonding requirements mandate that surety companies maintain an A.M. Best rating of A- VI or better, be authorized to transact business in Florida, and provide bonds in the form prescribed by Section 255.05 of the Florida Statutes with certified Power of Attorney documentation. The supplemental conditions eliminate several standard AIA provisions related to mediation and arbitration dispute resolution, establishing instead that the Architect's decisions are final and binding without mandatory mediation requirements. Testing, inspections, and approvals are the contractor's responsibility at the contractor's expense unless otherwise specified in the contract documents or required by building codes and applicable laws. The document removes provisions regarding owner's insurance, waiver of subrogation, and loss of use or business interruption insurance. Governing law is established as Florida state law with jurisdiction and venue in an appropriate state court in Citrus County, Florida. These supplemental conditions reflect Citrus County's specific requirements for this construction project, emphasizing payment protections, clear contractual modifications, and performance accountability.
