About this file
This document is a Sample Non-Disclosure Agreement (NDA) between Eastern Municipal Water District (EMWD) and an unnamed receiving party for Standardization and Programming Professional Services under Agreement No. XXXXX. EMWD is California's sixth-largest retail water agency serving nearly 1 million people across a 601 square mile service area in western Riverside County, providing water, wastewater, and recycled water services to multiple cities and unincorporated communities. The NDA specifically relates to a project involving the standardization and programming of Red Lion DA70A Remote Terminal Units, with the purpose of preserving the confidential and proprietary character of information shared during the service engagement.
The document outlines comprehensive confidentiality protocols, including strict limitations on information disclosure, usage restrictions, and requirements for protecting sensitive data related to EMWD's Industrial Control Systems (ICS), which encompass technologies like SCADA systems, Distributed Control Systems, Programmable Logic Controllers, and Operational Technology. The receiving party must adhere to Homeland Security Presidential Directive 7 and ensure that confidential information is only shared with employees who have a specific need to know, with potential legal remedies including injunctive relief and damages for breaches. The agreement stipulates that all confidential information remains the property of EMWD, must be returned or destroyed upon request, and can only be used in direct relation to the specified services.
