During preconstruction, the CMAR will perform investigative demolition, provide design recommendations, conduct constructability reviews, perform value engineering, and develop a Guaranteed Maximum Price (GMP) proposal. If the GMP is acceptable, County and the CMAR will negotiate a construction contract.

The preconstruction fee plus general conditions (excluding insurance) for a construction value of $120 million will be evaluated as part of the scoring criteria, with points awarded based on the lowest proposed fee using a weighted calculation where the lowest fee receives full points. Nevada State Contractor License requirements must be met, and all proposers must affirm they have not been found liable for breach of contract in the previous five years or disqualified from receiving contracts under specified Nevada Revised Statutes. Prior to award, the successful proposer must obtain a Clark County business license or register as a limited vendor business. The RFP evaluation process includes a short-list round (105 total points) assessing organizational information, personnel qualifications, CMAR project experience, implementation plans, quality assurance and safety programs, preconstruction fees, and eligibility for preferences, followed by a final round (100 points) based on presentations. All proposals are firm offers for 90 calendar days following the opening date, and proposers must familiarize themselves with the sample preconstruction and construction contracts included in the RFP documents.

GENERAL CONDITIONS

RFP NO. 607802-25

CLARK COUNTY REHABILITATION CENTER

1. TERMS

The term "COUNTY,” as used throughout this document will mean the County of Clark, Nevada. The term "BCC" as used throughout this document will mean the Board of County Commissioners which is the Governing Body of Clark County. The term "CHIEF FINANCIAL OFFICER" as used throughout this document will mean the Clark County Chief Financial Officer or her designee responsible for the Purchasing and Contracts Division. The term “CMAR” or “CONTRACTOR” as used throughout this document will mean the awarded Construction Manager at Risk. The term "PROPOSER" as used throughout this document will mean the respondents to this Request for Proposal. The term "RFP" as used throughout this document will mean Request for Proposal. The term “Bonfire System” as used throughout this document will mean the Clark County Bonfire Hub. The Bonfire System is an electronic bidding system that is used by Clark County for the submission of electronic proposals. There is no cost for any PROPOSER to use the Bonfire System, however, all PROPOSERS that choose to submit an electronic proposal must register prior to gaining access to see the details of any solicitation or to submit a proposal online. Proposals may also be submitted manually.

2. INTENT

COUNTY is soliciting proposals for proposals from firms who are qualified as a construction manager/general contractor for the performance of Construction Manager at Risk (CMAR) services for Clark County Rehabilitation Center. The intent of this formal Request for Proposal is to receive responses from qualified respondents for awards exempt from competitive solicitation under Nevada Revised Statutes (NRS) 332.115, Revised 2019.

CMAR Work, as provided by Nevada Revised Statute (NRS), consists of two phases: 1) Preconstruction Services, and 2) Construction Services. As provided by NRS, COUNTY may construct a public work by entering into separate contracts with a CMAR for Preconstruction Services and Construction Services. If COUNTY enters into a contract for Preconstruction Services, after COUNTY has finalized the design for the public work, COUNTY shall enter into negotiations with CMAR for a contract to construct the public work for COUNTY. If COUNTY and CMAR are unable to negotiate a satisfactory contract for construction, COUNTY may bid and award the construction contract as allowed by Chapter 338 of the NRS.

Proposals submitted in response to this RFP will be evaluated in accordance with the evaluation criteria set out herein.

COUNTY shall select at least two (2), but no more than five (5) of the highest scoring proposals to move to the final selection.

PROPOSERS who receive the same score at the low end of the qualified ranking will also advance to the final selection.

Upon final selection, COUNTY and the highest ranked PROPOSER shall enter into negotiations with CMAR for a contract for Preconstruction Services (Exhibit B of the RFP).

Pursuant to the final selection phase, COUNTY will submit a recommendation for award to the highest ranked PROPOSER, to the Board of County Commissioners.

The selected CMAR will be responsible for providing Construction Management Preconstruction Services (Exhibit B of the RFP) for this Project in accordance with the requirements set forth in this Request for Proposals (“RFP”). During the Preconstruction Services phase, CMAR will perform selective investigative demolition in order to make recommendations to COUNTY and its agents regarding project design, construction planning and sequencing, constructability review, value engineering, project cost, and the construction schedule. A scope of services for CMAR Contract is included in Exhibit A of the Preconstruction Services Contract.

At the time County determines that the design for this project or any portion thereof has been finalized to a level sufficient to determine the provable cost of that portion of work and provided that the other conditions set forth in the Preconstruction Services Contract have been accomplished, CMAR will prepare a Guaranteed Maximum Price (GMP) proposal. It is anticipated that this GMP will contain all costs for the work. The GMP proposal will include five distinct components. The first item is the Cost of the Work contained in the design drawings and Specifications. Second, CMAR’S General Conditions.

The third is the CMAR’S fee. The fourth is CMAR’S Contingency. The fifth is the insurance and bonds. CMAR fee and the General Conditions fee percentages are established and committed to as part of the selection phase of the CMAR procurement process. If the GMP is acceptable to COUNTY a contract for construction will be negotiated. PROPOSERS are to thoroughly familiarize themselves with the sample construction contract and the related exhibits (Exhibit B of the RFP) included herein, prior to responding to this RFP.

3. SCOPE OF SERVICES FOR PRECONSTRUCTION SERVICES

See Exhibit A of the Preconstruction Services Contract.

4. SCOPE OF SERVICES FOR CONSTRUCTION SERVICES

The “Work” is described below and in detail on Exhibit C “Conceptual Plans” of the RFP will be further developed by the Preconstruction services team and finalize prior to construction contract award for the final GMP.

6. CONTACT WITH COUNTY DURING RFP PROCESS

Communication between a PROPOSER and a member of the Board of County Commissioners (BCC) or between a PROPOSER and a non-designated COUNTY contact regarding the selection of a proponent or award of this Contract is prohibited from the time the RFP is advertised until the item is posted on an agenda for award of the Contract. Questions pertaining to this RFP shall be addressed to the designated contact(s) specified in the RFP document. Failure of a PROPOSER, or any of its representatives, to comply with this paragraph may result in their proposal being rejected.

7. METHOD OF EVALUATION AND AWARD

Solicitation and award will be in accordance with the provisions of the Nevada Revised Statutes, Chapter 338 – Public Works, Section 338.169 and its applicable subsections.

Since the service requested in this RFP is considered to be an exception from competitive solicitation, award will be in accordance with the provisions of the Nevada Revised Statutes, Chapter 332, Purchasing: Local Governments, Section

332.115. Revised 2019.

The proposals may be reviewed individually by staff members through an ad hoc committee to assist the PURCHASING DEPUTY DIRECTOR OR HIS DESIGNEE. The finalists may be requested to provide COUNTY a presentation and/or an oral interview. The ad hoc staff committee may review the RFP’s as well as any requested presentations and/or oral interviews to gather information that will assist in making the recommendation. COUNTY reserves the right to award the Contract based on objective and/or subjective evaluation criteria. This Contract will be awarded on the basis of which proposal COUNTY deems best suited to fulfill the requirements of the RFP. COUNTY also reserves the right not to make an award if it is deemed that no single proposal fully meets the requirement of this RFP.

All final contracts will be negotiated with the PROPOSER(S) selected.

Manual Proposals.

If PROPOSER chooses not to use the Bonfire System to submit their proposal electronically, PROPOSER must contact the Designated Contact listed above or the County Purchasing Front Desk (702) 455-2897 to request a manual RFP package.

All manual proposals must be submitted as follows:

The Proposal submitted should not exceed 50 pages. Other attachments may be included with no guarantee of review.

All proposals shall be on 8-1/2" x 11" paper bound with tabbed dividers labeled by section to correspond with the evaluation information requested. The ideal proposal will be 3-hole punched and bound with a binder clip. Binders or spiral binding is not preferred or required.

The PROPOSER shall submit one (1) clearly labeled original and six(6) copies of their proposal, including one (1) CD or flash drive with an electronic copy of their proposal, preferably in .pdf format. A single .pdf document of the entire proposal is preferred. The name of the PROPOSER’S firm shall be indicated on the spine and cover of each binder (if used) and CD label.

All proposals must be submitted in a sealed envelope plainly marked with the name and address of the PROPOSER and the RFP number and title. No responsibility will attach to COUNTY or any official or employee thereof, for a proposal not properly addressed and identified. Proposals are time-stamped upon receipt. Proposals time-stamped after 3:00:00 p.m.

Regardless of the method used for delivery, PROPOSER(S) shall be wholly responsible for the timely delivery of submitted proposals.

9. WITHDRAWAL OF PROPOSAL

PROPOSER(S) may withdraw a proposal submitted on the Bonfire System by logging onto the Bonfire System and retracting the proposal.

To request withdrawal of a posted, sealed proposal, which was manually delivered, prior to the scheduled proposal opening time provided the request for withdrawal is submitted to the Purchasing Analyst in writing or a proposal release form has been properly filled out and submitted to the Purchasing and Contracts Division reception desk. Proposals must be re-submitted and time-stamped in accordance with the RFP document in order to be accepted.

No proposal may be withdrawn for a period of 90 calendar days after the date of proposal opening. All proposals received are considered firm offers during this period. PROPOSER’S offer will expire after 90 calendar days.

If a PROPOSER intended for award withdraws their proposal, that PROPOSER may be deemed non-responsible if responding to future solicitations.

10. REJECTION OF PROPOSAL

COUNTY reserves the right to reject any and all proposals received by reason of this request.

11. PROPOSAL COSTS

There shall be no obligation for COUNTY to compensate PROPOSER(S) for any costs of responding to this RFP.

12. ALTERNATE PROPOSALS

Alternate proposals are defined as those that do not meet the requirements of this RFP. Alternate proposals will not be considered.

13. ADDENDA AND INTERPRETATIONS

If it becomes necessary to revise any part of the RFP, a written addendum will be issued by County. COUNTY is not bound by any oral representations, clarifications, or changes made to specifications by COUNTY’S employees, unless such clarification or change is provided to PROPOSERS in written or electronic addendum form from the Purchasing Analyst.

14. PUBLIC RECORDS

COUNTY is a public agency as defined by state law, and as such, it is subject to the Nevada Public Records Law (Chapter 239 of the Nevada Revised Statutes). Under that law, all of COUNTY'S records are public records (unless otherwise declared by law to be confidential) and are subject to inspection and copying by any person. However, in accordance with NRS 332.061(2), a proposal that requires negotiation or evaluation by COUNTY may not be disclosed until the proposal is recommended for award of a contract. PROPOSER(S) are advised that once a proposal is received by COUNTY, its

PROPOSER(S) shall not include any information in their proposal that is proprietary in nature or that they would not want to be released to the public. Proposals must contain sufficient information to be evaluated and a contract written without reference to any proprietary information.

If PROPOSER feels that they cannot submit their proposal without including proprietary information, they must adhere to the following procedure or their proposal may be deemed unresponsive and will not be recommended to the BCC for selection:

PROPOSER(S) must submit such information in a separate, sealed envelope labeled "Proprietary Information" with the RFP number. The envelope must contain a letter from PROPOSER’S legal counsel describing the documents in the envelope, representing in good faith that the information in each document meets the narrow definitions of proprietary information set forth in NRS 332.025, 332.061 and NRS Chapter 600A, and briefly stating the reasons that each document meets the said definitions. This “Proprietary Information” may not be submitted via the Bonfire System and must be delivered manually prior to the Proposal Due Date and as instructed in Section 8 Submittal Requirements, above.

Upon receipt of a proposal accompanied by such a separate, sealed envelope, COUNTY will open the envelope to determine whether the procedure described above has been followed.

Any information submitted pursuant to the above procedure will be used by COUNTY only for the purposes of evaluating proposals and conducting negotiations and might never be used at all.

If a lawsuit or other court action is initiated to obtain proprietary information, a PROPOSER(S) who submit the proprietary information according to the above procedure must have legal counsel intervene in the court action and defend the secrecy of the information. Failure to do so shall be deemed PROPOSER’S consent to the disclosure of the information by COUNTY, PROPOSER’S waiver of claims for wrongful disclosure by COUNTY, and PROPOSER’S covenant not to sue COUNTY for such a disclosure.

PROPOSER(S) also agrees to fully indemnify COUNTY if COUNTY is assessed any fine, judgment, court cost or attorney’s fees as a result of a challenge to the designation of information as proprietary.

15. PROPOSALS ARE NOT TO CONTAIN CONFIDENTIAL / PROPRIETARY INFORMATION

Proposals must contain sufficient information to be evaluated and a contract written without reference to any confidential or proprietary information. PROPOSER(S) shall not include any information in their proposal that they would not want to be released to the public. Any proposal submitted that is marked “Confidential” or “Proprietary,” or that contains materials so marked, will be returned to PROPOSER and will not be considered for award.

16. COLLUSION AND ADVANCE DISCLOSURES

Pursuant to 332.820 evidence of agreement or collusion among PROPOSER(S) and prospective PROPOSER(S) acting to illegally restrain freedom of competition by agreement to bid a fixed price, or otherwise, shall render the offers of such PROPOSER(S) void.

Advance disclosures of any information to any particular PROPOSER(S) which gives that particular PROPOSER any advantage over any other interested PROPOSER(S), in advance of the opening of proposals, whether in response to advertising or an informal request for proposals, made or permitted by a member of the governing body or an employee or representative thereof, shall operate to void all proposals received in response to that particular request for proposals.

17. COMPANIES THAT BOYCOTT ISRAEL

PROPOSER certifies that, at the time it submitted its proposal, it was not engaged in, and agrees for the duration of the Contract, not to engage in, a boycott of Israel. Boycott of Israel means, refusing to deal or conduct business with, abstaining from dealing or conducting business with, terminating business or business activities with or performing any other action that is intended to limit commercial relations with Israel; or a person or entity doing business in Israel or in territories controlled by Israel, if such an action is taken in a manner that discriminates on the basis of nationality, national origin or religion. It does not include an action which is based on a bona fide business or economic reason; is taken pursuant to a boycott against a public entity of Israel if the boycott is applied in a nondiscriminatory manner; or is taken in compliance with or adherence to calls for a boycott of Israel if that action is authorized in 50 U.S.C. § 4607 or any other federal or state law.

18. CONTRACT

A sample of COUNTY’S Preconstruction Services Contract and the Construction Services Contract are attached.

Preconstruction Services Proposal and Guaranteed Maximum Price Proposal forms are attached. Any proposed modifications to the terms and conditions of the Standard Contract are subject to review and approval by the Clark County District Attorney’s Office.

19. BUSINESS LICENSE REQUIREMENTS

CLARK COUNTY BUSINESS LICENSE / REGISTRATION

Prior to award of this RFP, other than for the supply of goods being shipped directly to a Clark County facility, the successful PROPOSER will be required to obtain a Clark County business license or register annually as a limited vendor business with the Clark County Business License Department.

A. Clark County Business License is Required if:

i. A business is physically located in unincorporated Clark County, Nevada.

ii. The work to be performed is located in unincorporated Clark County, Nevada.

B. Register as a Limited Vendor Business Registration if:

i. A business is physically located outside of unincorporated Clark County, Nevada.

ii. A business is physically located outside the state of Nevada.

The Clark County Department of Business License can answer any questions concerning determination of which requirement is applicable to your firm. 20. PRE-QUALIFICATION CRITERIA

All PROPOSERS must meet the following minimum qualifications in accordance with NRS 338.1691, in order for their proposal to be evaluated:

A. Contractor must not have been found liable for breach of contract with respect to a previous project, other than a breach for legitimate cause, during the 5 years immediately preceding the date of this advertisement. PROPOSER must upload a statement affirming or denying they meet this qualification.

B. Contractor must not have been disqualified from being awarded a contract pursuant to NRS 338.017, 338.13895,

338.1475 or 408.333. PROPOSER must upload a statement affirming or denying they meet this qualification.

C. Contractor must be licensed as a contactor pursuant to Chapter 624 of NRS. Upload all applicable Nevada State Contractor License(s). Contractor’s license limit should be sufficient to complete all construction work.

21. EVALUATION CRITERIA

Proposals should contain the following information:

A. Cover Letter

The first page of the Proposal submittal shall contain a statement that declares all information provided therein does not include any Confidential, Proprietary and/or Private information as identified in this RFP. It must also identify that the statement supersedes and nullifies any page in the Proposal that may be marked as Confidential, Proprietary, and/or Private and acknowledge that the Proposal will become Public Information upon award. Failure to provide such declaration may be deemed as grounds for the rejection of the unread proposal.

B. Organizational Information

1. Provide your organization’s name, address, internet URL (if any), telephone and fax numbers, include the name, title, direct phone number and address, and E-mail address of the individual who will serve as your organization’s primary contact. Include the name, title, direct phone number and E-mail address of the individual who will serve as your organization’s contact for the insurance requirements.

2. Provide a brief description of your organization locally, statewide and nationally (if applicable). Include the year your firm was established.

3. Indicate if your firm has an office in Clark County and the year it was established, if any.

4. Indicate if your firm is a minority-owned business, women-owned business, physically challenged business, small business, or a Nevada business enterprise.

C. Compliance with COUNTY’S Standard Contract

1. Indicate any exceptions that PROPOSER has to the attached Preconstruction Services Contract, Guaranteed Maximum Price Proposal and the Sample Construction Services Contract. PROPOSER(S) are advised that any exception that is determined to be material may be grounds for elimination in the selection process. Must upload a statement indicating any exceptions PROPOSER has to the Preconstruction Services Contract and Construction Services Contract.

D. Disclosure Of Ownership Form

This form can be found in the “Files” section of Bonfire. This form must be completed, signed and uploaded with the proposal.

E. Key Personnel List / Personnel Qualifications

1. Provide a project specific organizational chart.

2. Provide a time-scaled staffing plan indicating positions, responsibilities, and respective level of effort for all staff proposed to produce preconstruction deliverables. The staffing plan should reflect required staffing to meet preconstruction milestones.

3. Provide a single-page resume for each key personnel assigned to this project. Indicate minimum qualifications and experience for the following positions:

a. Preconstruction Manager

b. Lead Estimator

c. Estimator

d. Project Manager

e. Superintendent

f. Scheduler

4. Include the following items in each resume:

a. Title

b. Project Assignment

c. Years of experience in current position

d. Total years of construction experience

e. Years of experience with CMAR

f. Years of experience with construction firm

g. Active registered licenses, list state(s) registered in

h. Any additional pertinent qualifications, certifications, or experience

i. Describe the specific role performed on each project listed in resume, highlighting projects of similar size, or scope. Include how experienced roles participated and worked with the project team in past projects.

F. CMAR Project Experience

PROPOSER(S) shall download EXHIBIT E of the RFP; Forms E-1 and E-2, select the appropriate form for each project based on the delivery type, complete (1) form per project, and submit all in the response to the RFP.

PROPOSER(S) shall flatten each PDF form after completing, merge flattened files into a single bookmarked and searchable PDF.

1. Provide up to five (5) CMAR delivery method projects of similar project value and complexity completed by the CMAR within the last ten (10) years.

2. List each project including name, value, project description, completion date, project budget, and any other pertinent information as it would apply to this project, both public and private by the CMAR delivery method.

G. Project Implementation Plan

A copy of the PROPOSER(S) project implementation plan shall be submitted to COUNTY. Document shall contain information on each of the line items below and shall be formatted as a single, searchable and bookmarked PDF.

Points for the Project Implementation Plan shall be awarded based on completion and content.

1. Pre-Construction Services

a. Describe the project management methodologies, strategies, and systems to be used during the Preconstruction phase of this project.

b. Describe proposers' experience with MEPF design assist implementations. Elaborate on a benefit analysis for possible application on this project.

c. Describe the specific methods for cost estimating and GMP development will be utilized. Clearly describe how development and refinement of GMP’s will be presented to COUNTY during preconstruction.

H. Quality Assurance Control Program

Information shall be contained in a single document and shall be formatted as a single bookmarked and searchable

PDF.

1. Provide examples from past three (3) projects of the CMAR’s quality control program.

2. Explain how Quality Assurance coordinated with consultants sets up Quality Control for success.

I. Safety Program

Information shall be contained in a single document and shall be formatted as a single bookmarked and searchable

PDF.

1. PROPOSER shall provide their safety program and structure.

2. Summarize the firm’s safety program including Leadership, hazard controls, training/participation.

3. Identify leading indicators that drive job site decisions, lagging indicators, and a rubric for evaluating the overall effectiveness of the safety program.

J. Preconstruction Fee

Preconstruction Fee + GC (no insurance) and Fee for construction value of $120M. Total is collectively the Proposer's "Fee"

1. Applicant shall complete CMAR Preconstruction Services Fee Proposal Form (Exhibit A of the RFP) in its entirety and submit to COUNTY. COUNTY will provide directions for submittal of Proposal prior to due date. Points for CMAR Preconstruction Design Service Fee Proposal shall be awarded based on dollar value amount. In compliance with NRS 338.1693 points will be assessed using the following method:

Points for CMAR "Fee":

L= Lowest proposed fee

F=PROPOSER’S/Applicant’s proposed fee

P= Number of points available

T= Total number of points earned

Equation example: L/FxP=T

Example:

Proposal 1: $120,000 Calculating points: 120,000/120,000x20= 20 points

Proposal 2: $170,000 120,000/170,000x20= 14.12 points

Proposal 3: $225,000 120,000/225,000x20= 10.67 points

***Per NRS 338.1693 Section 6 “…in no event shall the proposed amount of compensation be less than 5 percent or more than 20 percent of the scoring for the selection of the most qualified applicant.”

K. Affidavit of Eligibility for Preference in Bidding and Certificate of Eligibility

Eligibility for preference will be established if PROPOSER submits a valid certificate of eligibility from the State Contractor’s Board; and the “Affidavit Pertaining to Preference Eligibility” form, see Attachment 1 to this RFP document, with its proposal. PROPOSERS who correctly submit for Preference will receive 5 evaluation points (5%).

The following Final Selection Criteria applies to applicants who received the highest scores and have been identified by COUNTY to advance to the final selection evaluation period.

COUNTY will notify short listed PROPOSERS of their scheduled presentation time and date within a reasonable amount of time after selections have been made. COUNTY will notify short listed PROPOSERS on what the presentation shall include and the criteria their presentations will be graded on.

CMAR shall have up to one (1) hour to present, to include 15 minutes of Q&A time. PROPOSER shall provide a digital copy, via thumb drive, of CMAR’s presentation to submit to COUNTY immediately following their scheduled presentation.
