DOE-L-2001 PROPOSAL PREPARATION INSTRUCTIONS – GENERAL (OCT 2015) (Revised)

– Amendment 0002

(a) Offeror. The term “offeror,” as used in this Section L, refers to the single entity submitting the proposal. The offeror may be a single corporation or a “contractor team arrangement” as defined in FAR

9.601, for example, a limited liability company, limited liability partnership, joint venture, or similar entity or arrangement. The offeror may be an existing or newly-formed business entity for the purposes of competing for any contract resulting from this solicitation. If the offeror is a newly formed entity, it must be legally established on or before the date for submission of proposals.

(b) Availability of the solicitation, amendments, and other documents – electronic media. In order to further the Government policy of maximizing electronic commerce and making the acquisition process optimally cost effective, electronic media will be used and will be the sole method for distributing the solicitation, amendments thereto, and other documents to the public. These documents will be posted via the FedConnect website at: https://www.fedconnect.net. This electronic medium will constitute the official distribution method for this solicitation. All amendments and any other official communications from DOE regarding this solicitation will be posted through this medium. Offerors and all other interested parties will need to maintain continual surveillance of this website to remain abreast of the latest available information (offerors and other interested parties are encouraged to utilize the website’s “Notifications” feature). No changes to this solicitation will be effective unless the changes are incorporated into the solicitation by an amendment. No other communication, whether oral or in writing, will modify or supersede the terms of the solicitation.

(c) Points of Contact

Contracting Officer: Leslie Richardson - leslie.richardson@science.doe.gov

Contract Specialist: Aaron Fehl - aaron.fehl@science.doe.gov

(d) Communications. Exchanges of information between Government and offeror(s) will be controlled by the Contracting Officer and/or Contract Specialist identified above. The subject line of any emails between the Government and Offeror shall include the solicitation number, Offeror's Name, and Source

Selection Information See FAR 2.101 and 3.104.

(e) Questions concerning the solicitation must be via email to the points of contact above no laer than

4:00 p.m. Eastern Time, 10 calendar days before the established due date of the proposals. Any questions received within 10 calendar days of the proposal due date may not be answered. Each question should clearly specify the solicitation area to which it refers. When possible, questions should be phrased to permit “Yes” or “No” responses. Offerors must check FedConnect and Beta SAM periodically to ascertain the status of answers to questions. The Government will not respond to questions submitted by telephone or in person at any time. Hard copies of questions and answers will not be published or distributed to offerors.

(f) Proposal Submission.

(1) Offeror must be registered in FedConnect at https://www.fedconnect.net.

(2) Offerors must submit proposals electronically through FedConnect by the date and time specified in

Standard Form 33, Solicitation, Offer and Award, in Section A of this solicitation and other provisions of

Section L as applicable. Proposals will only be accepted through FedConnect. It is imperative that offerors read and understand how to submit proposals using the FedConnect web portal. All proposal documents required by this solicitation must be uploaded and received in their entirety in the FedConnect

Responses web portal by the date and time specified in Standard Form 33. Failure to submit through the

FedConnect Responses web portal by the stated time and date may result in the proposal not being considered. By submitting a proposal, the offeror agrees to comply with all terms and conditions as set forth in this solicitation. DOE does not provide help desk assistance regarding FedConnect, and questions https://www.fedconnect.net/ mailto:aaron.fehl@science.doe.gov http://www.fedconnect.net/ regarding FedConnect shall be addressed directly to FedConnect in accordance with instructions found on its website.

(3) Electronic submission of a proposal via FedConnect shall be considered the offeror’s official offer and will be considered binding.

(g) Examination of data. By submission of a proposal, the offeror grants to the Contracting Officer, or an authorized representative of the Contracting Officer, the right to examine, for purposes of verifying the data submitted, those books, records, documents, and other supporting data (regardless of form) which will permit an adequate evaluation of the proposal. This right may be exercised in connection with any reviews deemed necessary by the Contracting Officer prior to award.

(h) Proposals are expected to conform to all solicitation requirements and the instructions contained in this Section L. The Government will evaluate proposals on the basis of the information provided in the proposal. The Government will not assume that an offeror possesses any capability unless set forth in the proposal. This applies even if the offeror has existing contracts with the Federal government, including the DOE. Failure to provide the requested information may make an offeror ineligible for award or adversely affect the Government's evaluation of an offeror’s proposal. In addition, a proposal may be eliminated from further consideration before the initial rating if the proposal is so grossly and obviously deficient as to be totally unacceptable on its face. For example, a proposal may be deemed unacceptable if it does not represent a reasonable initial effort to address the essential requirements of the solicitation, or if it clearly demonstrates that the offeror does not understand the requirements of the solicitation.

(i) Proposal Organization and Format. Offerors shall prepare their proposal as set forth in the Proposal

Organization Table below. The titles and contents of each volume, as defined in the table, shall be within the required page limits.

Any proposed exceptions or deviations must identify the applicable solicitation section, clause or provision number, paragraph number, and the proposal volumes to which the exception or deviation applies. In addition to identifying this complete information in Volume I, any deviations or exceptions shall be repeated in the other volumes to which the deviation or exception applies – Volumes II and III.

(ii) Any exceptions or deviations by the Offeror to the terms and conditions stated in the solicitation for the resulting contract may make the offer unacceptable for award without discussions. If an Offeror proposes exceptions or deviations to the terms and conditions of the contract, then the Government may make an award without discussions to another Offeror that did not take exception to the terms and conditions of the contract.

(9) Facility clearance verification. The offeror shall submit the Department of Defense Commercial and

(End of provision)

DOE-L-2012 PROPOSAL PREPARATION INSTRUCTIONS, VOLUME III – COST OR PRICE

PROPOSAL, CERTIFIED COST OR PRICING DATA NOT REQUIRED (OCT 2015) (Revised)

(a) General. The offeror shall prepare its price proposal in accordance with the instructions contained in this provision. The offeror’s proposal contains the offeror’s price to perform the work set forth in the

PWS, therefore, it must be current, accurate, complete and well documented. The price proposal will be evaluated to determine if the offeror’s proposed costs/prices are reasonable, realistic, and reflect a clear understanding of the solicitation requirements. Cost/price information is not to be included in other proposal volumes, unless specifically requested in the solicitation.

(b) Requirement for cost or pricing data. In accordance with FAR 15.403-1, Prohibition on Obtaining

Certified Cost or Pricing Data, and FAR 15.403-3, Requiring Data Other Than Certified Cost or Pricing

Data, certified cost or pricing data are not required of offerors responding to this solicitation. Offerors are required to submit data and information that is adequate for the Contracting Officer to evaluate the reasonableness of the price, or determining price realism, and to determine whether the offeror has a clear understanding of the solicitation requirements. If, after receipt of proposals, the Contracting Officer determines that there is insufficient information available to determine whether the cost or price is reasonable and realistic, and none of the exceptions set forth in FAR 15.403-1, Prohibition on Obtaining

Certified Cost or Pricing Data, apply, the Contracting Officer may require the offeror to submit certified cost or pricing data.

(c) Proposal accuracy. The price proposal must be mathematically correct and structured in a logical manner. Row and column totals for all schedules and exhibits must accurately foot and cross-foot. All spreadsheets and exhibits, including those submitted by team members and other subcontractors, shall be https://foci.anl.gov/ submitted in Microsoft EXCEL format with formulas intact and all cells unprotected. Totals on supporting schedules and exhibits must track to and agree with totals and amounts shown on the Summary Total by CLIN spreadsheet (Attachment L-5). The offeror shall round off all final monetary extensions to the nearest whole dollar. All labor rates shall be rounded to the nearest penny.

(d) Price reasonableness and realism. Proposals shall be sufficiently detailed in order to demonstrate their reasonableness. The burden of proof for substantiating the reasonableness and credibility of proposed prices rests with the offeror. Submission by the offeror of unrealistically low or high proposed costs or prices, initially or subsequent to proposal submission, may adversely affect the evaluation of the proposal.

(e) Contract period of performance. For pricing purposes, the offeror shall assume that contract performance will commence on the dates specified under Section F, Deliveries or Performance.

(f) Submission format. Pursuant to FAR 52.215-20 Requirements for Cost or Pricing Data and Data Other

Than Cost or Pricing Data, the offeror’s proposal must adequately address each proposed cost element and provide the level of cost detail required by the instructions set out below. For purposes of example, the cost/price proposal may be prepared using the format, instructions, and considerations of FAR 15.408, Table 15-2, Instructions for Submitting Cost/Price Proposals When Certified Cost or Pricing Data Are

Required. However, as certified cost or pricing data are not required by this solicitation, modification from that format is permitted to accommodate the offeror’s accounting and estimating systems as well as the extent of documentation that is necessary for the Contracting Officer to evaluate the reasonableness of the price, or determining cost realism.

(g) The Offeror’s Price Proposal shall comply with the requirements contained in the provision at DOE-

L-2001, Proposal Preparation Instructions – General and other applicable provisions of the solicitation, including any required format. Offeror’s Price Proposal (Volume III) shall include, at a minimum, the following information:

(1) Volume III Cover Page.

(2) Table of Contents.

(3) Required Statements.

(i) Statement that the Price proposal has been prepared in accordance with applicable FAR regulations/cost principles, the Offeror's established estimating and accounting policies, and the requirements of this solicitation. Offeror shall list each exception, if any, and provide complete rationale;

and

(ii) Statement granting the Contracting Officer, or an authorized representative the right to examine, for purposes of verifying the data submitted, those books, records, documents, and other supporting data

(regardless of form), which will permit an adequate evaluation of the price proposal. This right may be exercised in connection with any review deemed necessary by the Government prior to contract award.

This statement shall apply to any and all teaming partners/subcontractors. DOE reserves the right to request the Defense Contract Audit Agency (DCAA), or other professional audit organization such as a

Certified Public Accounting firm, to audit any information provided in this volume or additional financial information provided by the offeror.

(4) Narrative Support. The offeror, each team member, and subcontractors shall provide narrative support sufficient to explain the development of prices proposed; the rationale and basis for the data provided; and the basis for the reasonableness of the proposed prices. The narrative shall describe the offeror’s standard estimating system, the estimating methodologies used, and any conditional assumptions. Conditional assumptions must be sufficiently explained to permit evaluation of the costs/prices proposed. Offerors shall consult FAR 15.404-1, Proposal Analysis Techniques, for guidance as to the type of information and supporting data that shall be submitted by the offeror to support the reasonableness of the proposed prices.

(i) Offeror is required to address the necessity and reasonableness of all elements of cost applicable to the proposed effort, as described in the PWS, by providing supporting documentation or narrative justifying the costs/prices in accordance with the narrative and data requirements described above.

(5) Purchasing System. Provide a summary description of the purchasing system or methods (e.g., how material requirements are determined, how sources are selected, when firm quotes are obtained, what provision is made to ensure quantity and other discounts). Also, identify any deviations from the standard procedures in preparing this proposal. Indicate whether the Government has approved your system and if so, provide evidence of such approval.

(6) Agreements, Reports, and/or Approval Letters. Offerors shall provide any relevant correspondence or reports available from its cognizant DCAA/DCMA office, such as provisional indirect rate agreements, forward pricing rate agreements, prior year incurred cost audit reports, procedural type audits such as accounting system reviews, etc., in order to provide an aid in evaluation of the proposal.

(7) Pricing. Offerors shall use Attachment L-5 to prepare their pricing. Offeror can add exhibits as needed in order to comply with solicitation requirements. Offeror shall provide cost/price summaries for each contract line item number (CLIN) and/or task, delineated.

(i) If the offeror is a joint venture or teaming arrangement (including subcontractors), offeror shall clearly identify which cost/price elements pertain to which participant.

(ii) Labor categories, levels within each labor category, and number of hours for each level must be the same in the Price Proposal (Volume III) and the Technical and Management Proposal (Volume

II). Offerors shall provide a “crosswalk” showing that the two respective Volumes are in agreement

(iii) Government Baseline Estimated Costs: Offeror’s proposals must reflect the Government amounts shown below for the cost-reimbursable CLINS (X0002, X0004, X0006, X0008, X0010, X0012, X0014). For proposal preparation purposes, the Government baselined amounts include all estimated direct and indirect costs and shall not be further burdened by Offerors in their proposal.

2) Outside Connectivity: Outside Connectivity is the external voice connectivity (dial tone) for service. Outside connectivity can be part of the infrastructure or it can be site customer specific (e.g. T-1 from Oak Ridge, TN to Paducah, KY – point-to-point data circuits and Comcast ISP Services). External connectivity provided via the General Administration Services (GSA) contract is billed directly to the

DOE from GSA and will not be passed through this contract under the cost-reimbursement CLINS.

3) Materials: Consumable materials includes, but is not limited to, ethernet cable, connectors, copper/fiber/CAT 5 wiring, etc.

(iv) Indirect Rates. Offeror shall indicate how indirect rates (fringe, overhead, general and administrative) are applied to labor rates used to calculate the loaded labor rates.

Offeror may propose a general and administrative (G&A) or material/equipment handling rate that would be applied to allowable costs specified under (iii) above. If Offeror has an audited or approved indirect

G&A/handling rate, it must submit a copy of the approval letter from the Offeror’s Cognizant Federal

Agency. If the proposed indirect rate has not been audited or approved, Offeror must submit an indirect cost exhibit with Volume III, Price Proposal. The indirect cost exhibit must disclose the major pool expenses by line item name and dollar amount and explain the basis of estimate and allocation methodology for the indirect rate proposed, including the prior year’s actual expenses and budgetary forecasts covering each year of contract performance. This exhibit must be prepared for the offeror's most recently completed fiscal year, the current fiscal year, and the next two fiscal years; or, if fewer, the years covering the period of performance. A separate exhibit is required for each proposed indirect rate and cost center. Offeror must state at the bottom of each exhibit the inclusive dates of the fiscal year.

(v) Service Contract Act. The proposed contract resulting from this solicitation will be subject to the requirements of the Service Contract Act of 1965. All service employees under the contract shall be paid at least the minimum wage for their position specified in the wage determination attached to this solicitation, or a conformed minimum wage if their job does not fall under one of the defined positions.

The offeror shall indicate in its proposal, adjacent to each labor category, whether that category or position is determined to be exempt (E) or non-exempt (N) from the Service Contract Act minimum wage and fringe benefit provisions. For any positions using conformed wage and fringe benefits, the offeror must show in an attachment how the conformed wage was developed.

(8) Subcontracts. Offeror must provide a listing of anticipated subcontractors, a copy of the proposed subcontract, and describe any affiliation with the offeror. Cost/price information is required for subcontracts in the same format and level of detail as required of the offeror. Offeror is responsible for updating a prospective subcontractor’s cost or pricing data if required/requested by the Government.

Offeror is responsible for performing the appropriate cost and price analysis on any proposed subcontract(s) and include the results of such analysis (i.e., how the price was determined to be reasonable) for each proposed subcontract as part of the offeror’s price proposal. The offeror’s analysis shall include the prices actually proposed by each subcontractor and the offeror’s evaluated prices proposed for each subcontract. Offeror must explain any differences between the amount proposed by the subcontractor and the amount proposed by the offeror. If the subcontract is to be awarded based on competition or is a commercial item, the offeror shall provide in its price/cost analysis any evidence or discussion of bids received and the justification for selection; or if a commercial item, provide the basis of price (e.g., catalogues, pricing sheets, etc.). Offeror shall consult FAR 15.404-1, Proposal Analysis

Techniques, for guidance as to the supporting information required to support the fairness and reasonableness of subcontract costs or prices.

If proposed subcontractors have pricing information, which they consider to be proprietary data, separate proposals may be sent directly to the Contracting Officer.

(9) Financial condition. The offeror shall –

(1) Provide a current balance sheet, profit and loss statement for all quarters reported of the offeror’s current fiscal year, and an audited financial statement for each of the last three fiscal years;

(i) The information is required for the Offeror, all participants if the Offeror is a teaming arrangement, and for any subcontractor whose estimated cost exceeds 25 percent of the total proposed cost. If the

Offeror is a limited liability company or similar entity created for the purpose of performing this contract and lacking financial resources, the above information shall be submitted for the parent corporate entity(ies), partners, or other guarantors.

(2) State what percentage of the offeror’s estimated total business a contract awarded to the offeror as a result of this solicitation will represent during the period of performance of such contract; and

(3) Describe the impact of this contract on the offeror’s organization and any contingency, limitation, and conditions affecting the availability of financing for this contract.
