This is Amendment P00002 to a Request for Proposal (RFP) for NASA Marshall Space Flight Center's Facilities and Operations Maintenance Support Services II (FOMSS II) contract. The amendment primarily provides responses to industry questions and makes several modifications to the RFP including updates to the North Alabama Building and Construction Trades Council CBA rates, revisions to labor category descriptions, and changes to the Excel Pricing Model.

The contract is an 8(a) set-aside under NAICS 561210 with a $47M size standard, structured as a hybrid contract with firm-fixed-price Core Mission Services and IDIQ components using FFP/T&M task orders. The five-year contract has a maximum value of $110.15M and includes a phase-in period from September 16-October 31, 2025, followed by a base period and four option years through October 31, 2030. Proposals are due January 8, 2025 at 2:00 PM CT, with questions due December 12, 2024. The work involves facilities operations, maintenance, and repair services for approximately 4.4 million square feet across 344 buildings at MSFC, including rocket test stands, laboratories, warehouses, and office complexes, as well as environmental services like hazardous waste storage and disposal.

SECTION M - EVALUATION FACTORS FOR AWARD

80MSFC25R0005-P00002

80MSFC25R0005-P00002

14. DESCRIPTION OF AMENDMENT/MODIFICATION (CONTINUED):

(a) The primary purpose of this amendment is to respond to RFP questions and comments in relation to the MSFC FOMSS II solicitation Amendment P00001.

(b) Attachment A, Responses to Industry RFP Questions, provides responses to questions and comments provided by industry. Attachment B, Summary of Changes, provides a From-To Matrix of the resulting changes made between Amendment P00001 and Amendment P00002. Additionally, Attachment L-1, Excel Pricing Model, is updated and replaced in its entirety (updates are noted in Attachment B).

(c) Failure by the offeror to acknowledge receipt of this amendment either on the Standard Form 1449, Solicitation/Contract/Order for Commercial Products and Commercial Services, SF30, Amendment of Solicitation/Modification of Contract, or transmittal letter by the due date for receipt of proposals may result in a determination that the proposal is unacceptable and therefore ineligible for award.

(d) In relation to Section L, Provision MSFC 52.205-90, Designated Point of Contact, paragraph (b), the period for questions or comments relative to this acquisition has closed (i.e., questions and comments relative to this acquisition were previously due no later than 4:00 p.m., Central Time, December 12, 2024). At this time, the Government is no longer accepting additional questions or comments in relation to the solicitation.

(e) All other terms and conditions of RFP 80MSFC25R0005 remain unchanged.

ATTACHMENT A – RESPONSES TO INDUSTRY RFP QUESTIONS

Index
Industry-Provided RFP Reference/Question
Answer
1
Request for Proposal (RFP) Amendment P00001 Attachment A, "Responses to Industry RFP Questions," Question 35

The answer to question 35 states, “The Table SC-1.1 note three is revised to only require stating which PWS work category the personnel are performing work under Core Mission Services and overhead”. However, Table J-22 nor the PWS provide labor categories for necessary positions such as IDIQ Manager, Project Managers, or IDIQ Schedulers. Will the Government clarify how these IDIQ positions should be costed/presented?

IDIQ managerial and/or support positions are accounted for as overhead. Depending on the offeror's accounting system, this may be included through either Core Mission Services or IDIQ, or both.

2
Request for Proposal (RFP) Amendment P00001 Attachment A, "Responses to Industry RFP Questions," Question 49

Volume IV (c)(3) Offeror Fill-ins table identified L-4 and Section L, MSFC 52.215-90 Summary of Deviations/Exceptions as being fill-ins to submit. The answer to Question 49 is that the L-4 should be provided in the Price Volume and page L-45 was changed to remove L-4 from the fill-ins to be submitted in Volume IV. However, the revised page L-45 did not eliminate the requirement for submitting Section L fill-ins for MSFC 52.215-90 Summary of Deviations/Exceptions.

As Offerors do not return Section L as part of the proposal, will the Government please confirm if the Offerors shall return Section L with MSFC 52.215-90 filled in, or is it acceptable to provide the deviations/exception information in Section II of Volume IV where it is one of the requirements to be addressed (with any pricing related exceptions/deviations provided in the Cost/Price Volume)?

Offerors shall explain any exceptions, deviations, and conditional assumptions with respect to this solicitation as part of Volume IV - Contract, Section II, Item (7), utilizing the table provided in Section L provision MSFC 52.215-90 Summary of Deviations/Exceptions. However, exceptions, deviations, and conditional assumptions taken with respect to the Price/Cost Volume, shall be explained as part of Section 1 of Volume II - Price/Cost Volume, Paragraph (2)(i)(B).

3
Attachment J-3, Part 2, "Collective Bargaining Agreements," North Alabama Building and Construction Trades Council (NABTC) CBA and Request for Proposal (RFP) Amendment P00001 Attachment A, "Responses to Industry RFP Questions," Question 18

The answer to Question 18 states, “Offerors shall utilize the CBA hourly labor rates and applicable wage determinations provided in the solicitation per Section L provision Factor II - Price Volume Instructions (a)(6)…”.

However, as the latest applicable wage determinations are more recent (effective July 1, 2024), will the government update the RFP to reflect the most accurate CBA hourly labor rates? Otherwise will the the government accept a Request for an Equitable Adjustment (REA) for the difference in the hourly wages and fringe?

The wage determination reflected in the solicitation is current (i.e., 2015-4603 Revision 27 dated July 22, 2024). Attachment J-3, Part 2, is revised to incorporate the latest NABTC CBA, which includes an updated Schedule A effective July 1, 2024. The updated NABTC CBA was provided to the Government on January 6, 2025, and is in the process of being incorporated into the current FOMSS I contract. Offerors should adjust their proposal to account for the updated NABTC CBA, as appropriate.

4
Attachment J-22, "Government Identified Labor Category Descriptions," Table J-22: Government Identified Labor Category Descriptions and Attachment J-23, “Rates and Schedule,” Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates

In the RFP - Attachment J-23, within Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates (page J-23-1), for the Safety and Mission Assurance Manager, the Gov't included "Safety Coordinator (ERI Job Code 1254)/ 10 years" in the column labeled "ERI Mapping and/or Incumbent / Years of Experience”.

Can the Government please confirm if this role and the job duties align to a Safety Coordinator or is this role managing people? It appears this role would be better aligned Safety Manager LCAT in ERI compared to the Safety Coordinator ERI LCAT.

Confirmed. The Government has determined that the “Safety and Mission Assurance Manager” LCAT role aligns to "Coordinator" rather than "Manager." As a result, this LCAT in Table J-22 is revised to reflect "Safety and Mission Assurance Coordinator" in the title and updated language in the position description/duties.

5
Attachment J-22, Table J-22: Government Identified Labor Category Descriptions and Attachment J-23, Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates

In the RFP - Attachment J-23, within Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates (page J-23-1), for the lifting Devices Engineer NASA LCAT, the Government included "Mechanical Engineer (ERI Job No. 4055)/10 years" in the column labeled "ERI Mapping and/or Incumbent/Years of Experience". In Attachment J-22, within Table J-22 "Government Identified Labor Category Descriptions" (page J-22-4), the Government included the following Education/Experience for the Lifting Devices Engineer: "Experience: Five to eight years of related experience."

Can the Government confirm if the expected years of experience should be 5-8 years of experience or 10 years of experience. If the Government requires 10 years of experience, will the Government consider updating the experience requirements in Attachment J-22?

Confirmed. The Lifting Devices Engineer requirement should be five to eight years for related experience. For the purpose of determining benchmark rates, the ERI threshold of 10 years was determined most appropriate.

6
Attachment J-22, Table J-22: Government Identified Labor Category Descriptions and Attachment J-23, Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates

In the RFP - Attachment J-23, within Table J-23-A: Schedule A Minimally Acceptable Average Direct Labor Rates (page J-23-1), for the Data Engineer, the Gov't included "Data Engineer (ERI Job No. 7717)/ 3 years" in the column labeled "ERI Mapping and/or Incumbent / Years of Experience”. The Gov’t also included a footnote for this chart that the Minimally Acceptable Average Direct Labor rates are based on ERI Salary Survey Rate at the 25th percentile and/or blended labor rate between the incumbent and ERI. It does not appear that DL rate provided for the Data Engineer with 3 years of experience at the 25th ERI percentile aligns to the ERI data using the Data Engineer LCAT with 3 years at the 25th ERI percentile.

Can the Government please confirm that that they used the “Data Engineer” ERI LCAT, with 3 years of experience, at the 25th ERI percentile for the DL basis for this LCAT or did the Gov’t intend to include that the minimum DL basis is a blend between ERI and the Incumbent?

Confirmed.

7
Section L provision Factor II - Price Volume Instructions, paragraph (b)(2)(i)(D), Table L-2, "Escalation Rates," and Attachment L-1, "Excel Pricing Model (EPM), Tab B - Summary of Labor Build Up

In Amendment 01, the Government stated that the escalation rates within Attachment L-1, Tab B, were updated to reflect the updated escalation rates provided in Table L-2 of the Price Volume/RFP. However, there appears to be a discrepancy in the escalation rates provided Attachment L-1, Tab B compared to the escalation rates provided in the RFP, Table L-2 (page L-27). For example, the Government included 3.62% escalation for OY1 in Tab B (cell S3), which aligns to the 2025 escalation as provided in Table L-2, 3.37% escalation in Tab B (cell AG3), which aligns to 2026 escalation as provided in Table L-2, 3.09% escalation in Tab B (cell E94), which aligns to 2028 escalation in Table L-2, and 3.02% in Tab B (Cell S94), which aligns to 2029 escalation in Table L-2. Therefore, the 2027 escalation of 3.36% as provided the RFP, Table L-2, is not included for any of the Option Year escalation rates in Attachment L-1, Tab B.

•Can the Government please confirm that the OPY1 escalation provided Attachment L-1, Tab B (cell S3) should match to the 2026 escalation provided in the RFP, Table L-2 and not the 2025 escalation rate that is currently showing in Tab B (cell S3). If so, can the Government please update Tab B or allow the Offeror to update the escalation in this cell to 3.37% to ensure consistently across all bidders.
•Can the Government please confirm that the OPY2 escalation provided Attachment L-1, Tab B (cell AG3) should match to the 2027 escalation provided in the RFP, Table L-2 and not the 2026 escalation rate that is currently showing in Tab B (cell AG3). If so, can the Government please update the escalation in Tab B (cell AG3) or allow the Offeror to update the escalation in this cell to 3.36% to ensure consistently across all bidders.

Tab B of Attachment L-1 is revised to correct the escalation rates for Option Periods 1 and 2.

Section L provision Volume IV - Contract Instructions, paragraph (b) and Request for Proposal (RFP) Amendment P00001 Attachment A, "Responses to Industry RFP Questions," Questions 2, 31 and 47

The answers to Questions 2, 31 and 47 state that all pages of the Volume IV shall not contain any information other than the solicitation number and page number from the solicitation, and Questions 31 and 47 further state that this applies to all pages regardless of whether they contain proprietary data.

Will the Government please clarify if it means to exclude the directives and guidelines of FAR 52.215-1 Instructions to Offerors-Competitive Acquisition which, in paragraph (3), allows for Offerors to mark the title page and all pages that contain proprietary data with a prescribed legend?

Does the Government acknowledge, based on the type of information being requested in all Volume IV sections, that all the proposal data (including the contract value dollars in Section B) is subject to FOIA restrictions, specifically Exemption 4 (trade secrets or commercial or financial information that is confidential or privileged)?

In accordance with Section L provision 1852.215-81, Proposal Page Limitations, paragraph (b)(4), Offerors shall not include any information in the Contract volume headers or footers, except for the solicitation number and page numbers as provided in the solicitation. Volume IV - Contract is an official Government document subject to Freedom of Information Act release, reflecting any necessary redactions required to safeguard contractor proprietary information. All Offeror information submitted in response to this solicitation will be safeguarded in accordance with applicable Government regulations.

9
Section L provision Volume IV - Contract Instructions

The RFP requirement on page L-42 and 43 states the requirements to be contained in the (c)(1) transmission letter which does not include the (c)(2) Standard Form or (c)(3) A-K; nor does it include the (d) Section II requirements. The answer to Question 48 states that only the information in Volume IV (c)(1) should be submitted with the transmittal letter and that Volume IV (d) Section II should be submitted separately.

Will the Government please clarify if Volume IV should be submitted as one master all- inclusive Volume IV that includes the requirements from both Section I (transmittal letter attachment in PDF and standard form/A-K attachments in Microsoft Word) and Section II (either text within the Volume or as attachments)?

Confirmed. Offerors shall provide the Contract volume in the following order as a single combined Volume IV submission: (1) Section I Transmittal letter in accordance with paragraph (c)(1) of Section L provision Volume IV - Contract Instructions, (2) SF 1449, (3) All contract pages in sections B through K in their entirety (not just fill-in pages), and (4) All Section II information Items (d)(1) through (7), as applicable. As necessary, items may be provided in their native format (e.g., joint venture agreement).

10
Attachment L-1, “Excel Pricing Model (EPM),” Tab D – Computation Form for Labor and Non-Labor Items by PWS and PIN

In Attachment L-1, Tab D, can the Government please confirm that only the TOTAL Dollars should be rounded to the nearest dollar? For example, can the Government please confirm that only the “Total” column (Column DP) will be rounded to the nearest dollar and the dollars provided within column C – DO do not need to be rounded to the nearest dollar?

Section L provision Factor II - Price Volume Instructions, paragraph (a)(5) is revised to clarify that only the bottom line “Total” dollar amount in Tab A (i.e., Line 30, “Total Value”) is required to be rounded to the nearest dollar. Attachment L-1 is updated to automatically apply rounding on line 30 of Tab A.

11
Attachment L-1, “Excel Pricing Model (EPM),” Tab D – Computation Form for Labor and Non-Labor Items by PWS and PIN, Tab G - Materials and Equipment [now Non-Labor Items in Amendment P00002], and Tab H - Non-Labor Items [now Reserved in Amendment P00002]

The answer to Question 52 states that Attachment L-1 is replaced in its entirety. However, will the government also synchronize the Non-Labor Item Categories on Tabs D-1 through D-5 with the categories available on Tabs G and H?

Attachment L-1 lacks the ability to synchronize the Non-Labor Items categories on Tabs D-1 through D-5 with the categories available on Tabs G and H. It is the responsibility of the offeror to ensure consistency between the different tabs.

To avoid confusion on where to list applicable Non-Labor Items, Attachment L-1 is revised substantially to utilize Tab G to list all Non-Labor Items instead. Tab H is now reserved and does not contain any data at this time.

12
Section M provision Factor III Past Performance Volume Evaluation, paragraph (b)

"(b) In determining the overall relevancy of individual referenced contracts, each referenced contract will be evaluated in the order of size, content, and complexity. If a referenced contract is determined to be not relevant in either size, content, or complexity, it will be determined not relevant overall and will not be further evaluated. NASA reserves the right to evaluate past performance referenced contracts for subcontractors other than applicable subcontractors that have the potential to impact performance of the proposed contract."

Question: Is it the Government's intent to use the Price Volume's term and definition, Applicable Subcontractor, in the past performance section and state, "NASA reserves the right to evaluate past performance referenced contracts for subcontractors other than major subcontractors, to include evaluating past performance for applicable subcotractors that have the potential to impact performance on the proposed contract"?

Section M provision Factor III - Past Performance Volume Evaluation, paragraph (b), inadvertently changed the term "major" to "applicable." Amendment P00002 revises this Section M provision to reflect the term "major" consistent with Section L provision Factor III - Past Performance Volume Instructions, paragraph (b).

Minimum and Maximum Values for periods of less than six months will be prorated to reflect the reduced term, whereas the total potential value of this period will not exceed one-half of the prior option period's minimum and maximum ordering values.

(End of clause) MSFC 52.216-91 SUPPLIES AND/OR SERVICES TO BE PROVIDED AND TYPE OF CONTRACT (JUN 2017)

(a)The contractor shall provide all resources (except as may be expressly stated in the contract as furnished by the Government) necessary to perform and/or deliver the services in accordance with Attachment J-1, “Performance Work Statement.”
(b)The effort will be performed using a hybrid contract consisting of a firm-fixed-price (FFP) Core Mission Services with an indefinite-delivery, indefinite-quantity (IDIQ) component using task orders to perform:
(1)FFP work requests; or
(2)Time and Materials (T&M) work requests; or
(3)A combination of FFP and T&M work requests; or
(4)Service requests, which is IDIQ work ordered using a pre-priced catalog.
(c)This performance-based contract provides two basic methods for the acquisition of these services.
(1)The first method is Core Mission Services. Under this method, the Contractor is required to furnish all the services described in Attachment J-1, “Performance Work Statement,” identified as Core Mission Services. If the furnished or delivered quantity of any of the items identified in the table below and as identified in Attachment J-1, “Performance Work Statement,” varies more than five percent above or below for each of the following number of units, an adjustment in the contract price (upward or downward) may be made upon request of either party. The adjustment shall be based upon any increase or decrease in price due solely to the variation above 105 percent or below 95 percent of the number of units. The adjustment shall be determined using the “Performance Requirements Summary-Schedule of Values for Core Mission Services” table in Attachment J-21, “Performance Requirements Summary,” by multiplying the unit price (i.e., total per year price divided by the number of units) by the variation (i.e., the number of units above 105 percent or below 95 percent).

Note: If the Contractor furnishes unit priced items above 105 percent, the Government may require the Contractor to furnish additional quantities of such items under the IDIQ ordering clauses of the contract. Payment will be made in accordance with the IDIQ provisions of the contract, and the Contractor shall not be entitled to an adjustment under the Core Mission Services portion of the contract.

** The acronyms used in the column titled “WO Type” are defined in the column titled “PWS ITEM NUMBER (PIN),” and further explained in Attachment J-1, “Performance Work Statement,” Section 2.0, “Definitions and Acronyms.”

(i)The Government may choose to adjust the number of units for any work item identified above when exercising options. In this case, the new PIN value shall be determined by dividing the PIN value from the “Performance Requirements Summary-Schedule of Values for Core Mission Services” table in Attachment J-21, “Performance Requirements Summary,” by the number of units and multiplying the result by the adjusted number of units. The Contractor’s Core Mission Services price will be adjusted by the same amount.
(ii)If the gross square footage of building space at Marshall Space Flight Center (including US Army/Redstone Arsenal buildings on loan) subject to the Core Mission Services portion of this contract varies on an annual basis by more than three percent above or below 4,438,627 gross square feet, an adjustment in the contract price (upward or downward) may be made upon request of either party. The adjustment shall be based upon any increase or decrease in price due solely to the variation above or below three percent of the gross square footage.
(iii)For purposes of determining the applicability of this clause, there shall not be included in the count of services performed or item(s) delivered (1) any services or items which the Contractor is required to provide to remedy the consequences of any act or omission on the part of the Contractor, or its agents, employees, or subcontractors, or (2) any items or services which the Contractor performs or delivers in order to support its own operations (rather than satisfy the requirements of this contract).
