About this file

This document provides details for the Strategic Research and Analysis, Communications, and Exhibits Services (SRACES) federal contract opportunity with the National Aeronautics and Space Administration Marshall Space Flight Center. The SRACES contractor will provide comprehensive strategic research and analysis, communications, and exhibits services to implement and maintain an overarching communication strategy for NASA's strategic vision and Marshall Space Flight Center's business goals. Services include management, personnel, materials, equipment, travel, and training. The contract type will be firm-fixed-price with an indefinite-delivery/indefinite-quantity component and performance-based deductions. The acquisition is a total small business set-aside. A draft request for proposal will be released on August 14, 2019 to seek industry comments, which will be due on August 21, 2019. A virtual industry day will be held on August 19, 2019 to review the draft RFP. The anticipated release date of the final RFP is unspecified. This is a follow-on to the Strategic Analysis and Communications Support Services contract.

Question(s)/Comment(s) Response

Section L, Volume I -

Mission Suitability

Factor Instructions

In response to Q&A #19 regarding the Professional Compensation Plan released with Amendment 1 to the Solicitation (Attachment A, Clarifications to All Potential Offerors), the Government appears to imply that the Professional Compensation Plan and Table at L-24 is an Offeror-only requirement and further states: "Of note: there is no instance relative to the SRACES solicitation where any proposed subcontractor(s) should supply any information directly to the Government as part of an Offeror's proposal submission."

However, paragraph (D) on pages L-22 and L-23 specifically states, "A table shall be provided by the offeror and any subcontractor(s) (if not utilizing an overall team-based approach for a Total Compensation Plan) detailing the hourly base salary ranges, along with the hourly breakout of fringe benefits that total to the hourly fringe benefits by NASA labor category (per year) that align with benefits provided. A table format is provided below (offeror to alter and/or add additional columns as necessary). (see next page)".

The wages and hourly fringe benefits by element are proprietary information to both the Prime and the subcontractors; subcontractors do not share that type of information with such explicit specifics with their Prime. Please clarify that this information is required of the subcontractors as stated in Section L.

If this information is required of subcontractors, please provide a mechanism by which a Prime's subcontractors can submit this information directly to the Government, or provide clarification that the Prime envelope with its USB drives will be authorized to include sealed envelopes (unopened by the prime) for each of its subcontractors that contain USB drives with the subcontractor proprietary information.

In response to Amendment 001, Attachment A, Clarifications to All Potential Offerors, Index #19's note (i.e., "there is no instance relative to the SRACES solicitation where any proposed subcontractor(s) should supply any information directly to the Government as part of an Offeror's proposal submission."), the Government hereby amends this note. The Government will allow subcontractor(s) to submit proprietary information inside a sealed envelope through the Offeror, or directly to the Government, where applicable.

Accordingly, Section L, Volume I - Mission Suitability Factor Instructions, paragraph (d)(2)(ii)(D) has been amended to reflect this change.

Question(s)/Comment(s) Response

Section L, Volume I -

Mission Suitability

Factor Instructions, and Section

L, Volume II - Price Factor Instructions

In response to Q&A #19 regarding the Professional Compensation Plan released with Amendment 1 to the Solicitation (Attachment A, Clarifications to All Potential Offerors), the Government states: "Of note: there is no instance relative to the SRACES solicitation where any proposed subcontractor(s) should supply any information directly to the Government as part of an Offeror's proposal submission."

However, The Financial Capability Section requires that "Offerors and any proposed subcontractor(s) shall submit one copy of their audited financial statements and accompanying notes for the last three most recently completed fiscal years (for small businesses, Small Business Administration (SBA) submittals, as well as unaudited financial statements are acceptable)."

In our experience, all companies consider their financial statements to be highly proprietary and do not release that data to their prime contractors. Prime contractors responding to this solicitation will either need a mechanism by which their subcontractors can submit this information directly to the Government, or will need clarification that the Prime envelope with its USB drives will be authorized to include sealed envelopes (unopened by the prime) for each of its subcontractors that contain USB drives with the subcontractor proprietary financial information.

Please advise.

See initial response to Index #1.

Accordingly, Section L, Volume II - Price Factor Instructions, paragraph (d)(2) has been amended to reflect this change.

Question(s)/Comment(s) Response

Section L, Volume I -

Mission Suitability

Factor Instructions, and Section L, Volume III

- Past Performance

Factor Instructions

Several tables ask for percentages between the prime contractor (offeror) and subcontractors. For the "Sample SRACES PWS Allocation of Work by Percent (Offeror and Work Assigned to Subcontractor(s))" table on pages L-17 to L-18, does the Government want the percentages of FTE or Labor Cost? Same question for the table on Page L-32 (the other tables specify labor dollars or FTE's).

In accordance with Section L, Volume I - Mission Suitability Factor Instructions, paragraph (G), which accompanies the "Sample SRACES PWS Allocation of Work by Percent (Offeror and Work Assigned to Subcontractor(s))" table, states "Approach shall detail at least 50% of SRACES labor being performed by the offeror in accordance with FAR 52.219-14, Limitations on Subcontracting, to include the offeror performing the primary and vital aspects of this acquisition." Per FAR 52.219-14, paragraph "(c) By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract in the case of a contract for- (1) Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern." As such, percentage of labor cost is required for these identically-named tables. The titles of these tables have since been adjusted accordingly to reflect "of Labor Cost."

Section L, Volume II - Price Factor Instructions

On page L-27, paragraph (d)(2), Section 2 - Financial Capability (Narrative Part 2), -the RFP requires any proposed subcontractors to submit copies of financial statements. These are confidential records and are not generally released to other companies.

In relation to Amendment 001, Attachment A, Clarifications to All Potential Offerors, in the answer to question 19, the Government response was that "there is no instance of where any proposed subcontractor should supply any information directly to the Government as part of an Offeror's proposal submission."

Would the Government allow a "sealed" submission by the subcontractor(s) for confidential information?

See response to Index #2.

Section L, Volume II - Price Factor Instructions, and Attachment

L-1, Excel Pricing

Model (EPM)

The RFP has a listing of hours to be proposed (priced) for Indefinite-Delivery Indefinite-Quantity (IDIQ) services. Is it safe to assume that this is a budget number for the future and does not represent work being performed today.

Sample IDIQ hours referenced in Section L, Volume II

- Price Factor Instructions, paragraph (d)(3)(vi), Tab C

- Summary of Proposed Fully Burdened Labor Rates applied to IDIQ Hours, as well as the hours utilized in Section L, Attachment L-1, Excel Pricing Model (EPM), Tab C, are not budgetary numbers for the future, nor do they represent work being performed today. Per the note provided in the aforementioned paragraph (d)(3)(vi), "The Government-provided pre-populated IDIQ hours are provided only as a means of establishing a total evaluated price for evaluation purposes."

Question(s)/Comment(s) Response

Section L, Volume III -

Past Performance

Factor Instructions

The instructions state that:

Paragraph (d)(2) Content. An offeror's referenced contract's content relevancy will be determined based on an offeror's alignment of contract work performed under each referenced contract in correlation to work the offeror will perform under SRACES in relation to Performance Work Statement (PWS) Section 2.0, Contract Management and Control, through PWS Section 6.0, Exhibits Support, as delineated in Section J, Attachment J-1, Performance Work Statement (PWS).

For an offeror's referenced contract's content to be considered at least relevant, based on the second-level work breakdown structure (WBS) of the PWS, an offeror's referenced contract shall demonstrate relevant experience in either: (i) three or more PWS sections identified in Group 1, or (ii) two PWS sections identified in Group 1 and two or more PWS sections in Group 2. (see "SRACES PWS Past Performance Section-Grouping for Offerors")

For subcontractors, content relevancy will be determined based on a proposed subcontractor's alignment of contract work performed under each referenced contract in correlation to work assigned under SRACES in relation to Section J, Attachment J-1, Performance Work Statement (PWS). (see "Sample SRACES PWS Allocation of Work by Percent (Offeror and Work Assigned to Subcontractor(s))")

Please confirm that the term "offeror" refers to the prime contractor only, not the entire team (prime and subcontractors) and thus a subcontractor's referenced contract does not need to demonstrate relevancy in either: (i) three or more PWS sections identified in Group 1, or (ii) two PWS sections identified in Group 1 and two or more PWS sections in Group 2.

The Government confirms the term "offeror" refers to the prime contractor only, not the entire team (in the case of a prime contractor and its subcontractors). Of note: the term "offeror" can additionally refer to a joint venture serving as a prime contractor. That notwithstanding, in no case does the term "offeror" refer to any prime contractor's subcontractors. Accordingly, for an offeror's (i.e., prime contractor's) referenced contract(s) to be at least relevant in Content, the description of the referenced contract shall demonstrate relevant experience in either: (i) three or more PWS sections identified in Group 1, or (ii) two PWS sections identified in Group 1 and two or more PWS sections in Group 2 (in accordance with the "SRACES PWS Past Performance Section- Grouping for Offerors" table). Conversely, in order for Content to be determined at least relevant for a subcontractor's referenced contract, it must demonstrate the alternate requirements established in the remainder of this provision's paragraph (d)(2), beginning with, "For subcontractors, content relevancy will be determined based on ...".

Question(s)/Comment(s) Response

Section L, Volume III -

Past Performance

Factor Instructions

Please confirm that all proposed subcontractor team members are not required to submit a Past Performance contract citation in order to be assigned work on SRACES. Rather it is only required that a subcontractor's submitted past performance citation be aligned with the contract work they are to be assigned under SRACES (assuming that they also meet the established thresholds for percentage of PWS sections performed and total contract value).

The Government confirms there is no SRACES solicitation requirement that an offeror is required to submit any past performance referenced contracts (or subcontracts) for any proposed subcontractor(s). Paragraph (b) recommends, "at least two should be for the offeror." It is up to the offeror to determine the optimal combination of past performance referenced contracts (or subcontracts) to submit in relation to itself and/or any proposed subcontractors, limited to no more than a total of five referenced contracts and/or subcontracts. Additionally, the Government confirms there is no SRACES solicitation requirement for a referenced contract or subcontract to be submitted by the offeror prior to an offeror being able to assign work to any proposed subcontractor in relation to performing any SRACES requirements.

In order for any subcontractor's referenced contract or subcontract to be determined at least relevant by the Government, the subcontractor's referenced contract or subcontract is required to satisfy the SRACES solicitation's minimum size, content, and complexity requirements for subcontractors (which includes that a subcontractor's referenced contract shall demonstrate relevant experience in at least one or more of any second-level PWS section it is assigned to perform in order for the referenced contract or subcontract to be determined at least relevant in both Content and Complexity).

Question(s)/Comment(s) Response

Section L, Attachment

L-3, Background and Historical

Information

Amendment 001 to the SRACES procurement amended Section L, Attachment L-3, Background and Historical Information, paragraph (d) "Historical COMMS Staffing" and provided a revised table, stating the table "represents an approximate annual historical range of COMMSS staff work year equivalent (WYE) composition and years of approximate workforce seniority…".

The phrases "years of approximate workforce seniority" and "years of experience" often have different meanings. "Years of approximate workforce seniority" typically refers to the number of years that an employee has worked on the current contract and predecessor contracts, whereas "years of experience" refers to the total number of years of experience an employee has in their field of expertise.

Question/Comment:

1. Please confirm that the ranges (e.g., 0-5, 5-10) provided under "Approximate Workforce Seniority Percentage (%) column" reflect the number of years employee has worked on the current contract and all predecessor contracts, and not the years of experience an employee has in their field of expertise.

2. Please remove the word "Experience" from each of the four column headers and specifically state at the bottom of the Table, along with the other Note that the four ranges of years (0-5, 5-10, 10-15, and 15+) refer to the number of years that an employee has worked on the current contract and all predecessor contracts, and may not be reflective of the total number of years work experience that an employee has in their field of expertise.

The Government confirms the four ranges of "Approximate Workforce Seniority Percentage (%)" years (0-5, 5-10, 10-15, and 15+) refer to the number of years an employee has worked on the current contract and all predecessor MSFC/OSAC communications contracts, and may not be reflective of the total number of years of work experience that an employee has in their field of expertise. Accordingly, Section L, Attachment L-3, Background and Historical Information, paragraph (d), to include the Historical COMMSS Staffing table and note, has been amended.
