* Paragraphs (b) and (c) below are only applicable to task orders

(b) The maximum award fee amount available to the Contractor on each task order will be established in accordance with clause H.4, Task Ordering Procedure (1852.216-80).

(c) The award fee available for each evaluation period will be determined based on the task orders projected to be performed during that period. If a task order is projected to be started and completed during a particular evaluation period, then the award fee for that particular task order will be included in the award fee available for that period only. If a task order is started in a particular evaluation period and projected to extend beyond that period, then the award fee for that particular task order will be distributed by the Contracting Officer across the appropriate evaluation period(s).

[End of Section]

1. Impaired Objectivity: The Contractor will be required to use its subjective judgment and may have a financial interest in the outcome of performance. The Contractor may provide assessment/evaluation findings of itself, another business division, subsidiary of the same corporation, other entity with which it has a significant financial relationship, or another company, as well as those of its competitors. The conflict results from the potential the Contractor will be required to render impartial advice which appears to be undermined by financial or other business relationships with the entity whose work product is being assessed and/or evaluated. Specific examples under CMOE II include but are not limited to: Test data processing;

engineering assessments.

2. Biased Ground Rules: The Contractor may influence requirements definition for future competitions. The Contractor may participate in the development of requirements/specifications to be incorporated into future solicitations. The conflict results from the potential that key aspects of the procurement would favor its own capabilities and products to the unfair disadvantage of competing vendors. Specific examples under CMOE II include but are not limited to: Construction designs; test facility upgrades and modifications.

3. Unequal Access to Information: The Contractor may have access to nonpublic information and proprietary information that could provide an unfair competitive advantage in a later competition for another contract. Specific examples under CMOE II include but are not limited to: Test data; another company’s proprietary data;

sensitive Government information relating to Government requirements, budget, and mission planning and sources of such information are not limited to those specifically listed in FAR 9.5, but can include for instance, former federal employees who have been hired by an offeror or a member of its team.

4. The contractor may provide systems engineering and technical direction for systems for which the contractor does not have overall responsibility for as described in FAR 9.505-1. As such, the contractor may be in a position to favor its own products and capabilities.

5. Specific examples under CMOE II include but are not limited to: determining specifications; identifying and resolving interface problems; developing test requirements.

6. The Contractor may be engaged in work closely associated with inherently Governmental functions covered by FAR 3.1101 and circumstances may arise to favor the personal situation of an employee.

Specific examples under CMOE II include but are not limited to: Assisting in the development of specifications to be performed under separate contracts; performing test data processing of a company’s data for which employee owns stock or has a financial interest; performing engineering assessment of a company’s data for which employee’s spouse is employed.

7. There is a Facility Assurance, Inspection, Monitoring, and Occupational Safety (FAIMOS II) Contractor who is responsible for inspecting the work of the CMOE II Contractor and all of its subcontractors. As such, the CMOE II Contractor would be in a position to evaluate its own work should it compete for or serve as a subcontractor on the FAIMOS II contract (and the Inspection / oversight aspect any successor contract), thus creating a potential conflict of interest.

8. The NASA LaRC facilities were constructed as a national aeronautical research resource to be utilized by private industry, universities, DOD, NASA and other Government agencies. Consequently, tests are conducted in these facilities for aircraft and airframe manufacturers, and aerospace vehicle designers and manufacturers. The CMOE II Contractor operating and maintaining these facilities will be responsible for all major aspects of maintenance and test operation from inception through post-test documentation of test articles that are tested in the facilities and, as a result, will have access to proprietary data developed by other firms (Access by the CMOE II Contractor to Government-sensitive or third-party proprietary data creates a potential OCI.).

Furthermore, the CMOE II Contractor could schedule operations and maintenance to the detriment of competing test customers. If the Contractor or a subcontractor is involved in any design, development or production of aircraft, aerospace or other major systems of a type normally developed, tested or evaluated in LaRC facilities, other aerospace vehicle manufacturers might cease to use NASA LaRC expertise and facilities. This would be detrimental to the purpose of the LaRC facilities as a national resource.

(c) The restrictions upon future contracting are as follows:

1. If the Contractor, under the terms of this contract, or through the performance of tasks pursuant to this contract is required to develop requirements, specifications or statements or work that are to be incorporated into a solicitation the Contractor shall be ineligible to perform the work described in that solicitation as a prime or first-tier subcontractor under an ensuing NASA contract. This restriction shall remain in effect for a reasonable time, as agreed to by the Contracting Officer and the Contractor, sufficient to avoid unfair competitive advantage or potential bias (this time shall in no case be less than the initial period of performance of the ensuing contract). NASA shall not unilaterally require the Contractor to prepare such specifications or statements of work under this contract.

2. To the extent that the work under this contract requires access to proprietary, business confidential, or financial data of other companies, and as long as these data remain proprietary or confidential, the Contractor shall protect these data from unauthorized use and disclosure and agrees not to use them to complete with those other companies.

3. The Contractor shall not perform work on any contracts to supply systems or any of its major components or be a subcontractor or consultant to a supplier of the system or any of its major components for which it provided systems engineering and technical direction under this contract (Reference FAR 9.505-1).

4. The Contractor, as well as its subcontractors at all tiers, is prohibited from participating under the NASA Langley FAIMOS II contract, or any successor contract, as the prime contractor or as a subcontractor at any tier. This prohibition will be included in the FAIMOS II contract and in any successor contract.

5. The Contractor and its subcontractors at all tiers are restricted, during performance of this contract and for a period of three years after completion of this contract, from engaging (at any tier) in any design, development or production of aircraft, aerospace or other systems or major subsystems developed, tested, or evaluated in LaRC facilities.

(d) The Contractor shall include this clause in all subcontract(s) regardless of tier.

H.3. LaRC 52.227-96 ORGANIZATIONAL CONFLICTS OF INTEREST (MAY 2021)

(Applicable to all CLINs, and TOs)

(a) For purposes of this clause, the term “Contractor” shall include the prime contracting entity’s parent, subsidiaries, divisions, and all affiliated companies that are under common control with such entity. In addition, the prime Contractor shall flow down this clause to all subcontractors.

(b) Pursuant to FAR 9.504, the Contracting Officer is responsible for identifying and evaluating potential Organizational Conflicts of Interest (OCI) early in the acquisition process and either avoiding, neutralizing, or mitigating such conflicts before contract award, TDN awards, or task order awards, as appropriate.

(c) In submitting its proposal and/or during the performance of this contract, the Contractor may encounter Organizational Conflicts of Interest in accordance with FAR 9.5 and Clause H.2. The Contracting Officer has determined and identified the following potential conflicts that the Contractor may encounter during performance of this contract:

i. See Clause H.2

(d) The contractor shall provide an update within the Monthly Progress Report (reference

Exhibit B, DRD C.3) to discuss upcoming actions that might result in conflicts, in order to mitigate these conflicts as early as possible. The contractor shall prepare and provide a docket, as part of the Progress Report, consisting of:

i. All active contracts, anticipated contracts and subcontracts, work that the contractor, its parents and subsidiaries are pursuing or intend to pursue.

ii. Work in which the contractor, its parent and subsidiaries are interested.

iii. Upcoming projects for LaRC or other NASA Centers and identification of any potential conflicts.

(e) Contractor’s Response to Contract/Task Order Requests: Within two (2) business days of receipt of a Contract Task Order request causing a conflict to arise, the Contractor shall notify the Contracting Officer and provide a report of a potential conflict detailing:

1.The nature of the conflict;

2.Plan for avoiding, neutralizing or mitigating the conflict; and 3.The benefits and risks associated with acceptance of the plan.

(f) Government Response to a Report of a Potential Conflict: The Contracting Officer will review the report and determine which of the following approaches is in the best interest of the Government and shall so advise the Contractor:

1.The Contractor shall perform consistent with the Contract/Task Order and the contractor’s plan to avoid, mitigate, or neutralize the conflict;

2.The Contractor shall not perform the Contract/Task Order; or 3.The Government will modify the Contract/Task Order to remove the identified conflict.

(g) Additional requirements: Any limitations on future contracting resulting from the Contractor’s or its Subcontractor’s performance of the contract requirements are identified in Section H.2, NFS 1852.209-71, Limitation of Future Contracting.

H.4. TASK ORDERING PROCEDURE (1852.216-80) (OCT 1996) – CLINS 401, 402,

403, 501, 502, and 503

(a) A task order may be issued as needed for any work covered by Exhibit A, Statement of Work (SOW). Task orders may be issued as Firm-Fixed-Price (FFP), Cost-Plus-Award- Fee (CPAF), or Cost-Plus-Fixed-Fee (CPFF). The Government will use the Government Purchase Card (P-Card) to the maximum extent practical on all FFP orders below the micro-purchase threshold (reference clause G.9, Orders Using Government Purchase Card (P-Card) (LaRC 52.213-90)). The Contractor shall not process any requests for CPAF or CPFF task orders without prior written approval by the Contracting Officer.

(b) All aspects of the task order process (e.g., initiated, awarded, administered, and closed-out) shall be managed in the Electronic Contract Management System (ECMS) (reference SOW Section 0.5). The Government reserves the right to issue task orders outside of the ECMS.

(c) Only the Contracting Officer or P-Card holder for work under the micro-purchase threshold, may issue task orders to the Contractor, providing specific authorization or direction to perform work within the scope of the contract and as specified in the schedule. The Contractor may incur costs under this contract in performance of task orders and task order modifications issued in accordance with this clause. No other costs are authorized unless otherwise specified in the contract or expressly authorized by the Contracting Officer.

(d) All task order efforts shall be completed in accordance with the contract requirements, in addition to the requirements as stated within the task order.

(e) Prior to issuing a task order, the requestor will provide the Contractor…
