DESCRIPTION OF WORK

The Contractor shall provide all required services (except as may be expressly stated in this contract as furnished by the Government) necessary to successfully manage, deliver and/or perform, operate, maintain and provide all requirements in accordance with the Statement of Work (SOW) in Section C, as well as all Data Requirement Description (DRDs) provided in Section J, and all other requirements as specified throughout the contract.

In addition, the Contractor shall provide all resources and services (except as may be expressly stated in this contract as furnished by the Government) necessary to successfully perform all phase-in activities, in accordance with the Contract Phase-in Plan, Attachment J-10.

This contract contains Cost Reimbursable (CR) and Firm-Fixed-Price (FFP) requirements to be issued as indefinite delivery/indefinite quantity (IDIQ) task orders. The Government may issue task orders as either Cost-Plus-Award-Fee (CPAF), or Cost-Plus-Fixed-Fee (CPFF) as applicable, or FFP as it deems appropriate throughout the life of the contract and in accordance with Clause F.7 Task Order Type.

CONTRACT VALUE

The contract value will be periodically and unilaterally updated as IDIQ task orders are issued/amended. During the intervals between periodic updates of this clause, there may be some discrepancy with the total amount for the IDIQ task orders issued/amended and values shown in this clause. Actual total contract value is the sum of phase-in price plus the total value of all task orders issued/amended (FFP and Cost Reimbursable).

(b) The Contractor agrees to perform or have performed work under this contract up to the point at which, if this contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause would, in the exercise of reasonable judgment by the Contractor, approximate the total amount of the time allotted to the contract. The Contractor is not obligated to continue performance of the work beyond that point. The Government is not obligated in any event to pay or reimburse the Contractor for more than the amount from time to time allotted to the contract, anything to the contrary in the Termination for Convenience of the Government clause notwithstanding.

(c)

(1) It is contemplated that funds presently allotted to this contract will cover the work to be performed until NFI.

(2) If funds allotted are considered by the Contractor to be inadequate to cover the work to be performed until that date, or an agreed date substituted for it, the Contractor shall notify the Contracting Officer in writing when within the next 60 days the work will reach a point at which, if the contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause will approximate 75 percent of the total amount then allotted to the contract.

(i) The notice shall state the estimate when the point referred to in paragraph (c)(2) of this clause will be reached and the estimated amount of additional funds required to continue performance to the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it.

(ii) The Contractor shall, 60 days in advance of the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, advise the Contracting Officer in writing as to the estimated amount of additional funds required for the timely performance of the contract for a further period as may be specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (c)(3)(ii) of this clause, additional funds are not allotted by the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, the Contracting Officer shall, upon the Contractor’s written request, terminate this contract on that date or on the date set forth in the request, whichever is later, pursuant to the Termination for Convenience of the Government clause.

(d) When additional funds are allotted from time to time for continued performance of the work under this contract, the parties shall agree on the applicable period of contract performance to be covered by these funds. The provisions of paragraphs (b) and (c) of this clause shall apply to these additional allotted funds and the substituted date pertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government’s failure to allot additional funds in amounts sufficient for the timely performance of this contract, the Contractor incurs additional costs or is delayed in the performance of the work under this contract, and if additional funds are allotted, an equitable adjustment shall be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the items to be delivered, or in the time of delivery, or both.

(f) The Government may at any time before termination, and, with the consent of the Contractor, after notice of termination, allot additional funds for this contract.

(g) The provisions of this clause with respect to termination shall in no way be deemed to limit the rights of the Government under the Default clause of this contract. The provisions of this Limitation of Funds clause are limited to the work on and allotment of funds for the items set forth in paragraph (a) of this clause. This clause shall become inoperative upon the allotment of funds for the total price of said work except for rights and obligations then existing under this clause.

(h) Nothing in this clause shall affect the right of the Government to terminate this contract pursuant to the Termination for Convenience of the Government clause of this contract.

(a) For purposes of payment of cost, exclusive of fee, in accordance with the Limitation of Funds clause, the total amount allotted by the Government to this contract is the amount shown in Table B.6.1 row 4. This allotment is for JSC Engineering, Technology and Science (JETS) II efforts and covers the following estimated period of performance: NFI through NFI.

IDIQ MINIMUM AND MAXIMUM ORDERING LIMITS (JSC 52.216-90) (NOV 2018)

In accordance with FAR 52.216-22, Indefinite Quantity, the contract guaranteed minimum amount* to be ordered under this contract is $20,000,000 and the contract Not to Exceed (NTE) amount* which may be ordered under this contract is $1,803,000,000. The Government is not obligated to order more than the minimum specified, but may order up to the NTE amount. The Contractor is obligated to fulfill orders issued, up to the NTE amount within the limits specified in FAR 52.216-19 Order Limitations.

SPECIAL PROVISIONS REGARDING CONTRACT ADJUSTMENTS (FFP Only)

(a) Revisions to milestones, missions, schedules, manifests and/or processing requirements may be made by the Government, and shall be deemed within the scope of this contract. The Government will consider a proposed equitable adjustment (increase or decrease) to the contract value (per task order), when the estimated cost (exclusive of fee) of any single event exceeds 5% of contract value (per task order) or, when the aggregate amount of all events estimated to have a cost impact of 5% or less (exclusive of fee) of contract value reaches 20% of contract value (per task order) for the contract year unless the contractor’s actions are a significant contributing factor causing a cost increase.

(b) The Government will consider an adjustment to the contract, for estimated cost/price only (no fee) for those events equal to or less than the above thresholds.

FULLY BURDENED RATE TABLE FOR PRICING TASK ORDERS

This clause sets forth the standard labor and overtime rates to be utilized in the subsequent negotiation of Cost-Reimbursable (CR) and FFP IDIQ Task Orders in accordance with clause I.17 Task Ordering Procedure (NFS 1852.216-80) and clause. The bottom of the table allows indirect rates to be applied to any non-labor resources other than those listed in clause H.17 Contractor Purchasing, as required by task order, if applicable.

Rates used for pricing of CR/FFP IDIQ task orders shall not exceed the negotiated labor, indirect, and fee/profit rates established in the Fully Burdened Rate Table shown below.

The labor rates are fully burdened composite team rates (prime and subcontractors) but exclude fee/profit. The Not-to Exceed (NTE) fee/profit rate is the maximum rate which may be proposed or negotiated for individual CR/FFP Task Orders during contract performance. Fee/Profit rates provided below shall be in accordance with clause I.17, Task Ordering Procedures (NFS 1852.216-80), fee/profit guidelines.

The parties agree that the fully burdened labor rates established below shall not be subject to any equitable adjustment (upwards or downwards), regardless of actual rates incurred during contract performance, except for Collective Bargaining Agreement, Service Contract Labor Standards (FFP Only).

Section C – STATEMENT OF WORK Statement of Work (SOW) Structure

The Statement of Work includes a Management and Administrative Requirements section, (Section 1.0), which includes activities that are fairly constant, predictable, and provide the framework under which the ordered work may occur; and an Ordered Products section (Section 2.0) that provides for the ordering and delivery of products and services. Task orders (TOs) under Section 2.0 can be either completion form or term form. Multiple task orders will be in effect during the performance period of the contract. Technical and performance requirements will be specified in the task orders.

The structure of the SOW should not be construed as defining a required organizational configuration. The types of work and services described herein may more aptly be distributed over multiple organizations whose purpose is to provide the products and services required by the Engineering Directorate and the Exploration Integration and Science Directorate (EISD) and their customers as well as other NASA and government customers.

1.0 Management and Administration Requirements

1.1 Management

1.1.1 Contract Management

The contractor shall develop and implement management functions to ensure that all work activities are accomplished in accordance with contract provisions. The contractor shall provide and maintain management systems for the planning, organization, control, and reporting of all activities required by this contract. These systems shall assure accomplishment of technical and schedule requirements and cost objectives. The contractor shall document these management functions and systems in the Contract Management Plan, in accordance with Data Requirement Description (DRD) MGMT-01 Contract Management Plan which defines and integrates all work activities and requirements across the contract, including subcontractor effort. The contractor’s management approach shall fully integrate all related plans and activities, including those of subcontractors and major vendors.

The contractor shall provide a representative to and participate in Engineering Directorate management meetings (for example, EA Staff, Engineering Leadership Council). The contractor shall provide channels for communication to each Division and Office utilizing the contract.

The Contract Work Breakdown Structure (WBS) for SOW Section 1 shall be the structure of this SOW; the WBS for SOW Section 2 shall be the structure of the active Task Orders. The contractor shall use the Contract WBS as the framework for contract planning, budgeting, cost reporting, and schedule status reporting to the Government.

The contractor shall provide reporting in accordance with DRD MGMT-03, Contract Management Report and Contract Management Summary Review. The contractor shall conduct monthly Contract Business Reviews (CBR) with NASA management to status the contractor’s financial and technical activities under the contract per DRD MGMT-03. Once per quarter, the CBR will be replaced with a Contract Management Summary Review (CMSR) per DRD MGMT-03.

The contractor shall provide oversight and integration to maximize efficiency and accommodate downtime and fluctuations in customer demand for facilities where the contractor is the laboratory or facility manager.

The Contractor shall develop and implement a plan to continuously identify and propose initiatives to infuse advanced technology, innovations, and industry best practices (Technology, Innovations, and Process Improvement (TIPI) plan). This TIPI plan shall promote improvements in quality, capability, and overall efficiency within all areas of responsibility defined in this SOW per DRD MGMT-11, Technology, Innovations, and Process Improvement (TIPI) Plan. The initiatives accepted by NASA will be implemented through TOs under Section 2 as required.

The contractor shall develop and implement a plan to promote partnerships with the aerospace industry and promote the sharing and incubation of aerospace technologies within all areas of responsibility defined in this SOW per DRD MGMT-6, Partnership and Technology Incubation Plan.

The Contractor shall develop and implement an External Customer Plan in accordance with DRD MGMT-10, External Customer Plan, and clause H.20, EXTERNAL CUSTOMER EFFORT, to recruit and secure external customers. The intent of the plan is to allow the contractor to market and use the excess capacity of the Engineering and Exploration Integration and Science Directorate unique facilities (and other facilities as directed), for the purpose offsetting the government’s cost of maintaining and improving technical capabilities without compromising safety, process integrity or infrastructure resources.

The contractor shall develop and implement an Organizational Conflict of Interest (OCI) Mitigation Plan in accordance with DRD MGMT-12, Organizational Conflicts of Interest Mitigation Plan.

1.1.2 Financial Management

The contractor shall provide financial reporting by cost element and include subcontractor financial data. The contractor shall provide financial and supplemental reporting in accordance with the DRD BP-01, NF533 Cost and Data Reporting.

The contractor shall allocate all SOW Section 1 costs to the TOs issued under Section 2 on a pro rata basis based on direct labor hours for the prime contractor and teammates. A SOW 1 allocation rate to be used for TO proposal development will be negotiated prior to each fiscal year. The contractor shall provide a SOW 1 rate proposal per DRD BP-08, SOW 1 Cost Proposal.

1.1.3 Property Management

The contractor shall provide, and implement, a Government Property Management Plan in accordance with DRD BP-09, Government Property Management Plan. The contractor shall provide Logistics Reporting in compliance with DRD BP-07, Reports Required for Logistics. The contractor shall provide Financial Reporting of Contractor-Held Property in accordance with DRD BP-04. Initial Property accountability to be transferred to the Contractor is given in Appendix J-4 Government Furnished Property (off-site).

The contractor shall furnish and maintain all vehicles necessary to perform work required under this contract. Interagency Fleet Vehicles (GSA vehicles) may be available in accordance with FAR 52.251-2, Interagency Fleet Management System Vehicles and Related Services.

1.1.4 Data Management

The contractor shall develop and implement a Data and Records Management Plan in accordance with DRD BP-02, Data and Records Management Plan. This plan shall describe the management, preparation, control, and dissemination of data required under this contract. This plan shall define an integrated approach for data management including management of documentation. The data management plan shall include provisions for electronic on-line access to contractor management systems including, access and interface requirements. The contractor shall provide the Government with required training to access and use these systems.

The contractor shall maintain, operate, and secure data and software systems which provide for the management, collection, preparation, publication, control and dissemination of information and technical data required by this contract. Proprietary or non-standard applications, protocols, or Information Technology (IT) systems shall not be utilized without prior NASA contractual authorization. The contractor shall provide an acceptable high speed data connection from the contractor’s off-site facility to the JSC Trusted Internet Connections (TIC) access point.

The contractor shall develop and implement uniform IT management and operational approaches for all IT associated with this contract. The contractor shall develop and implement an IT capital planning and investment control process in accordance with DRD IT-01, Information Technology Capital Planning and Investment Control (CPIC) Document and an IT Security Plan in accordance with DRD IT-02, Information Technology (IT) Security Plan and Reports.

The contractor shall provide a single point of contact for all IT matters capable of resolving contract-wide issues. The contractor shall not acquire any IT hardware or software or any cloud services without the additional coordination and approval of the EA IT Assets Group Lead (or designee).

1.1.5 Procurement

The contractor shall procure supplies, services and materials required in the performance of the SOW. Purchases under this contract may include a wide range of components, assemblies and commercial items. Purchases authorized by Task Order (Section 2) should be charged to that Task Order.

For all flight materials and products and as directed by task order, the contractor shall maintain identification data throughout the life of this contract including: material/product receipt, all stages of production, delivery, and installation.

The contractor shall perform off-site shipping and receiving functions for the JETS II including receiving and stocking of materials, mechanical and electronic parts, and inspection and receiving of finished products.

1.2 Institutional Compliance

1.2.1 Safety and Health

The contractor shall perform tasks to ensure the protection of personnel, property, equipment, and the environment in contractor products and activities generated in support of institutional and spaceflight program objectives. To ensure compliance with pertinent NASA policies, requirements, federal, state, and local regulations for safety, health, environmental protection, and fire protection, the contractor will develop and implement a safety and health program per a NASA-approved safety and health plan in accordance with DRD SMA-03, Safety and Health Plan. The “JSC Safety and Health Requirements” provides detailed requirements and instructions regarding safety and health procedures and policies at JSC and is incorporated by reference into all JSC contracts when performance is on site at a JSC facility. It can be viewed at http://jscHandbook.jsc.nasa.gov.

1.2.2 Environmental

The contractor shall conduct all on-site work in compliance with JSC's Environmental Management System (EMS) in accordance with JPR 8550.1, Johnson Space Center Environmental Compliance Procedural Requirements. The contractor shall provide Environmental Compliance reporting in accordance with DRD BP-05, Environmental Compliance Reports.

1.2.3 Quality Management

JSC has SAE AS9100 registration and intends to maintain it. The performance of Quality Assurance functions, responsibilities, and tasks, in accordance with the JSC Quality Management System (QMS), will be performed onsite at JSC by the JSC Safety and Mission Assurance Directorate’s Quality and Flight Equipment Division and its support contractor. The JETS II contractor shall perform all other work on-site in accordance with the JSC Quality Management System and shall ensure work involving this contract performed off-site is in accordance with SAE AS9100. The Contractor shall develop and implement a Quality Plan in accordance with DRD SMA-01, Quality Plan, for work conducted off-site. Should it be determined to be in the best interest of the Government for the JETS II Contractor to perform onsite quality assurance functions, responsibilities, and tasks they will be specified by Task Order.

The Contractor shall register with and be a participative member of the Government-Industry Data Exchange Program (GIDEP). The Contractor shall respond to all GIDEP notifications and NASA Advisories issued from the NASA Advisory Notice and Alerts Distribution and Response Tracking System in accordance with DRD SMA-07, Government-Industry Data Exchange Program (GIDEP) and NASA Advisory Problem Data Sharing and Utilization Program Documentation and Reporting.

The contractor shall report and resolve problems involving spaceflight equipment, spaceflight-like equipment and critical Ground Support Equipment in accordance with DRD SMA-06 Problem Reporting and Corrective Action (PRACA) for the JSC Government Furnished Equipment (GFE) and Flight Products.

The contractor shall comply with the requirements in Attachment J-24, Quality Requirements.

1.2.4 Configuration Management

The contractor shall develop and implement a Flight Products Configuration Management (CM) Plan in accordance with DRD BP-03 Flights Products Configuration Management Plan. The plan shall define processes for CM of hardware, software and firmware, engineering drawings, hardware parts lists, as-designed vs. as-built vs. as-qualified hardware, configuration accounting, and maintenance. The plan shall define processes for documentation and tracking of shelf life, operational life, and time cycle life, for life limited components and assemblies. The contractor shall prepare and coordinate appropriate configuration control board directives, waivers, deviations, exceptions, and maintain accurate, complete, and current CM data.

The following requirements are applicable:

A. Hardware and software shall be designated per the definitions provided in JSC-08080-2, Std. G-14, Classification of Flight and Non-Flight Equipment.

B. Class I, Class IE, Class II and Ground Support Equipment (GSE) design shall be documented in released drawings or electronic files in the JSC Engineering Design Information Infrastructure.

C. The drawing release/review process shall comply with JPR 8500.4, Engineering Drawing Systems Manual .

D. Class I, Class IE, Class II and GSE hardware and software as built configuration shall match a released configuration.

E. The CM plan shall address all of the requirements in JPD 7123.1, JSC Configuration Management Policy.

1.2.5 Export Control

The contractor shall develop and implement an Export Control Plan (ECP) in accordance with DRD MGMT-04, Export Control Plan.

2.0 Ordered Products

2.1 Product Safety and Mission Assurance

The contractor shall perform tasks associated with product design, development, test, and operations including: hazard analyses, risk assessments, system safety planning, reliability and maintainability predictions, Failure Modes and Effects Analysis (FMEA), and development of Critical Item Lists (CIL), life-cycle (wear-out) estimates for maintainable items, Limited Life Items identification, and qualitative maintainability assessment.

The contractor shall provide documentation including: hazard analysis reports, risk assessment reports, FMEA worksheets, Critical Items Lists, limited life item lists, certification data packages, and acceptance data packages. The contractor shall comply with the appropriate DRD based upon the Program/Project supported.

2.2 Hardware and Software

2.2.1 Hardware and Software Products

The contractor shall provide deliverable end items that include, but are not limited to: hardware and software, support equipment, prototypes, electronic and computer and camera systems, mockups, test articles, training hardware, laboratory test equipment, and research instruments. The Government may require support for Government developed flight hardware, or may ask for turnkey delivery of flight equipment, or anything in between. The requirements will be specified in a TO.

The contractor shall perform tasks associated with product development including: design, fabrication, test, maintenance, repair, hardware and software integration, pre and post use processing, procedure development, and procedures for operational use for system and subsystem components for NASA program products.

The types of activities requested may include, but are not limited to:

· Advanced Studies

· Analysis and Trade Studies

· Concept Definition

· Systems Engineering and Integration

· Mission Architecture Definition, Design, and Planning

· Engineering Design and Development

· Manufacturing, Testing, Verification, and Certification

· Sustaining Engineering Activities [Hardware Resupply, Refurbishment, Mission Hardware Support Activities, Failure Analysis, Repair, Operating Procedures]

· Flight Hardware Requirements Survey, Assessment, and Consolidation

· Engineering, Quality, and Safety Analyses

The contractor shall provide documentation including: engineering drawings, analysis reports, technical specifications and reports, test procedures and reports, and operations manuals as appropriate for hardware or software type.

Types of Data and Design Documentation required may include but are not limited to:

· Design Review Documentation

· Safety Review Documentation

· Test, Verification, and Certification Data

· Management Documentation

· Analysis Data Products

2.2.2 Flight Hardware and Software Certification

The contractor shall certify flight hardware and software in accordance with the applicable DRDs (e.g. RV-03, Project Technical Requirements Specification (PTRS), RV-04, Project Requirements and Verification Document (PRVD), RV-05, Certification and Acceptance Requirements Document (CARD)). The contractor shall perform tasks including: analyses, certification test plan development, certification, verification, and acceptance testing of hardware and software components, subsystems and systems.

The contractor shall follow the software engineering development and maintenance processes and practices required for compliance with NASA software engineering standards (e.g. NPR 7150.2, NASA Software Engineering Requirements), and Capability Maturity Model Integrated (CMMI) standards when the contractor is supporting the development of Class A software. This includes providing support for CMMI appraisals and audits. If the contractor is not CMMI maturity level 3 certified, development of Class A software shall be performed in accordance with the standards of JSC Spacecraft Software Engineering Team (SSET) and advised by the SSET Manager.

2.2.3 Hardware and Software Testing

The contractor shall perform or support testing, including the development and execution of plans and procedures, and the generation and analysis of data along with reports which document the performance of the product under test.

Testing is used in all phases of product development, i.e. design, development, evaluation, certification/qualification, and life determination. Testing is applied to materials, components, sub-assemblies, and complete assemblies. Testing often involves the modification of test systems and parameters to produce the environment required by the requester to meet particular objectives and margin demonstrations. Validation of test system readiness, including pre-test reviews is often required.

2.2.4 Training

The contractor shall develop and maintain training capabilities, materials, and systems and provide training to users, including astronauts.
