This is Amendment 2 to the Mission Enabling Services Contract (MESC), which is to provide NASA responses to Offeror’s questions and to incorporate changes identified on the following pages. The due date for receipt of proposals remains unchanged. The following documents are issued as part of this amendment: (1) a revision of MESC RFP 80JSC021R0009 in which incorporates the changes from Amendment 2, (2) MESC Model Contract A-K Word Version, (3) MESC 80JSC021R0009 Change Pages (see below), (4) a revision of Attachment L-03 Baseline EPM Template in which incorporates the changes from Amendment 2, and (5) a revision of Attachment L-04 IDIQ EPM Template in which incorporates the changes from Amendment 2.

1. Section C, SOW Section 3.3.2 Advanced Research and Development Technology
Support is updated to provide clarification of network modeling and development and evaluation of crew display concepts.
2. Clause H.5, NFS 1852.235-71 Key Personnel and Facilities (MAR 1989), is revised to remove List of Key Facilities and OFI.
3. Clause I.1, Listing of Clauses Incorporated by Reference, I. Federal Acquisition Regulation (48 CFR Chapter 1), is revised to remove clause FAR 52.222-41, Service Contract Labor Standards.
4. Provision L.20.2.2, Table L-2, Overview of Proposal Volumes, Page Limitation, Copies and Formats, is revised with the following revisions:
a. Removed “PP Introductory Material” from Baseline A, Baseline B, and IDIQ, in the Past Performance Volume II section of the table.
b. Adding a line to the table stating that the Standard Form 33 (SF-33) for the Model Contract, Volume V, should be in Adobe PDF format for Baseline A, Baseline B, and IDIQ.
5. Provision L.20.4, Technical Acceptability Factor-Volume I, is revised to remove (b)(ii)(2)(c), Reserved.
6. Provision L.20.5, Past Performance-Volume II, is revised with the following revisions:
a. Removed reference of “the proposed program manager” from (g).
b. Removed (i) which references introductory material in accordance with JSC
Procurement Instruction update.
c. Added per area of work to (a) Environmental Data and (b) Safety and Health Data
(4).
7. Provision L.20.6, Cost and Price Factor-Volume III, is revised with the following revisions:
a. (b)(6) is revised to update holidays and holiday hours from 11 holidays (88 hours) to 10 holidays (80 hours).
b. (c)(1) is revised to correct the following from “Attachment L-04, IDIQ EPM Template” to “Attachment L-03, Baseline EPM Template.”
8. Table L-20.6-1 has been revised to correct the Total Hours for CY 1, CY 2, CY 3, CY 4, and CY5 from 94,860 to 91,140 and Total CY1-5 from 474,300 to 455,700.
9. The “CompanyXYZ_III_IDIQ.xls” Workbook Tab Table in Provision L.20.6(d)(1) is revised to add a line for OHT, Overhead Template, and GAT, G&A Template.
10. Provision L.20.7, Responsibility Consideration (J), Abbreviated Total Compensation Plan (TCP) is deleted in its entirety and replaced with “In addition to the information provided in the Abbreviated Total Compensation Plan, the Offeror shall affirmatively state in Volume IV that, if awarded the contract, it will satisfy the minimum wages and benefits required to comply with Department of Labor requirements notwithstanding information, if any, contained within its proposal that may be inconsistent with what is required to comply with law.”
11. Provision M.6, Responsibility Considerations (Volume IV), (G) Cost Accounting Standards is revised to removed “[Applicable to Baseline A and Baseline B]” and add “[Not Applicable to Small Business].”
12. Provision M.6, Responsibility Considerations (Volume IV), (I) Abbreviated Total Compensation Plan is deleted in its entirety and replaced with “The abbreviated total compensation plan will be evaluated to confirm the proposed compensation is legally compliant for non-exempt employees. As part of this evaluation, the Government will confirm the offeror affirmatively stated it will satisfy the minimum wages and benefits required to comply with Department of Labor requirements notwithstanding information, if any, contained within its proposal that may be inconsistent with what is required to comply with law.”
13. Attachment J-02, Data Requirements List, is revised to remove “PMP” from Line Item No. 5, block 8, #1 and replace it with “OCI.”
14. Attachment L-03 Baseline EPM Template is replaced in its entirety with Attachment L- 03 Baseline EPM Template Rev 1.
15. Attachment L-04 IDIQ EPM Template is replaced in its entirety with Attachment L-04 IDIQ EPM Template Rev 1.
16. Attachment L-06 Past Performance Questionnaire is revised to reflect new due date of 10/5/2021 for the past performance questionnaires.
17. DRD-02 Total Compensation Plan is revised to remove FAR 52.222-41 from Block 5.

The scope includes System Engineering, Operations Support and Sustaining Engineering, Application Development, System Maintenance and Operations, Data Management Services, System Integration Services, Infrastructure Upgrades, and Security Management.
The Contractor shall host such software/applications between distinct (1) development, integration & test environments, and (2) operational hosting environments. The Contractor shall provide end-user support, including but not limited to help desk support, Monday-Friday 8:00 am to 5:00 pm, up to and including 24x7 on-call, as deemed necessary by the Government. This includes supporting JSC users in remote locations or JSC travelers at other International Space Agencies or countries around the world. Example hosting infrastructure includes, but is not limited to; Microsoft and Linux-based server platforms, including file, print, database, web, and workspace collaboration (e.g. SharePoint) servers/services.
Advanced Research and Development Technology Support
Advanced Research and Development Technology Support on the MESC contract is defined as highly entropic, paradigm-shifting prototype software and supporting hardware development and technology research, in the pursuit of next generation mission operations design solutions. The Contractor shall introduce, design, develop, test, integrate, support, host, and deliver advanced technologies and highly specialized custom software solutions into mission operations systems and other systems. This highly specialized research and support shall explore new technologies for improving the effectiveness and efficiencies of NASA mission operations systems. This shall include, but is not limited to, situational awareness displays, web-based workflow systems, computer simulation and modeling, model-based engineering, network modeling, data mining, data visualization and virtual reality, intelligent systems, training systems, flight crew operations applications, unique technical IT and programming support, computer-based training (CBT) techniques, web-based technologies designs to integrate various complex data sources.
This scope also includes the development and evaluation of crew display concepts, and spacecraft cockpit interfaces services for current and future NASA Programs. The contractor shall provide the following services, including but not limited to (1) integrating display & control ideas and concepts into cockpit simulators; (2) conducting simulations with run astronauts, engineers and cockpit specialists through the simulations; (3) gathering their comments in order to help improve the requirements; (4) making updates to the simulators; (5) extracting relevant information from cockpit simulator code for use in pre-verification processes;
(6) implementing a suite of automated tests for display code pre-verification; and (7) supporting adaptation of cockpit concepts for future applicability to human space programs.

NFS 1852.235-71 KEY PERSONNEL AND FACILITIES (MAR 1989)
(a) The personnel and/or facilities listed below (or specified in the contract Schedule) are considered essential to the work being performed under this contract. Before removing, replacing, or diverting any of the listed or specified personnel or facilities, the Contractor shall:
(1) notify the Contracting Officer reasonably in advance and
(2) submit justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on this contract.
(b) The Contractor shall make no diversion without the Contracting Officer's written consent; provided, that the Contracting Officer may ratify in writing the proposed change, and that ratification shall constitute the Contracting Officer's consent required by this clause.

For joint ventures, the page limit is 7 pages per team member. The Offeror’s Past Performance information shall be included in the Past Performance Description of Volume II and will be subject to the page limitation constraints specified in L.20.2.2, Table L-2.
Past Performance Information Specific to Areas of Work:
Offerors shall provide a response for each area of work to which the Offeror is proposing. Each section should be clearly labeled with the title of the area of work (e.g., Baseline A – NAMIS Services). Each section shall be independent of other sections; cross-references to responses for other areas of work will not be considered. For each area of work proposed, the Offeror shall provide the following in separate sections of the volume:

d) Submit information on contracts that you consider relevant in demonstrating the Offeror’s ability to perform the proposed effort. The submission shall include rationale supporting your assertion of relevancy. This submission shall clearly detail what portions of the Statement of Work, the prime, joint venture, and major subcontractors are responsible for. For a description of the characteristics or aspects the Government will consider in determining relevance, see Section M, Provision M.4.
e) If the Past Performance volume includes data on any parent or affiliated company, division(s), business units, segments, or other organizations of your company, then provide a narrative to address what they will be responsible for and/or proposing to do and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon, such that said parent, et.al., will have meaningful involvement in contract performance. Explain which divisions, business units, segments, or other organizations of your company are proposed to perform the effort. Provide information regarding the proposed relationship and proposed types of resources shared (workforce, management, or other resources) between any divisions, business units, groups, segments, or other organizations in your company which are proposed to perform the effort.
f) Provide an organizational chart displaying the relationships between the parent company or affiliate, and any other organizational entity (parent or affiliated company, division(s), business units, or segments of your company) which are proposed to perform the effort. Complete the incorporated Performance Relevancy Matrix, Attachment L-08, as part of your response. In the event of a conflict between the narrative and the relevancy matrix, the narrative will take precedence as the Offeror’s intended response. The Relevant Past Performance Matrix shall be included in Past Performance Attachments.
g) In addition to the information above, Offerors, any major subcontractors, as defined above, the proposed program manager, and any other organizational entity (parent or affiliated company, division(s), business units, or segments of your company) which is considered to provide meaningful involvement in contract performance, shall each submit the Past Performance Questionnaire, Attachment L-06, to all of the point of contact references required in paragraph
(c) above. The Offeror is responsible for ensuring that all references are directed to return a copy of each questionnaire directly to the Contracting Officer by e-mail to mesc@mail.nasa.gov no later than the due date for the Past Performance Volume given in provision L.20.2.
h) Where an Offeror chooses to request, from a civil servant employee at JSC, that a past performance questionnaire be submitted on its behalf for its proposed Program Manager, please be advised that a Limited Communications Notice (LCN) has been issued in conjunction with this solicitation. The LCN directs that all civil service personnel at JSC shall refrain from communicating with industry on any matters related to this competitive procurement; as a result, while the civil servants may respond to the past performance questionnaire they will be unable to provide status to the offeror, or communication in any other fashion with the offeror, about that past performance request.
i) You may include up to one page of introductory material (per area of work) about the experience and performance of your company and major subcontractors (if applicable). This introductory material is in addition to the page limitation constraints.
j)i) Offerors shall provide the following performance data with explanatory remarks on contracts performed in the last three years. Offerors shall identify the applicable North American Industrial Classification System (NAICS) Code for each contract and shall include points of contact for
L-33 each contract. If a joint venture or prime-subcontractor relationship is proposed, the same information shall be provided for each company proposed. Explanatory statements shall be included as appropriate.
For all work performed during the past three years, offerors shall provide the following:
a) Environmental Data:
Copies of any and all environmental non-compliance correspondence and citations from federal, state or local agencies or authorities with explanatory remarks. Offerors shall provide one response per proposal per area of work.
b) Safety and Health Data:
(1) Copies of any and all OSHA citations with explanatory remarks.
(2) Records of the company’s occupational injuries and illnesses. These records shall include, for each worksite, as a minimum, number of occupational injuries and illness (broken down by Days Away, Restricted or Transfer, and Other OSHA Recordable), annual average number of employees at the worksite, total hours worked by all employees, and applicable NAICS code.
Provide records for the past three complete calendar years with signature of a company executive. Provide explanatory remarks of adverse performance and methods being used to improve performance. Format may be a copy of each year’s OSHA logs (Forms 300 and 300A) or equivalent occupational injury and illness data.
(3) A letter from the insurance carrier providing workers compensation coverage (or equivalent) summarizing the Offeror’s Experience Modification Rates, including history of changes to the rate. If there are no Experience Modifier Rates, provide loss run data (summary), liability and lawsuit history related to safety and health performance. If an Offeror self-insures, provide and certify the same information (except the experience modification rate history) with the signature of the responsible corporate officer or official.
(4) Offerors shall provide one response per proposal per area of workl.
Key Personnel:The Offeror shall provide Key Personnel submissions in accordance with
DRD-19.
L-37 identify the productive hours assumptions utilized in pricing their Cost/Price Proposals.
For example, a WYE based on 2,080 total hours and who receives 101 holidays (808 hours), 2.5 weeks of vacation (100 hours), and 5 sick days (40 hours), would be shown as a productive WYE of 1,860 hours (2,080 total hours minus 80 hours for holidays minus 100 hours for vacation time minus 40 hours for sick days).
(c) Pricing Methodology
For purposes of this solicitation, Offerors shall be required to provide their estimate of the required level of resources necessary to perform the SOW as discussed in the following paragraph:
1. Pricing for Baseline A and Baseline B Effort
Offerors are required to provide their estimate of the required resources – level of WYEs, appropriate skill mix, and amount of Non-Labor Resources (NLRs) – necessary to accomplish their unique technical approach to performing the SOW portion identified as Baseline A and Baseline B (i.e., WBSs 1.0, 2.0). A Government Resource Estimate (GRE) for WYEs and NLRs are provided in Attachment L-034, IDIQ Baseline EPM Template.
The GRE is the Government’s estimate of both the labor and non-labor resources required to perform this effort, without incorporation of any one Offeror’s specific management or technical approach. The GRE is based on historical usage factors and/or the Government’s estimated requirements for the core work and is not considered to be a Government “plug number.” The GRE is provided for Offerors to scope and develop their management and technical approaches, as well as, for development of indirect rates. The GRE provided is not intended to influence the Offeror’s proposal estimates; however, it is provided to assist Offerors in determining the general overall magnitude of effort. Offerors shall develop their own resource estimates that support their unique management and technical approaches and shall provide supporting rationale in narrative form even if the Offeror uses the GRE as the basis for their proposal.
The proposed labor and NLRs are for the Prime Offeror’s entire team (e.g., the Prime and all subcontractors) and shall be identified and described in Volume I, Technical Acceptability, Basis of Estimate (BOE) paragraph, from a management and technical point of view per the level of detail specified on the Baseline EPM Template TRT contained in Section L, Attachment L-03. Subsequently, in Volume III, Cost/Price Proposal, the Offeror’s proposed Baseline WYEs and NLRs for the entire team must be provided in the TRT and summarized in the TRST templates located in the “Baseline EPM Template-.xlsx” template.
The GRE WYE estimates include all direct labor to perform the work with the exception of traditional G&A type personnel such as: sales, finance, legal, procurement, and executives.
The GRE NLR estimates include all NLR with the exception of G&A.
2. Pricing for FFP Specified Resources (SR) [IDIQ Only]
Offerors are required to develop a contractor team composite FBR per SLC, per contract year, and then apply those rates to the respective hours provided in Table 20.6-1. This pricing approach is facilitated

The goal of the EPM automated workbook is to provide a comprehensive working model of the Offeror’s proposed cost volume in an automated format. The pricing model will be designed to facilitate changes to source data such as direct labor hours and/or rates, overhead and G&A rates etc.
and be sophisticated enough to compute the total impact of various changes to both cost and price. It is important that your model facilitate this process to ensure fidelity and is error free. For example;
the model must be able to compute the cost and price impact of:
• Increasing (or decreasing) the number of WYEs of any SLC.
• Increasing (or decreasing) the indirect rates.
b. Formulas
All formulas used in the workbook must be clearly visible in the individual cells and verifiable.
Formulas in EPM templates may be modified to accommodate offerors’ technical solution. Whereas linking among the spreadsheets within the workbook may be necessary; the use of external links (source data not provided to NASA) of any kind is prohibited. The workbook must contain no macros or hidden cells.
c. Locks
The EPM and all its associated workbooks shall not be locked/protected or secured by passwords.
2. Electronic Cost/Price Proposal Organization
The Government intends to use a personal computer with Microsoft Excel to aid in the evaluation of the Cost/Price Proposal. Each Prime and Major Subcontractor is required to submit their EPM and any

• The company business size, type, duns number, and cage code.
F. Responsibility Information Offerors may provide any additional information, not already addressed under another proposal volume, that is considered to be necessary to demonstrate status as a responsible offeror under FAR 9.104, Standards.
G. Waiver of Rights to Inventions
This solicitation contains NASA FAR Supplement (NFS) Clause 1852.227-70 “New Technology” and NFS provision 1852.227-71 “Request for Waiver to Rights to Inventions”.
Any petitions for advance (prior to contract execution) waiver of rights to inventions should be included in this volume.
H. Cost Accounting Standards [Not applicable to small businesses] State whether the Cost Accounting Standards (CAS) Disclosure Statement represented in Provision K.2, Cost Accounting Standards Notices and Certifications, has been approved by the cognizant Administrative Contracting Officer, and provide the date of such approval. If your CAS Disclosure Statement is currently not approved or there are some existing CAS non-compliance findings, please provide detailed explanation of the CAS non-compliance issues, corrective action status, and any potential impact on this procurement. A copy of the Offeror’s disclosure statement applicable to the resultant contract shall be submitted.
I. IT Security Management Program The Contracting Officer will request the information required by the Information Technology (IT) Security Management Program Plan DRD-06 from all Offerors in the competitive range or only from the apparent successful Offeror(s) or from Offeror(s) deemed as necessary to support an efficient responsibility decision. Offeror(s) will be notified by the Contracting Officer of this requirement, with an anticipated 10 calendar days allowed for submittal.
J. Abbreviated Total Compensation Plan (TCP)
In addition to the information provided in the Abbreviated Total Compensation Plan, the Offeror shall affirmatively state in Volume IV that, if awarded the contract, it will satisfy the minimum wages and benefits required to comply with Department of Labor requirements notwithstanding information, if any, contained within its proposal that may be inconsistent with what is required to comply with law.
consistent with FAR 52.222 41, each service employee employed in the performance of this contract by the contractor or any subcontractor will be paid not less than the minimum monetary wages and fringe benefits in accordance with the wages and fringe benefits specified in any wage determination attached to this contract. C. Property Management Plan
The Contracting Officer will request a Government Property Management Plan (DRD-07) from all Offerors in the competitive range, or only from the apparent successful Offerors, or from Offerors deemed as necessary to support an efficient responsibility decision. Offerors will be notified by the Contracting Officer of this requirement, with an anticipated 10 calendar days allowed for submittal.
D. Business Systems [Applicable only to Baseline A and Baseline B]
FAR 16.301-3, Cost-Reimbursable Contracts, Limitations, requires that a contractor's accounting system be adequate for determining costs applicable to the contract prior to the award of a cost-reimbursement contract. Therefore, each Offeror shall indicate whether they have, or do not have, an accounting system that has been determined to be adequate by the DCAA and shall provide evidence as to the - adequacy of their accounting system as determined by the Government. If a determination of adequacy of your accounting system has not been made, then the Offeror shall complete the “Pre-award Survey of Prospective Contractor Accounting System Checklist” found in Attachment L-09 and provide a copy of that document with Volume IV, Responsibility Considerations. An adequate accounting system is not an evaluation criterion. It is a basic contract requirement with a pass/fail determination. A contract may only be awarded to the Offeror(s) who are determined to have an adequate accounting system.
E. Responsibility Information As appropriate, any additional information submitted to demonstrate status as a responsible Offeror will be used in determining responsibility in accordance with FAR 9.104 Standards.
F. Waiver of Rights to Inventions
Information submitted will be reviewed to determine compliance with NASA FAR Supplement (NFS) Clause 1852.227-70, New Technology, and NFS provision 1852.227-71, Request for Waiver to Rights to Inventions.
G. Cost Accounting Standards [Not Applicable only to Baseline ASmall
Businesses and Baseline B] If an Offeror is required to submit a Disclosure Statement by the provisions at K.5, 52.230-1 Cost Accounting Standards Notices and Certification, the adequacy of that disclosure statement will be determined in accordance with FAR 30.202-6 Responsibilities.
H. IT Security Management Program

M-14 demonstrated ability to comply with IT security requirements and regulations. If it appears that the proposed plan does not comply with IT security requirements and regulations, the Government must notify the Offeror, provide the reasons therefore, and allow the Offeror a reasonable opportunity to respond.
I. Abbreviated Total Compensation Plan The abbreviated total compensation plan will be evaluated to confirm the proposed compensation is legally compliant for non-exempt employees. As part of this evaluation, the Government will confirm the offeror affirmatively stated it will satisfy the minimum wages and benefits required to comply with Department of Labor requirements notwithstanding information, if any, contained within its proposal that may be inconsistent with what is required to comply with law.for the reasonableness of the compensation for non exempt employees in accordance with FAR 52.222 41. In addition, the Government will confirm the offeror affirmatively stated it will satisfy the wages and benefits requirements of any wage determination attached to this contract if awarded the contract.
M.7 MODEL CONTRACT (VOLUME V)
(a) The model contract will not be evaluated for selection purposes. It will, however, be reviewed to ensure that it was signed by a person authorized to commit the Offeror, that there is completion of all fill-ins, all pages of the contract are submitted in their entirety, and that it accurately captures the content as set forth in the Offeror’s proposal.
Errors or inconsistencies in the Model Contract may result in an offeror being removed from consideration for award.
(b) The Government reserves the right to incorporate the offeror’s documentation (e.g. plans) submitted in response to Data Requirements Descriptions in the RFP and/or information in a clause fill-in prior to execution of the contract. This may result in the renumbering of contract pages. The Government may also make other minor clerical and purely administrative changes to the offeror’s model contract (e.g. insert the contract number, insert the value of obligated funding at contract award), prior to executing the contract. The contractor agrees that such changes shall be construed as administrative and that they will not be construed as a counter offer.
Note: The Government reserves the right to unilaterally modify the contract to remove any unsuccessful proposed areas of work in Section C and any clauses or attachments not applicable to the areas awarded.
