• Significant PWS changes from the Draft RFP include:
Clarified NASA/Contractor roles and responsibilities for Ops and
Training.
Key Service Capabilities moved from the PWS to J-25.
Deleted Mission Concept Milestone from EVA Services (CLIN #B).
Added Crew Vacuum Chamber Test as part of the CDR milestone.
Reduced duplication between PWS and SRD.
Example: EVA turnaround time within 72 hours (from draft RFP) moved to SRD for turnaround within 48 hours (final RFP).
Added section for In-suit Nutrition.
When ISS specific process referenced, added “Artemis equivalent” language throughout.
Clarified scope to include xEVAS interfaces to future assets (host vehicles, rovers, etc.).

Proposal Due Dates
• Provision L.18.1 requires an initial proposal and an alternate proposal:
• Initial proposal:
• Past Performance Volume (III) DUE by 1:30 p.m. Central time on November 1, 2021.
• Remaining volumes DUE by 1:30 p.m. Central time on December 1, 2021.
• Alternate proposal:
• Only change is the Guaranteed Minimum value.
• Proposals DUE on February 15, 2022, no later than 1:30 p.m.
Central Time.
• Alternate proposals submitted before February 14, 2022 will not be accepted.
• If Legislation to incrementally fund the guaranteed minimum is passed, the contracting officer will amend the solicitation to delete the requirement for an alternate proposal.
• The contracting officer will communicate along the way.
EFSS Box
• Proposals are required to be submitted through NASA’s Enterprise File Sharing and Sync Box platform.
• Provision L.13 of the solicitation includes instructions for submission of proposals through this system; however,
• Offerors are highly advised to test the system prior to the delivery date to ensure there will be no perturbations that would result in a late proposal.
• Late proposals, including Volume III, will be handled pursuant to FAR 52.215- 1(c)(3).
• Review the proposal instructions, coordinate with the point of contact in advance of the delivery, and ask questions if any instructions are not clear.

General Information
• The RFP and amendments take precedence over this conference.
• Competition: Full and open.
• NAICS Code 336414, Guided Missile and Space Vehicle Manufacturing and Size Standard 1,250 employees.
• Contract Type: 100% Indefinite Delivery, Indefinite Quantity (IDIQ) with ability to issue firm-fixed price (FFP) orders.
• Period of Performance:
−Ten (10)-year IDIQ ordering period.
Ordering / Pricing
• The Task Order Procedures are described in Clause H.2, NFS 1852.216-80, Task Ordering Procedure and H.3, Task Ordering Procedures – Supplement.
• Demonstration (CLIN #A), Services (CLIN #B) and Mission Unique (CLIN #C) prices are established in Section B tables.
• Prices are based on when the order is placed.
• Fully-burdened labor rates (Clause B.8) are established based on price for period in which work will be performed.
• Maximum “Not-to-Exceed” ordering value (across any xEVAS contract(s) awarded) is $3.1 billion (with Government ability to unilaterally increase to $3.5 billion).
Guaranteed Minimum
B.2 JSC 52.216-90 IDIQ MINIMUM AND MAXIMUM ORDERING LIMITS (NOV 2018)
(a) In accordance with FAR 52.216-22, Indefinite Quantity, the contract guaranteed minimum amount to be ordered under this contract is [Offeror Fill-in – See instructions in Section L] and the contract Not to Exceed (NTE) amount which may be ordered under is $3.1 billion. The Government is not obligated to order more than the minimum specified but may order up to the NTE amount. The Contractor is obligated to fulfill orders issued, up to the NTE amount within the limits specified in FAR 52.216-19 Order Limitations.
(b) The contracting officer may unilaterally adjust the NTE value in paragraph (a), through one or more modifications, such that the adjusted NTE value does not exceed $3.5 billion.
• Guaranteed Minimum is expressed in dollars.
• Instructions to calculate the minimum are found in Provision L.18.3.

Clauses and Provisions
• When reading the RFP, note that:
Important information is contained in the SF33 and numerous clauses and provisions that have been incorporated, via full text and/or referenced text, throughout the document.
Clauses incorporated by reference have the same force and effect as if they were included in their full text.
Section J includes documents, exhibits, and other attachments For example, Data Requirement Descriptions, System
Requirements Document (SRD), Applicable and Reference Documents List, etc.
System for Award Management (SAM)
• The System for Award Management (SAM) is a Federal Government owned and operated free web site that collects data from suppliers, validates and stores this data, and disseminates it to various government acquisition agencies.
• The SAM website is located at: https://sam.gov/SAM/
• You are required to create an account in SAM.
• Requires a CAGE code and DUNS number.
• Verify that your information in this database is current.
• New registrations can take 7-10 business days to process.
Joint Ventures
• The Small Business Administration’s new regulation changes the definition of a joint venture to exclude populated joint ventures.
• Joint Ventures are defined in 13 C.F.R. 121.103(h).
• All parties to the Joint Venture must sign the Model Contract.
Government Property
• Under Clause G.3, NFS 1852.245-71, Installation Accountable Government Property, NASA anticipates providing:
Property Listed in Section J, Attachment J-14, Installation-Accountable
Government Property;
Medical treatment of a first aid nature (on-site); and Cafeteria privileges (on-site).
• Provision L.11, NFS 1852.245-71 includes a list of Government property available for use under the xEVAS.
• Requests for Government property shall be documented by fill-in
Attachment J-13, Government-Furnished Property and Data/Information.
• Requests are limited to items and quantities identified in Table L.11-1, List of Available Government Property.
• A GTA is required for modifications to Government assets (on-orbit or ground).
Discussions
• Offeror’s initial proposal should contain the best terms from a price and technical standpoint.
• The Government preference is to award without discussions; however, the Government reserves the right to conduct discussions with those Offerors who have made it to competitive range.
• If discussions are held, the Offeror will:
Have the opportunity to address potentially acceptable items and;
Be requested to resubmit the SF33 with Final Proposal
Revisions (FPR) which will include clearly marked changes.
Proposal Instructions
• See Table L-2 in Provision L.18.:
• Includes list of required elements for each factor and subfactor.
• Provides page limitations and exclusions.
• Provides required format.
• All proposals must be submitted electronically following the instructions in Provision L.13, Electronic Submission of Proposals – Proposal Marking and Delivery through NASA’s Enterprise File Sharing and Sync Box (EFSS) Box.
• Subcontractors may submit sensitive data independently by following the same instructions.
The Price Factor is approximately equal to the combined importance of the Mission Suitability factor and Past Performance factor.
As individual factors, Mission Suitability is more important than Past Performance factor.
Section K
• Check all appropriate boxes and fill-in all designated “Offeror Fill-ins”.
• Ensure your annual representations and certifications are up to date in sam.gov.
• Provision K.1:
• Paragraph (d) DOES apply (i.e. Section L includes Provision 52.204-7).
• Provision K.7 – Approval to incorporate limited rights data within data deliverable to the Government will be made after award.
Proposal Formatting
• Instructions for proposal arrangement, page limitations, copies and the due date are specified in Provision L.18.2, Proposal Formatting Instructions.
Offerors shall submit their proposals in accordance with the instructions in Provision L.18.2.
Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government and will be returned to the offeror in accordance with NFS 1815.204-70(b).
Minor informalities or irregularities in a proposal that can be adjusted, corrected, or waived without being prejudicial to other offerors may be accepted if it is immaterial to the acquisition.
However, any pages contained in a page limited section of your proposal which do not comply with the RFP requirements may be returned by the Government and not evaluated.
Proposal Formatting
• Pay close attention to ensure that the number of pages, page margins, font type, font size, and page size are in conformance to Provision L.18.2.
• Please note page limitations.
Some volumes/sections are subject to a page limitation and others are not.
Proposal information must be provided in the correct volume.
Proposal information in a page-limited volume or section should not be moved to another volume/section without such page limitations.
• Having non-conforming pages returned may affect the Government’s evaluation of a proposal, and how the proposal is ultimately rated.
Responsibility Considerations
• The Contracting Officer makes the determination of responsibility per
FAR 9.104.
Responsible means that the contractor has adequate organizational and financial controls, satisfactory business ethics, financial resources, the ability to successfully perform the work, is eligible, etc.
This determination is performed by the CO and is separate from the selection decision.
If an offeror is not responsible, then they are not eligible for award.
• The Contracting Officer will also check the Contractor Performance
Assessment Reporting System (includes records of the Contractor’s previous contracts).
• The Contracting Officer will request an Equal Opportunity clearance, and check to ensure the veteran’s reports are submitted.
• This determination is performed for offerors in the competitive range or the successful offeror only.
Model Contract
• The Model Contract consists of Sections A-K of the RFP.
Sections L and M are used for selection purposes only and shall not be included in the Model Contract (Volume V) submission.
• The Offerors will submit a signed Model Contract with their proposal.
The Model Contract becomes the actual contract and so it must be complete and correct.
The Model Contract must be signed by a person authorized to commit the offeror.
All pages must be returned – not just the pages with the fill-ins.
• The Contracting Officer will sign the Model Contract of the Successful
Offeror once all issues are resolved and the selection decision is made.
• Errors or inconsistencies in the Model Contract (that cannot be resolved) may result in an offeror being removed from consideration for award.
• The Model Contract takes precedence over the proposal.
Ensure that your prices and rates in the Cost/Price Volume are reflected in Section B of the Model Contract.
Special Consideration
NOTE TO PROSPECTIVE OFFERORS
Prospective Offerors are reminded not to contact incumbent personnel (either directly or through electronic means) during duty hours or at their place of employment, as such contacts are disruptive to the performance of the current contract.

Engagement Process
• Offerors contact the JSC Partnership POC to understand JSC competencies (people, processes, tools and facilities) that could help meet their needs, and request an estimated cost using the GTA form.
• JSC capabilities/facilities information is available to start the process at JSC xEVAS website and SAM.gov.
• GTA requests are due by 5:00 p.m. on October 14, 2021. Completed form returned to Offeror seven (7) days prior to proposal the due date.
• The JSC POC will coordinate the request with the Contracting Officer and Program Management to assure the request is appropriate.
• The JSC POC will coordinate the GTA requests with program and performing organizations.
• Refine GTA form inputs as needed to meet Offeror’s needs and
JSC’s commitments.
• Return costed GTAs to Offerors as early as possible for consideration as part of their proposal.
