NASA AMES 80ARC025Q0002 – AMENDMENT 01

X-RAY COMPUTED TOMOGRAPHY SCANNER

I. GENERAL INSTRUCTIONS

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in FAR Subpart 12.6, as supplemented with additional information included in this notice.

This announcement constitutes the only solicitation; offers are being requested and a written solicitation will not be issued.

80ARC025Q0002 is being issued as a Request for Quotations (RFQ) for an X-Ray Computed Tomography (CT) Scanner as described in Attachment 1 - Statement of Work (SOW).

II. PRICING

The total firm fixed price proposed, for all CLINS, shall include all costs for the support to be provided, in accordance with Attachment 1 – SOW (for each SOW paragraph).

The provisions and clauses in the RFQ are those in effect through FAC 2025-04. The assigned NAICS code is 334516 - Analytical Laboratory Instrument Manufacturing. The size standard for this NAICS code is 1,000 employees. The offeror shall state in its offer its size status for this procurement.

All responsible sources may submit an offer with its prices for the contract line items as described in Section V. Instructions to Offerors – Commercial Items, Technical, and supporting technical and past performance proposal which shall be considered by the agency. Interested offerors must submit any questions concerning the RFQ at the earliest time possible to enable the Contracting Officer to respond. All contractual and technical questions must be in writing (e-mail) to Erik Whitehill, email: erik.c.whitehill@nasa.gov not later than 3:00 p.m. Eastern Daylight Time (EDT) on August 18, 2025. Telephone questions will not be accepted.

Attachments listed in Section IV with “*” are for proposal use only. These attachments will only be made available to offerors by request through sam.gov. These documents are available to U.S.

80ARC025Q0002 entities with a valid CAGE code only, by request through sam.beta.gov under

Any non-U.S. entities requesting access to this information shall email the Contracting Officer (email: erik.c.whitehill@nasa.gov) and are subject to specific review and approval.

Delivery of items shall be to NASA Ames Research Center, Receiving Station, Moffett Field, CA 94035-0001 is required in accordance with the delivery requirements in the SOW. Delivery shall be FOB Destination.

Offers for the items(s) described above are due by 3:00 p.m. EDT on August 27, 2025, and are to be submitted by e-mail to Erik Whitehill, email: erik.c.whitehill@nasa.gov. Offers must include solicitation number, FOB destination to Ames Research Center, size standard, proposed prices for contract line items, proposed delivery schedule for each CLIN as described in Section V.

Instructions to Offerors – Commercial Items, Technical, paragraph i.e., Technical Proposal, Past Performance Proposal, information required for FAR 52.212-1, FAR 52-212-2, FAR 52.212-3 and addenda, discount/payment terms, warranty duration (if applicable), taxpayer identification number (TIN), and identification of any special commercial terms, and be signed by an authorized company representative. 1852.232-80 SUBMISSION OF VOUCHERS/INVOICES FOR PAYMENT (APR 2018)

(a) The designated payment office is the NASA Shared Services Center (NSSC) located at FMD Accounts Payable, Bldg. 1111, Jerry Hlass Road, Stennis Space Center, MS 39529.

(b) Except for classified vouchers, the Contractor shall submit all vouchers and invoices using the steps described at NSSC’s Vendor Payment information web site at:

https://www.nssc.nasa.gov/vendorpayment. Please contact the NSSC Customer Contact Center at

1-877-NSSC123 (1-877-677-2123) with any additional questions or comments.

(c) Payment requests.

(1) The payment periods are stipulated in the payment clause(s) contained in this contract.

(2) Vouchers submitted under cost-type contracts and invoices submitted under fixed-price contracts shall include the items delineated in FAR 32.905(b) supported by relevant back-up documentation. Back-up documentation shall include at a minimum, the following information:

(i) Vouchers.

(A) Breakdown of billed labor costs and associated contractor generated supporting documentation for billed direct labor costs to include rates used and number of hours incurred.

(B) Breakdown of billed other direct costs (ODCs) and associated contractor generated supporting documentation for billed ODCs.

(C) Indirect rate(s) used to calculate the amount of billed indirect expenses.

(D) Progress reports, as required.

(ii) Invoices.

(A) Description of goods and services delivered as part of the contract’s terms and conditions, including the dates of delivery/performance.

(B) Progress reports, as required.

(C) Date goods and services were performed.

(iii) Fee vouchers.

(A) Listing of all provisionally-billed fee by period or date earned since contract award.

(B) A reconciliation of all billed and earned fee.

(C) A clear explanation of the fee calculations.

(d) Non-electronic payment requests. The Contractor may submit a non-electronic voucher/invoice using the steps for non-electronic payment requests described at https://www.nssc.nasa.gov/vendorpayment, when any of the following conditions are met:

(1) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the

Contractor.

(2) The contract includes provisions allowing the contractor to submit vouchers or invoices using the steps for non-electronic payment requests. In such instances the Contractor agrees to submit non-electronic payment requests using the method or methods specified in

Section G of the contract.

(e) Improper vouchers/invoices. The NSSC Payment Office will notify the contractor of any apparent error, defect, or impropriety in a voucher/invoices within seven calendar days of receipt by the NSSC Payment Office. Inquiries regarding requests for payment should be directed to the NSSC as specified in paragraph (b) of this section.

(f) Other payment clauses. In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payment requests.

(g) In the event that amounts are withheld from payment in accordance with provisions of this contract, a separate payment request for the amount withheld will be required before payment for that amount may be made.

(d)Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1)The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2)The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3)As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. V. INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

Offerors shall provide the information required by FAR 52.212-1 INSTRUCTIONS TO

OFFERORS-COMMERCIAL ITEMS (SEP 2023), which is incorporated by reference.

ADDENDA TO FAR 52.212-1 ARE AS FOLLOWS:

Along with the required information outlined in FAR 52.212-1(b), Submission of offers, the offeror shall provide a Technical, Past Performance and Price proposal addressing the following information:

TECHNICAL– The Technical proposal shall be presented in the form of a written proposal, that may include pictures, not to exceed 20 single spaced pages and shall prepare a response to the technical evaluation factor that discusses the offeror’s approach to meeting the requirements in the SOW.

PAST PERFORMANCE - Past performance information must be separate from the technical proposal. There is a 5-page limitation for the past performance proposal.

• Each offeror shall describe up to three (3) relevant government or industrial contracts that its company has completed within the past three (3) years, or is currently performing, that are similar in scope, content and complexity to this requirement. Offerors shall provide a project narrative and reference information that addresses each of the bullets below.

• ▪ Statement of the relevancy of the contract to this SOW

• ▪ The contractor shall describe, in detail, its past experience with X-ray CT scanners for the items being proposed. Past experience with implementation timeline for X-ray CT scanners similar to the type being proposed shall be described.

• ▪ Identification and explanation of any completion delays, performance problems, cost overruns and terminations, received within the last three (3) years, on projects relevant to this SOW.

PRICE – Each offeror shall provide the amount on the CLIN schedule for each Contract Line Item for each delivery scenario as described in Section V. Instructions to Offerors – Commercial Items, Technical, paragraph e. Proposal Page Limitations

a. The following page limitations are established for each portion of the proposal submitted in response to this solicitation. Technical Proposal – 20 pages and Past Performance – 5 pages.

b. A page is defined as one side of a sheet, 8 1/2" x 11", with at least one inch margins on all sides, using not smaller than 12 point type. Times New Roman font shall be used.

Diagrams, charts, tables, photographs, headers and footers shall contain Times New Roman font text in a size no smaller than 10-point and are included in stated page count limitations.

c. Title pages, cover pages, tables of contents, glossary, section breakers, list of figures, and acronym list are excluded from the page counts specified in paragraph (a) of this provision.

Tables and graphics will be included in the page count.

d. Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government.

VI. EVALUATION - COMMERCIAL ITEMS

FAR 52.212-2 Evaluation—Commercial Products and Commercial Services (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be the most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factor 1: Technical Approach

Factor 2: Past Performance

Factor 3: Price

As individual factors, the Technical factor is more important than Past Performance, which is more important than the Price factor. The Technical factor and Past Performance factor, when combined, are significantly more important than the Price factor.

An award will be made to the offeror whose quotation represents the best value to the Government when the above listed evaluation factors are considered.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDA TO FAR 52.212-2 ARE AS FOLLOWS:

1. This RFQ will use FAR Part 12 – Acquisition of Commercial Items and FAR Part 13 – Simplified Acquisition Procedures under the authority of FAR 13.5.

2. The Government will evaluate the following factors to determine the best value.

FACTOR 1- TECHNICAL APPROACH.

The Government will evaluate the extent to which the offeror’s proposed technical approach meets the technical requirements of this RFQ and the attached SOW.

FACTOR 2 – PAST PERFORMANCE AND RELATED EXPERIENCE.

The Government will evaluate each Offeror’s past performance to determine recency, relevancy, and the quality of performance on past contracts. The Government will consider information available in Contractor Performance Assessment Reporting System (CPARS), using all CAGE codes/Unique Entity ID numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the Offeror’s proposal when evaluating past performance along with the information provided by the offeror and any additional information available to the Government. In addition, the Government may review any other sources of information for evaluating past performance. Other sources may include but are not limited to past performance information retrieved through the Federal Awardee Performance and Integrity Information System (FAPIIS), and any other known sources not provided by the Offeror.

FACTOR 3 – PRICE.

The Government will evaluate the total proposed price in each delivery scenario in order to determine price reasonableness. The offeror’s price proposal will be evaluated using techniques described at FAR 13.106-3(a) to determine which proposal offers the best value to the Government at a price that is fair and reasonable.

(a) Definitions. As used in this provision—

Covered telecommunications equipment or services has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. Forced or indentured child labor means all work or service—

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. (3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business (SDVOSB) concern means a small business concern—

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C.

101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program means an SDVOSB concern that—

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.

Service-disabled veteran-owned small business (SDVOSB) Program means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.

Small business concern - (1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships.
