About this file

This is a Blanket Purchase Agreement (BPA) Terms and Conditions document for the U.S. Coast Guard, Base Alameda. The BPA is unpriced with pricing negotiated at the individual order level. The agreement establishes a framework for ordering services estimated at approximately one call per month, though quantities may vary based on Coast Guard needs. The BPA is valid for an initial 12-month period and may be extended for additional 12-month periods at the government's discretion. Orders placed against this BPA have a minimum value of $100 and a maximum value of $99,000, with individual order performance periods not exceeding 12 months beyond the BPA ordering period end date.

Contract administration is performed by the U.S. Coast Guard, Base Alameda, P&C Department, with all contractual communications directed to the Procuring Contracting Officer (Mr. Shawn Jenkins) or Contract Specialist/BPA Administrator (Mr. Jesse Yutig). Orders above $2,500 are issued on Optional Form 347 and processed through the USCG Finance Center via the Invoice Processing Platform (IPP); orders below $2,500 are processed via Government Purchase Card with invoices submitted directly to the ordering official. Authorized ordering officials include any warranted Contracting Officer at Base Alameda for orders exceeding $2,500 and any Purchase Card Holder with sufficient card limits for orders below that threshold. The contractor must maintain active SAM registration throughout the agreement duration. The BPA is firm-fixed price, and the government is obligated only for authorized purchases actually made; no funds are guaranteed. Either party may initiate cancellation with 30 days' notice, and the contracting officer must provide fair opportunity consideration for each order exceeding the micro-purchase threshold.

Communications pertaining to contractual administrative matters shall be addressed to the Contracting Officer (KO) and Contract Specialist (KS). Changes in, or deviations from, the agreement shall not be made without written modification to the agreement as executed by the

KO.

B. Ordering Officials

A list of individuals authorized to purchase under the BPA, identified by name of individual, with the dollar limitation per purchase for individual, shall be furnished to the Contractor by the KO within 5 days of award of the agreement. The KO will notify the BPA Holder of any changes to this list.

Ordering Officials shall fall into two categories:

Below $2500 per order: Any Purchase Card Holder with a sufficient purchase card limit may order these services via their Government issued credit card.

Orders placed by unauthorized individuals and accepted by the BPA Holder may not be approved for payment. Therefore, it is the responsibility of the BPA Holder to accept only those calls placed in this BPA by an authorized Ordering Official.

C. General Terms

The Contractor must maintain an active SAM registration for the duration of the Blanket Purchase agreement.

Payment for orders above $2,500 shall be made by the USCG Finance Center. Invoices shall be submitted through the Invoice Processing Platform (IPP) at https://www.ipp.gov/.

IPP is a secure web-based electronic invoicing system provided by the U.S. Department of the Treasury's Bureau of the Fiscal Service in partnership with the Federal Reserve Bank of St. Louis (FRSTL). IPP is available at no cost to any commercial vendor or independent contractor doing business with a participating government agency.

Actions to take:

If you are already enrolled in IPP: If your company is already registered to use IPP, you will not be required to re-register, and you do not need to contact IPP.

If you are NOT already enrolled in IPP: The point of contact you provided in your SAM.gov registration will receive two emails from ipp.noreply@mail.eroc.twai.gov. Please note that emails from this email address may filter into your spam or junk folder. The first email will have the IPP Logon ID and a link to the IPP application. A second email, which will be sent within 24 hours of the first email, contains a temporary password. Once your contact receives these emails, please ensure they log into IPP and complete the registration process.

Once registered to use IPP, your company may submit invoices electronically, receive e-mail notifications when requests are paid, view payment history, and access remittance downloads.

The e-mail notification of payment is sent when a payment is distributed to your bank account and may include the following payment information: Date of payment, dollar amount, invoice number, paying agency, payee name, and ACH trace number.

Vendor training materials, including a first-time login tutorial, are available on the https://www.ipp.gov/ website. Once you have logged in to the IPP application, you will have access to user guides that provide step-by-step instructions for all IPP capabilities, ranging from creating and submitting an invoice to setting up email notifications. Live webinars are held monthly and provide a great opportunity to learn the basics of the system and to call in and ask the IPP team questions about the IPP application.

D. Contract Type

This is a Blanket Purchase Agreement (BPA); orders placed against this BPA shall be Firm-Fixed Price. This BPA shall be reviewed at a minimum once every 12 months, to include any discounts offered for prompt payment.

E. Estimated Quantities

The U.S. Coast Guard anticipates the need for approximately one (1) call per month. The quantity is only an estimate and may go up or down depending on the needs of the U.S. Coast Guard. THIS BPA DOES NOT GUARANTEE ANY WORK OR OBLIGATE ANY FUNDS.

ONLY A BPA ORDER WILL OBILIGATE FUNDS.

F. BPA Ordering Period

This agreement shall be valid for 12 months. Orders against this agreement may be placed at any time during that period. At the end of the 12-month period, the government shall determine if there is a continued need. At that time, the agreement may be extended for a period determined by the government, not to exceed 12 months. This process shall continue until the government determines a need no longer exists.

Cancellation of this agreement may be initiated by the government or the contractor at any time during the performance period. Cancellation of the agreement must occur no less than 30 days before the desired cancellation date. Cancellation of the agreement must be a mutual agreement and will not impact orders awarded and issued that are in progress.

Orders issued against this agreement shall have an identified performance period. Order performance periods may extend no more than 12 months past the last day of the BPA ordering period.

G. Ordering

The Contractor will respond to all orders placed by the Contracting Officer or Ordering Official.

Orders shall be effective upon issuance by the Government. The Ordering Official shall not perform the duties of the COR.

The Government is obligated only to the extent of authorized purchases actually made against the BPA. No funds are associated with this BPA. The Government is under no obligation to issue orders against this BPA.

Orders above $2500 shall be issued on Optional Form 347 (OF-347), “Order for Supplies or Services”; orders below $2500 shall be processed via Government Purchase Card. Orders will specify the quantity and will obligate funds. The Contractor is not authorized to provide services prior to the issuance of an order.

Individual orders shall clearly describe all services to be performed so the full price for the performance of the work can be established when the order is placed. Orders shall be within the scope, issued within the ordering period, and be within the maximum value of the BPA. The contracting officer shall provide each awardee a fair opportunity to be considered for each order exceeding the micro-purchase threshold. Each order shall be placed on a competitive basis including a clear description of the supplies to be delivered or the services to be performed and the basis upon which the selection will be made

H. Pricing

This BPA shall be unpriced. Prices shall be negotiated at the order level as part of the ordering process described above.
