INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS

L.1 GENERAL INFORMATION

The Federal Aviation Administration (FAA) anticipates entering into a contract to provide critical professional, technical, and planning assistance to a wide range of FAA organizations that support both the existing NAS, as well as those organizations tasked with the planning, development, and integration of NextGen and the latest developments for new entrants into the current NAS framework. Specific Task Orders will be issued after contract award through a formal Task Order process. Support services are required in a variety of functional work areas detailed in the Statement of Work (Section C) of this document.

The purpose of this Screening Information Request (SIR) is to solicit interested, qualified companies to participate in the procurement process. The SIR, which defines the FAA requirement and delineates contractual terms and conditions of this procurement, has been placed on the public-facing

FAA Contract Opportunities website at https://faaco.faa.gov/ and potential Offerors are encouraged to read this document carefully. In addition, the FAA Acquisition Management System (AMS) can be found in the FAA Acquisition System Toolset website located at https://fast.faa.gov/.

L.1.1 Point of Contact

The only point of contact for the NAS Integration Support Contract IV (NISC IV) acquisition is the

FAA NISC IV Contracting Officer (CO).

Section L - Page 8

3.9.1-3 Protest (October 2011)

As a condition of submitting an offer or response to this SIR (or other solicitation, if appropriate), the offeror or potential offeror agrees to be bound by the following provisions relating to protests:

(a) Protests concerning FAA SIRs or awards of contracts will be resolved through the FAA dispute resolution system at the Office of Dispute Resolution for Acquisition (ODRA) and will be governed by the procedures set forth in 14 C.F.R. Parts 14 and 17, which are hereby incorporated by reference. Judicial review, where available, will be in accordance with 49

U.S.C. 46110 and will apply only to final agency decisions. A protestor may seek review of a final FAA decision only after its administrative remedies have been exhausted.

(b) Offerors initially should attempt to resolve any issues concerning potential protests with the

Contracting Officer. The Contracting Officer should make reasonable efforts to answer questions promptly and completely, and, where possible, to resolve concerns or controversies. The protest time limitations, however, will not be extended by attempts to resolve a potential protest with the Contracting Officer.

(c) The filing of a protest with the ODRA may be accomplished by mail, overnight delivery, hand delivery, or by facsimile or if permitted by order of the ODRA, by electronic filing. A protest is considered to be filed on the date it is received by the ODRA during normal business hours. The ODRA's normal business hours are from 8:30 am to 5:00 pm Eastern

Time.

(d) Only an interested party may file a protest. An interested party is one whose direct economic interest has been or would be affected by the award or failure to award an FAA contract.

Proposed subcontractors are not "interested parties" within this definition.

(e) A written protest must be filed with the ODRA within the times set forth below, or the protest will be dismissed as untimely:

(1) Protests based upon alleged improprieties in a solicitation or a SIR that are apparent prior to bid opening or the time set for receipt of initial proposals will be filed prior to bid opening or the time set for the receipt of initial proposals.

(2) In procurements where proposals are requested, alleged improprieties that do not exist in the initial solicitation, but which are subsequently incorporated into the solicitation, must be protested not later than the next closing time for receipt of proposals following the incorporation.

(3) For protests other than those related to alleged solicitation improprieties, the protest must be filed on the later of the following two dates:

Section L - Page 9

(i) Not later than seven (7) business days after the date the protester knew or should have known of the grounds for the protest; or

(ii) If the protester has requested a post-award debriefing from the

FAA Product Team, not later than five (5) business days after the date on which the Product Team holds that debriefing.

(f) Protests will be filed at:

(1) Office of Dispute Resolution for Acquisition

Federal Aviation Administration

800 Independence Ave., S.W.

Room 323

Washington, DC 20591

Telephone: (202) 267-3290, Facsimile: (202) 267-3720; or

(2) Other address as specified in 14 CFR Part 17.

(g) At the same time as filing the protest with the ODRA, the protester will serve a copy of the protest on the Contracting Officer and any other official designated in the SIR for receipt of protests by means reasonably calculated to be received by the Contracting Officer on the same day as it is to be received by the ODRA. The protest will include a signed statement from the protester, certifying to the ODRA the manner of service, date, and time when a copy of the protest was served on the Contracting Officer and other designated official(s).

(h) Additional information and guidance about the ODRA dispute resolution process for protests can be found on the ODRA website at http://www.faa.gov.

Offerors must ensure compliance with all requests for information contained within Section L of this

SIR. The conduct of the evaluation as well as the framework of the evaluation process, evaluation factors, and evaluation criteria, and their relative importance may be found in Section M of this SIR.

The FAA intends to issue one Screening Information Request (SIR) that requests specific information from each Offeror and provides the evaluation criteria to be used by the FAA. The

Offeror submitting a proposal will review the SIR and return a firm offer to perform the NISC IV contract. The Offeror must agree to all terms and conditions contained in the SIR should that Offeror be selected for contract award. During the source selection process, evaluation teams will evaluate

Section L - Page 11 each Offeror’s proposal, using information submitted to the FAA, presented in written form by each

Offeror, or in the case of past performance, obtained from outside references and other points of contact.

L.10 TERMS

Alternate proposals are not authorized to be submitted in response to this SIR. Therefore, with respect to specific terms or conditions of this final SIR, any objection to any of the terms and conditions of this final SIR will constitute a deficiency, which may make the offer unacceptable.

The FAA reserves the right to award a contract without discussions, in accordance with the FAA

Acquisition Management System (AMS). The FAA cautions Offerors not to take any exceptions to the terms or conditions of this final SIR.

The Government, however, reserves the right to conduct discussions and permit Offerors to revise and/or clarify proposals, if these measures are determined by the FAA to be in the best interest of the Government.

The completion and submission to the Government of the SIR items will constitute an offer and will indicate the Offeror’s unconditional assent to the terms and conditions of the final SIR and in any attachments hereto.

L.11 DISCUSSIONS WITH OFFERORS

Communications with Offerors may take place, if deemed necessary and appropriate by the CO, and may occur throughout the source selection process. The purpose of communications is to ensure there are mutual understandings between FAA and the Offerors on all aspects of the procurement.

Information disclosed as a result of oral or written communication with an Offeror may be considered in the evaluation of an Offeror’s submittal(s).

The FAA may hold one-on-one meetings with individual Offerors and one-on-one communications may continue throughout the process, as required, at the FAA’s discretion.

Communications with one Offeror does not necessitate communications with other Offerors.

The FAA has established a web-based platform for communication purposes after submission of proposals. Such platform and the use thereof are based upon the following requirements:

1. The Offeror must send the corporate email address of ONE individual that will represent the bidding entity throughout the proposal process. This email information submission should be accomplished no later than January 5.

2. On January 6, the NISC PMO will create a “workspace” on the FAA Huddle

Platform for the bidding entity.

Section L - Page 14

3. Once the workspace is established for the entity, the NISC PMO will send an invitation to the Offeror’s representative. The only individuals with access to this space will be the FAA CO and the Offeror’s representative.

4. The “Document Library” folder is used to store all Section J attachments, FAA

Orders, etc. that do not lend themselves to email system transfer.

5. The “Huddle Resources” folder is used to store Huddle user guides, etc. for the

Offeror’s representative.

6. The “Questions from Offeror” folder is used to store all questions, comments and requests for clarification from the Offeror to the FAA CO. The Offeror will upload same in this folder as a PDF file. The upload will be date/time stamped automatically by the Huddle system. The Offeror’s representative will then notify the CO via the 9-AJW28-NISC@faa.gov email address that there are questions awaiting their attention.

7. The “Responses from the FAA” folder is used to store the responses (saved as a

PDF file) from the FAA CO to the questions, comments, and requests for clarification submitted as described above. The FAA CO will notify the Offeror’s representative that responses are awaiting their attention via email.

Certain communication topics may necessitate amendments to the FAA’s final SIR. If this is the case, all competing Offerors will be advised of the changes and the CO will establish common cut-off dates for any and all necessitated amendments. If communications with Offerors, however, do not result in any such amendments, the FAA is not required to request or accept any Offeror revisions.

The communications described in this section are regarding those communications after submission of the proposal. For submission of the proposals to the FAA, please refer to Section L.5, Time, Date, Place, and Submission of Proposals (above).

L.12 INFORMATION OF AWARD

Written notice to unsuccessful Offerors and contract award information will be promptly released.

L.13 DISPOSITION OF ELECTRONIC PROPOSALS

Electronic proposals will not be returned.

L.14 NON-GOVERNMENT PERSONNEL PARTICIPATION

Offerors are hereby notified that the FAA may engage various support contractor personnel, serving as evaluators or as advisors to FAA evaluation personnel during the evaluation phase of this acquisition. Evaluators or advisors may be used to review written technical responses, written management plans submitted and any other information provided by the Offeror, or other mailto:9-AJW28-NISC@faa.gov

Section L - Page 15 government or non-government personnel, pertaining to an Offeror’s capabilities. Risks deemed inherent with any Offeror may also be reviewed by support contractor personnel, as well as any cost/price proposals or any other written or oral information provided in response to the final SIR.

All such personnel have signed, or will sign before the evaluation process begins, non-disclosure and organizational conflict of interest statements. Please note that the ultimate responsibility for source selection remains fully with the FAA.

L.15 GENERAL INSTRUCTIONS

Replies to this Solicitation must follow the outlines and/or instructions and order concerning format given in this and other paragraphs of Section L.

Offerors must submit factual and concise written information as requested as well as substantiated cost and pricing information to provide a basis for sound evaluation by the Government. Proposals that merely offer to conduct a program in accordance with the Government's requirements, as described under the Statement of Work (SOW), will be deemed as unacceptable, as will those proposals that merely paraphrase the SOW or which use nonspecific phrases such as “in accordance with standard procedures” or “well known techniques.”

Omission of, or vague responses to, the requirements of this solicitation may render a proposal incomplete as it relates to the requirements of the solicitation, and, therefore, may cause it to be found unacceptable for further consideration on the basis of Risk, as per Section M, Evaluation

Factors for Award, M.8, Risk Evaluation.

L.16 SPECIFIC SIR INSTRUCTIONS

L.16.1 Proposal Organization

The Offeror's proposal submission must consist of Volume I, Offer and Other Documents; Volume

II, Management Proposal/Relevant Experience; Volume III, Functional Proposal/Relevant

Experience; Volume IV, Cost Proposal; and Volume V, Past Performance. Content in each volume will be evaluated by specific evaluation teams. The Risk Evaluation Team will evaluate Volume V.

The team members evaluating Volumes II and III will not have access to Volumes I, IV, and V.

Information required in each volume must be provided therein. There must be no references to

Cost/Pricing in Volumes I, II, III or V. The Risk Evaluation Team and the Cost Evaluation Team may have access to all volumes and members of other evaluation teams, as applicable, throughout the entire process. Proposal volumes must be organized as follows:

Volume I – Offer and Other Documents consists of and must include the following:

L.17.1 Section A: Table of Contents

Each Offeror must provide within this volume a table of contents depicting what is contained in each of the first three volumes submitted in the Offeror’s proposal as well as a listing of all acronyms used. Offerors may, at their discretion, also include the same table of contents and acronyms list at the beginning of Volumes II and III. The Table of Contents and the list of acronyms do not count towards page numbers.

L.18 VOLUME II – MANAGEMENT PROPOSAL/RELEVANT EXPERIENCE

Instructions: Proposals must follow the organization of Sections L.18.1 through L.18.5, in both order and content, addressing specific NISC IV SIR Requirements. Proposals must provide responses on how the work will be addressed within each Section. The requirements and process for submitting Relevant Experience Demonstrating Management Expertise are described immediately below. It should be noted that any aspect of Management under Section L.18 may also be evaluated on the basis of Risk, as per Section L.15, General Instructions (above), and Section

M.8, Risk Evaluation. Risk evaluation adjectival descriptions (Adjective Descriptions) of Low Risk, Medium Risk, High Risk, and Unacceptable Risk will result from this evaluation.

For the purposes of this SIR, the FAA has established a standard against which all Offerors must propose. Any assumptions stated within the SIR, however, may not necessarily represent the final post-award circumstances of the NISC IV Contract and there are no guarantees that any anticipated work portrayed by the SIR will be the same/similar in the eventual NISC IV Contract.

The following general instructions for Relevant Experience Demonstrating Management Expertise

(“Relevant Management Experience”) are to be applied, as relevant, in the designated Management areas. These instructions apply to multiple areas and such responses must be included in those sections, as applicable. For each designated area below, the Offeror must provide at least one, but not more than three, contract examples demonstrating relevant experience directly related to the scope of the effort in that area, providing details on lessons learned and discussing how the relevant experience and lessons learned will benefit NISC IV.

Within each of the four (4) designated areas below, Offeror must include a description of any contracts that demonstrate its Relevant Management Experience with other efforts of a similar scope and complexity as the anticipated NISC IV Prime Contract:

• L.18.3.1, National Program Management;

• L.18.3.2, National Business Operations Management;

• L.18.3.3, National Staffing & Human Resources Management; and

• L.18.3.4, National Contracts & Subcontracts Administration Management.

In each case, all submitted contract descriptions must fall within the specified page count limits and type requirements for that individual section. Contracts referenced for the designated sections

Section L - Page 21

(L.18.3.1, L.18.3.2, L.18.3.3, and L.18.3.4) should: a) provide relevant experience in a multitude of diverse Management Work Areas, as identified in Section C.4.0; b) have been completed within the past four (4) years or currently be in progress for six (6) months or longer; and c) have a contract value of at least forty million dollars (USD 40,000,000.00). The Government strongly prefers that contracts used to demonstrate an Offeror’s relevant experience reflect the experiences of the actual operating entity, as defined by the entity’s DUNS Number, that is proposed to manage and will perform the NISC IV work. If a proposing entity and the eventual performing entity are not the same, such discrepancy may result in a higher risk rating. Both Government and non-Government contracts are acceptable as examples of relevant experience, provided that all other requirements of relevant experience in terms of scope and complexity are met. For each contract cited, the Offeror’s response must provide the following:

• A brief description of the contract(s);

• The Contract number, name, address, and telephone number of the Government or industry Contracting Officer, contract type, and the original and/or current or final contract value(s);

• Name, address, and telephone number of the Government or Commercial Technical

Officer assigned to the Contract;

• Date of contract award, place(s) and period of performance; and

• The Organizational element of the Offeror that performed the work.

L.18.1 Volume II A – Government Assumptions

Offeror’s submissions must be directly responsive, cross-reference, and/or link/tie to specific areas of and requirements within the NISC IV SIR’s Section L, Instructions to Offerors. Assumptions proposed by the FAA within the SIR will not be deviated from by any evaluated proposals. Any deviations from these assumptions, within the evaluated sections, will be deemed as a risk to the

FAA. Absolutely no cost assumptions must be presented here.

Offeror must comply with the Government’s assumptions, as provided in the NISC IV SIR, Section

J, List of Documents, Exhibits, and Attachments, Attachment J-13, FAA Government –Provided

Assumptions.

As stated in Section C of the SIR, NISC IV work will be distributed across the NAS, which includes all fifty (50) states, U.S. territories, and possessions as well as the potential for work at aviation-related sites worldwide. In a typical month, the Offeror may have to provide support in virtually every state and territory. Work beyond the 50 states, U.S. territories, and possessions, while possible, is not anticipated to be common. Additionally, projects under NISC IV may range from a few days to several months, with the potential for some projects to be further extended.

The Contractor is required to accept the definitions and assumption per Volume III – Cost Proposal, in which the ratio of “on-site” vs “off-site” will be approximately 90/10 (as defined in Section L-

20.2). The Contractor must address throughout the management proposal how it will effectively manage its on-site employees (inclusive of subcontractors).

For proposal purposes, a list of anticipated sample Statements of Objectives (SOOs) will be provided

Section L - Page 22 with the Final SIR for Offeror referral/reference across all Volumes of the SIR (see Section J, Attachment J-11, Example of Statement of Objectives (SOOs) for NISC IV). Further references to

SOOs are also provided in Section J, Attachment J-7, J-7.1.13, Task Order Transition Management.

The SOOs provided are illustrative and may not necessarily represent the final form, quantities, or work scopes to be performed after Contract award. Actually awarded Task Order work may vary from the provided SOOs.

Although some work may be covered by the Service Contract Act and/or other federal legislation, please assume that the vast majority of the NISC IV functional area workforce will not be affected by such requirements. Offeror must assume that the following arrangements may also apply to its conduct of work: on-site, off-site, via subcontract, etc. (reference Section L.20.2). It should be noted that the FAA, at its sole discretion, retains the ability to comment upon and adjust any such assumptions with Offeror.

L.18.2 Volume II B – Overview and Corporate/Program Structures

The Offeror must describe an integrated, innovative (as appropriate), and effective approach for its conduct of the program management effort and its management of all work to be performed under the NISC IV Prime Contract in sufficient specificity and clarity to facilitate a complete and unambiguous understanding of the Offeror’s intended approach/management/operation of the NISC

IV Prime Contract. The Offeror must not cross-reference any other sections or volumes in this

L.18.2 submission. Offeror must describe its organization down to the front-line management positions along with FTE counts, locations, percentage of time worked, skill categories and whether they are prime or subcontractors personnel.

The Offeror must describe its NISC IV Prime Contract Management organization from the

Corporate Headquarters level to all other levels below. Offeror must provide an organization chart depicting lines of authority and peer groups, identifying Key Personnel, defined as per Section

L.18.4, Key Personnel, proposed to manage its NISC IV Prime Contract effort, both nationally at the Prime Contract level as well as locally at the Task Order level. Offeror must also identify Other

Staff necessary to effectively support Offeror’s management approach, both nationally and locally.

Offeror must describe corporate management interfaces within the NISC IV National Program

Management organization and beyond, which, at a minimum, must include the following (not to exceed six (6) pages inclusive of charts):

NISC IV Prime Contract, taking into account corporate capabilities and experience, Key Personnel, and Other Management Staff.

A complete, clear, concise, and understandable depiction of the National Program

Management organizational hierarchy and how the NISC IV National Program

Management organization will be addressed within both Offeror’s (local) NISC IV

National Program Management as well as Offeror’s (overall) corporate management structures, especially as relates to reach-back and other corporate level support, inclusive of Task Order management (limit of two (2) pages, 11.0 x 17.0 inches, Ledger/Tabloid size, for charts).

Section L - Page 23
