About this file

This is a Service Agreement template between the City of Owensboro, Kentucky and vendors providing services per the City's request for bid. The document establishes the contractual framework for the Digital Kiosks project, which requires a contractor to provide all labor, material, supervision, equipment, and incidentals for the construction of three digital kiosks in Downtown Owensboro. The agreement becomes effective upon issuance of the purchase order, with work to be completed within a timeframe to be specified. Any subcontractors employed must be listed on the Subcontractors Registry Page included in the bid package and must meet the same requirements as prime contractors, including submission of insurance documentation.

Pricing shall be quoted on an F.O.B. Destination basis with no additional freight charges permitted. The City of Owensboro is exempt from federal excise, transportation, and Kentucky sales tax on items supplied directly from manufacturers, though vendors must pay sales tax on materials purchased for contract fulfillment. Successful vendors must obtain a City of Owensboro business license within ten business days of award notification; resident vendors are required to obtain licenses, while non-resident vendors have exemptions if deliveries are made via USPS, common carrier, or if vendor presence is limited to less than twelve hours or twelve visits annually. Vendors must maintain worker's compensation at statutory limits, commercial general liability at $1,000,000 per occurrence/$2,000,000 aggregate, and commercial automobile liability at $1,000,000 CSL, with the City named as additional insured. The agreement is governed by Kentucky law and Daviess County Circuit Court jurisdiction, and vendors who fail to perform may be disqualified from City bidding for up to five years.
