About this file

This is a Sample Automated Teller Machine (ATM) Concessions Lease Agreement Template between the Metropolitan Airports Commission (MAC) and a lessee for the operation and management of ATM services at Minneapolis-St. Paul International Airport. The agreement authorizes the lessee to develop and operate a minimum of ten (10) ATM locations within Terminal 1 and Terminal 2. The lease encompasses the construction, installation, and ongoing operation of ATM machines and related banking services. The agreement includes a Construction Term, Transition Term, and Base Term, with specific rent start dates and assigned opening dates detailed in Exhibit J: Reference Data. The lessee is responsible for all costs associated with construction, operation, maintenance, and utilities (excluding monthly electricity fees provided by MAC), and must comply with MAC's design and construction standards, tenant design guidelines, and sustainability requirements. The lessee must maintain security deposits as specified in Exhibit J and obtain all necessary permits and approvals from MAC prior to installation.

The lessee is required to pay an Annual Guarantee amount (specified as $XXXX in this template) in twelve monthly installments due by the first of each month, plus fifty percent (50%) of all ATM surcharges and out-of-network fees, with surcharges initially set at $3.50 per transaction. Payment must be made by electronic funds transfer (EFT), and late payments incur an 18% annual penalty. The lessee must maintain comprehensive insurance coverage including workers' compensation, commercial general liability ($1,000,000 per occurrence), and property insurance, naming MAC as an additional insured. Monthly sales statements detailing ATM transactions and surcharges are due by the 15th of each month, and the lessee must maintain books and records in accordance with Generally Accepted Accounting Principles for a minimum of six years. MAC reserves the right to audit the lessee's records, and any understatement of gross sales by 3% or more results in the lessee bearing audit costs plus attorney's fees. The agreement includes liquidated damages provisions for violations of operating standards, such as security, safety, cleanliness, and operational failures, with daily penalty amounts ranging from $500 depending on the violation category.

ATM Concessions Lease Agreement Page 7 scheduled to end during the Base Term of this Agreement or during any other period, such unit shall remain a part of the Lease Premises on a month-to-month basis unless and until Lessee or MAC provide thirty (30) days’ advance written notice to the other party.

B. Transition Planning Lessee may offer input into transition planning. MAC shall update Exhibit J: Reference Data as needed until all construction is complete and all units are open for business.

Notwithstanding the foregoing, MAC and Lessee acknowledge that at the time of the execution of this Agreement, the transition and development of concessions is still in flux. Lessee agrees to accept the terms of Exhibit J: Reference Data as it may be amended by MAC from time to time. For Lessee’s convenience only, a partially complete version of Exhibit J: Reference Data has been attached at the time of execution of this Agreement.

Except as specifically provided herein or in another agreement, the Transition Premises shall be subject to all terms and conditions of this Agreement and, for the period of such interim operations, shall be deemed part of the Leased Premises.

Further, FAA and TSA rules and regulations governing security and emergency situations may restrict access to the Airport. See the CPIT Manual’s release form for additional data disclaimers. The Airport undergoes numerous construction projects which may temporarily impact passenger flows and other customer traffic, ingresses and egress from the Leased Premises, and other related impacts; and Lessee agrees that MAC is not responsible for any resulting impacts to the Lessee’s concession operation, including, but not limited to, reduced Gross Sales.

D. Prior to the closure date, Lessee shall relocate all fixtures and equipment as specified by MAC for storage. MAC shall reimburse Lessee for reasonable third-party moving and storage expenses to the extent they are paid and documented to MAC’s reasonable satisfaction. MAC shall have no liability for any lost or damaged items.

ATM Concessions Lease Agreement Page 8

Even though such temporary closure may inconvenience and partially impair the Lessee, it agrees that no liability shall attach to MAC, its officers, agents, or employees by reason of such inconvenience or impairment. Lessee waives any right to claim damages of any kind including indirect and consequential damages, resulting from such inconvenience or impairment of this temporary closure. Term of the Agreement will not consequentially be extended or granted.

E. Permanent Removal for Airport Purposes MAC may, at any time, require permanent removal of any or all of the Leased Premises by advance written notice to Lessee should the development or operation of the Airport require the removal.

(30) days of written notice by MAC. In such event, the Annual Guarantee shall be adjusted on a pro rata basis, based on the number of ATM machines permanently removed.

Even though such activities may inconvenience and partially impair the Lessee, it agrees that no liability shall attach to MAC, its officers, agents, or employees by reason of such inconvenience or impairment. Lessee waives any right to claim damages of any kind including indirect and consequential damages, resulting from such inconvenience or impairment.

B. Holdover To provide continuous service to the traveling public, Lessee shall, upon written request by MAC, remain upon the Leased Premises and manage the operation of an agreed upon number of ATM locations in accordance with the terms and provisions of this

ATM Concessions Lease Agreement Page 9

Agreement for up to one (1) year or such longer period as mutually agreed to after termination of the Agreement by expiration of the Term, cancellation or default, to give a new or existing Lessee sufficient time to be chosen and to commence operation, or for any other reason. Upon the termination of this Agreement, through passage of time or otherwise, Lessee shall provide MAC reasonable assistance in continuing the business of managing the operation of the facilities subject to this Agreement without interruption between termination of this Agreement and commencement of operations by the new Lessee.

In the event Lessee shall hold over and remain in possession of the Leased Premises after the expiration of this Agreement without written renewal, regardless of whether MAC requests such holdover, any holding over shall not be deemed to operate as a renewal or extension of this Agreement but shall only create a month-to-month tenancy. Either party may terminate upon thirty (30) days written notice.

During the Term of any such holding over, Lessee shall remain bound by all terms of this Agreement.

IV. Authorized Uses A. Non-Exclusive Rights

MAC grants to Lessee a non-exclusive right to sell products covered under Section VIII.C and in accordance with this Agreement. MAC may grant rights of absolutely any nature to others to sell or provide food & beverage, retail merchandise, and/or services at the Airport.

MAC must approve all subleases, assignments and licenses pertaining to the Leased Premises in writing, and such approval must be obtained regardless of whether the sublease, assignment or license requires such approval. See Section VIII.A for additional requirements.

B. Concept Permitted Uses Lessee’s use of the Leased Premises shall be in accordance with the provisions of Exhibit B: Use of the Leased Premises.

The Leased Premises shall be used and occupied by Lessee only for the uses specified in this Agreement, and for the construction, installation, and maintenance and improvement of the Leased Premises. Lessee is prohibited from any use of the Leased Premises not specifically permitted under this Agreement without the prior written approval of MAC, which approval may be withheld in MAC’s sole discretion. Any approval of an additional or changed use may be conditioned upon an increase in the rent and inclusion of additional provisions in this Agreement. In all instances, MAC may approve additional items on a case-by-case basis.

For additional rights and obligations, please see Section X of this Agreement. Also see liquidated damages provisions in Section XXI.

ATM Concessions Lease Agreement Page 10

C. Discontinuance, Addition, and Deletion of Items In the event MAC determines, in its sole and absolute discretion, that any of Lessee’s products are objectionable for display or sale in the Airport, MAC shall provide written notice to Lessee to remove such merchandise, products, or services. Lessee shall remove items within twenty-four (24) hours of receipt of notice from MAC.

D. Prohibited Products and Services MAC reserves the right to approve all items sold by Lessee. MAC’s approval will not be unreasonably withheld or delayed. No Cannabis or Hemp derived products (including THC, CBD, etc.) can be sold at the Airport without the consent of MAC.

Hazardous Substances No goods, merchandise, or materials shall be kept, stored or sold in or on the Leased Premises that are explosive or hazardous; and no offensive or dangerous trade, business, or occupation shall be carried on in the Leased Premises. Nothing shall be done on the Leased Premises, unless provided for in this Agreement, which will increase the rate or suspend the insurance upon the Leased Premises or upon structures of MAC.

No machinery or apparatus shall be used or operated on the Leased Premises which will damage said Leased Premises or adjacent buildings; provided, however, that nothing in this Section contained shall preclude Lessee from bringing, keeping, or using on or about the Leased Premises such materials, supplies, equipment, and machinery as are appropriate or customary in carrying on its business.

F. No Smoking The Airport is a non-smoking facility. No smoking shall be permitted on the Leased Premises.

G. Noise Levels MAC and Lessee acknowledge and agree to use best efforts not to disturb other Concessionaires or customers in the Airport. The level of noise shall not exceed such volume in which people in the concourse or Terminal areas immediately adjacent to the Leased Premises cannot hear the public address system. Lessee agree to adjust the volume or noise level as directed by MAC at MAC’s sole discretion.

If equipment begins to operate at noise levels of 10% above manufacturer's operating specifications, the equipment must be replaced or repaired to within manufacturer's specifications. If possible, remote compressors for coolers should be utilized.

H. Network Connectivity and Co-Location MAC aims to reduce cabling and re-cabling work associated with the multiple moves by Lessees over time. MAC facilitates cabling by allowing Lessees to connect their spaces to MAC provided Telecom Rooms from where Lessees can lease fiber to meet their needs inside the campus or off premises via a demarcation point. This approach provides a hub and spoke physical network connectivity approach that avoids duplication, re-cabling and efficient use of resources.

ATM Concessions Lease Agreement Page 11

IV.H.1. Connectivity within Lessee leased space Lessee can install conduit and/or cable tray within the own leased spaces to accommodate their internal needs. Installation must meet MAC design and construction standards (MDCS) sections 17744 and 17746.

IV.H.2. Connectivity external to a Lessee’s leased space Lessee shall contact MAC’s Information Technology Department when coordinating connectivity to and from leased space. Both on campus, and off campus connectivity can be coordinated by MAC IT. In general, locations will connect to other campus destinations through MAC telecom rooms near the origin and destination locations. Connectivity between Telecom Rooms will be provided by MAC via leased single mode fiber that can, if necessary, connect their lease space to a third-party telecom carrier demarcation point on campus.

Lessee shall sign a Telecom Room/Fiber license agreement from MAC in order to be granted access to connectivity through the MAC’s Telecom Rooms.

Lessee may install conduit and/or cable tray within the Leased Premises at its own expense.

Prior to any telecommunications installation, Lessee shall coordinate with MAC’s Information Technology Department regarding all telecommunications activity to, from, or within the Leased Premises whether wired or wireless.

I. Wireless Area Networks for Internet/Intranet Access (Wi-Fi) Except as otherwise provided by law, Lessee shall not install any wireless local area networks (“WLAN”) without the express written consent of MAC.
