About this file
This is a Request for Statement of Qualifications (RFSQ) issued by Utah Charter Academies, Inc. (UCA) through the State of Utah Division of Purchasing for underwriting services related to a multi-project charter school bond issuance. UCA seeks a Managing Underwriter to provide investment banking services for the Series 2026 Charter School Revenue Bonds, estimated at approximately $64 million. The financing will support expansion of the UCA network, including land acquisition and construction of the Eagle Mountain Campus, West Valley 2 Expansion, and Salem Campus Expansion. The selected firm will be responsible for debt structuring, credit presentation to S&P Global Ratings, investor marketing and distribution, due diligence coordination, and transaction execution including interest rate negotiation and closing arrangements. The RFSQ specifies that respondents must submit project team details identifying the Managing Director and team members, a marketing plan outlining investor identification and outreach strategy, and conflict of interest disclosures in compliance with MSRB Rule G-17. No specific response deadline, due date, or award date is provided in the document.
Mandatory qualifications require that the selected firm be registered as an underwriter with the SEC and MSRB, demonstrate proven experience as managing underwriter for charter school bond offerings exceeding $50 million, and possess experience working with the Utah Charter School Finance Authority as the conduit issuer. The evaluation criteria are weighted as follows: National Charter School Expertise (40 percent), UCA Institutional Continuity (35 percent), Technical Proficiency (15 percent), and Proposed Fee Structure (10 percent). UCA prioritizes firms with deep institutional knowledge of its Series 2015 and 2018 Bonds and the technical ability to market Utah-specific "Pledged Revenue" credits to national investors. The procurement method is Value Based Selection, and the vendor with the highest ranking will be selected to negotiate a contract at fair and reasonable compensation, with the option to proceed to the next-ranked vendor if negotiations with the top-ranked firm are unsuccessful. Pricing should not be included in qualifications submissions, which may be submitted via Bonfire or email to dsharette@apamail.org.

RE: Notice of Request for Statement of Qualifications (RFSQ) – Underwriting Services
To All Interested Parties:
Utah Charter Academies, Inc. ("UCA") is soliciting Statements of Qualifications from qualified investment banking firms to serve as the Managing Underwriter for our upcoming Series 2026 Charter School Revenue Bonds. The proposed offering is estimated at approximately $64 million.
This financing is critical to the expansion of the UCA network, covering the land acquisition and construction of the Eagle Mountain Campus, the West Valley 2 Expansion, and the Salem Campus Expansion. Due to the scale of this issuance and the complexities of UCA’s "Pledged
vs. Non-Pledged" revenue structure, UCA requires an underwriter with a proven track record in the national charter school bond market.
UCA is prioritizing firms that possess deep institutional knowledge of our Series 2015 and 2018 Bonds, as well as the technical ability to market Utah-specific "Pledged Revenue" credits to a national investor base . The selected firm must be prepared to coordinate closely with the Utah Charter School Finance Authority and UCA’s existing legal and financial teams.
We invite your firm to demonstrate its qualifications and commitment to the long-term success of American Preparatory Academies.
Sincerely, The Governing Board, Utah Charter Academies, Inc.
