About this file
This is a GRAMA Business Confidentiality Claim form issued by the Utah State Archives on behalf of the Office of the Government Records Ombudsman, applicable to the State of Utah Division of Purchasing's procurement for Underwriting Services through Utah Charter Academies (UCA). The form serves as a template for vendors submitting qualifications to protect trade secrets and commercial financial information from public disclosure under the Government Records Access and Management Act (GRAMA). Vendors are required to submit both redacted and non-redacted versions of their proposals; the Division of Purchasing will not perform redactions on behalf of claimants who fail to provide a redacted copy. The confidentiality claim must include a concise statement of reasons supporting the protection request and must be submitted simultaneously with the proposal materials. UCA is seeking a Managing Underwriter to provide investment banking services for a complex, multi-project bond issuance, with submissions accepted via Bonfire or email to dsparette@apamail.org.
The form emphasizes that confidentiality claims do not guarantee protected classification status if the government receives a GRAMA records request, as determinations are made under Utah Code 63G-2-305 and 63G-2-309. Vendors must complete all required fields including company name, address, representative contact information, and specific details about which pages, paragraphs, and sections of their submission warrant confidential treatment. No pricing information should be included in qualifications submissions, as vendor selection will be based on a value-based selection methodology with the highest-ranked vendor proceeding to contract negotiations at fair and reasonable compensation terms to be determined during discussions.

Office of the Government Records Ombudsman Utah State Archives
Business Request for GRAMA Business Confidentiality Claim
Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
