About this file
This is an Offeror's Exceptions form for Fulton County Schools (FCS) in Georgia related to a Request for Proposal (RFP) for the Purchase of School Nutrition Food Items and Distribution Services. The form provides a structured process for offerors to formally document any exceptions or deviations from the RFP's stated terms and conditions. FCS emphasizes that it does not intend to modify the solicitation's terms unless clarification of scope of work or technical requirements is necessary. An optional pre-proposal conference is scheduled for Monday, February 9, 2026.
Offerors who propose substantive modifications that materially differ from RFP terms may receive point deductions during evaluation, and failure to accept RFP terms and conditions may result in proposal rejection, contract award delays, or a determination of nonresponsiveness. Any offeror taking an exception must complete all required fields in the exceptions table, including the specific section and clause number, the exception taken with supporting reasoning, the proposed resolution, and any price or schedule impact associated with the exception. The form serves as a proposal evaluation tool only and will not become part of any executed contract.

OFFEROR’S EXCEPTIONS
The terms and conditions contained in the solicitation comprise the contract proposed by FCS. FCS does not intend to make changes to those terms and conditions, unless necessary to clarify the scope of work and/or technical requirements. Offeror may lose points for substantive modifications proposed by Offeror which materially differ from the RFP terms and are likely to, in the opinion of FCS, require substantial legal negotiations to resolve. In addition, failure to accept the RFP terms and conditions may result in significant unacceptable delays in FCS’ ability to award a contract and may result in an Offeror’s proposal being deemed to be nonresponsive. Nonetheless, if an Offeror must take an exception the Offeror shall provide the requested information for each exception or suggested deviation in the table below. By completing and submitting this form, an Offeror acknowledges that its proposal may be deemed to be nonresponsive at FCS' discretion.
